上海市人民政府关于本市进一步促进外商投资的若干意见

All district people's governments; and all commissions, offices and bureaus of the municipal government: 各区人民政府,市政府各委、办、局:
For the purposes of implementing the Foreign Investment Law of the People's Republic of China and the Decision of the Standing Committee of the People's Congress of Shanghai Municipality on Several Issues concerning the Implementation of the Foreign Investment Law of the People's Republic of China, further opening up to the outside world, actively enhancing foreign investment, protecting the lawful rights and interests of foreign investors, and boosting the formation of a new pattern of comprehensive and high-level opening up in Shanghai, several opinions on further promoting foreign investment are hereby offered as follows: 为贯彻《中华人民共和国外商投资法北大法宝,版权所有》和《上海市人民代表大会常务委员会关于贯彻实施〈中华人民共和国外商投资法〉若干问题的决定》,进一步扩大对外开放,积极促进外商投资,保护外商投资合法权益,推动形成本市全方位高水平开放新格局,现提出本市进一步促进外商投资的若干意见如下:
I. Further opening up to the outside world   一、北京大学互联网法律中心进一步扩大对外开放
1. Comprehensively implementing the administrative system of pre-establishment national treatment plus negative list, conforming to generally accepted international rules, raising the level of opening up in all aspects, and promoting reform, development and innovation with an open mindset; imposing no restrictions on the access of foreign investment beyond the negative list; and strengthening efforts to guarantee the national treatment foreign-funded enterprises are entitled to after access. (Responsible entities: the Municipal Commission of Commerce, the Municipal Development and Reform Commission, and other relevant authorities; all district governments) (一)全面实施准入前国民待遇加负面清单管理制度,与国际通行规则对接,全面提升开放水平,以开放促改革、促发展、促创新。负面清单之外的领域,任何部门和单位不得对外商投资准入进行限制。加大对外商投资企业享有准入后国民待遇的保障力度。(责任单位:市商务委、市发展改革委等有关部门,各区政府)
2. Promoting investment liberalization and facilitation for Shanghai Pilot Free Trade Zone (“FTZ”) and the Lingang Area of Shanghai Pilot FTZ; further opening up to the outside world in key sectors such as telecommunications, insurance, securities, scientific research and technical services, education, and healthcare; relaxing the limits on registered capital and investment modes for foreign investors; and building the FTZ into an overall opening-up frontier. (Responsible entities: the Municipal Commission of Commerce, the Municipal Development and Reform Commission, the Municipal Communications Administration, the Municipal Bureau of Financial Work, the Municipal Science and Technology Commission, the Municipal Education Commission, the Municipal Health Commission, the Management Committee of Shanghai FTZ, and the Management Committee of the Lingang Area of Shanghai Pilot FTZ) (二)推进上海自贸试验区及临港新片区投资自由化便利化,进一步在电信、保险、证券、科研和技术服务、教育、卫生等重点领域加大对外开放力度,放宽注册资本、投资方式等限制,打造全方位开放的前沿窗口。(责任单位:市商务委、市发展改革委、市通信管理局、市金融工作局、市科委、市教委、市卫生健康委,上海自贸试验区管委会、上海自贸试验区临港新片区管委会)
3. Encouraging and supporting foreign investment in strategic emerging industries (such as next-generation information technologies, smart manufacturing equipment, biomedical and high-performance medical devices, new-energy and intelligent connected vehicles, aeronautics and astronautics, marine engineering equipment, high-end energy equipment, new materials, energy-saving and environmental protection) and key areas in producer services (such as R&D and design, total integration and general contracting, inspection, testing and certification, supply chain management, and e-commerce); and encouraging foreign-funded enterprises to conduct industrial transformation and upgrading. (Responsible entities: the Municipal Commission of Commerce, the Municipal Commission of Economy and Informatization, and the Municipal Development and Reform Commission) (三)鼓励和支持外商投资新一代信息技术、智能制造装备、生物医药与高性能医疗器械、新能源与智能网联汽车、航空航天、海洋工程装备、高端能源装备、新材料、节能环保等战略性新兴产业和研发设计、总集成总承包、检验检测认证、供应链管理、电子商务等生产性服务业重点领域,鼓励外商投资企业实施产业转型升级和技术改造。(责任单位:市商务委、市经济信息化委、市发展改革委)
4. Implementing the national arrangements for further opening up the financial industry, relaxing or cancelling the access conditions for financial institutions such as the ratio of foreign stock equity, and striving for the implementation of opening-up measures in the financial industry; and further promoting the pilot program of foreign-funded equity investment enterprises. (Responsible entities: the Municipal Bureau of Financial Work, the Shanghai Headquarters of the People's Bank of China, the Shanghai Office of the China Banking and Insurance Regulatory Commission, and the Shanghai Office of the China Securities Regulatory Commission) (四)落实国家关于扩大金融业对外开放部署,放宽或取消金融机构外资股权比例等准入条件,争取金融业开放措施项目率先落地。深入推进外商投资股权投资企业试点。(责任单位:市金融工作局、人民银行上海总部、上海银保监局、上海证监局)
5. Adopting a more open headquarters policy, supporting regional headquarters, R&D centers and other functional departments of enterprises in leading the implementation of various pilot programs of opening wider to the outside world, creating a high-level platform for headquarters economy, and attracting some of the world's leading companies to set up their headquarters in Shanghai; implementing the policy of regional headquarters for fund management, recruitment of talented people, personnel entering or leaving China, and convenience for customs declaration, and supporting the regional headquarters in Shanghai in gathering businesses, expanding functions, and increasing capabilities. (Responsible entities: the Municipal Commission of Commerce) (五)实施更开放的总部政策,支持地区总部和研发中心等功能性机构率先实施本市各项扩大开放试点措施,打造高水平总部经济平台,吸引全球优质企业总部落户。落实资金管理、人才引进、人员出入境、通关便利等地区总部政策,支持在沪地区总部集聚业务、拓展功能、提升能级。(责任单位:市商务委)
II. Further attracting foreign investment   二、进一步吸引外商投资
6. Establishing and improving a work mechanism of promoting foreign investment, creating an information database for investment promotion projects, a database for investment promotion activities, and a resource database for investment promotion projects, and enhancing the overseas investment promotion network and the foreign investment work coordination network; and strengthening the system of joint meetings for foreign investment promotion services led by the Municipal Commission of Commerce, and supporting the establishment of enquiry offices for foreign investment promotion services throughout Shanghai. (Responsible entities: the Municipal Commission of Commerce, the Municipal Commission of Economy and Informatization, the Municipal Bureau of Financial Work, all district governments, the Management Committee of Shanghai FTZ, and the Management Committee of the Lingang Area of Shanghai Pilot FTZ) (六)建立完善外商投资促进工作机制,建设投促项目信息库、投资促进活动库和投促项目资源库,完善海外投资促进网络和外资工作协调网络。完善由市商务委牵头的外商投资促进服务联席会议制度,支持在全市设立外商投资促进服务咨询点。(责任单位:市商务委、市经济信息化委、市金融工作局,各区政府,上海自贸试验区管委会、上海自贸试验区临港新片区管委会)
7. Comprehensively building the system of foreign investment promotion services, following the market-oriented and government-guided approach, creating an investment promotion system in which government agencies, professional institutions, chambers of commerce and associations, and enterprises form as one, and strengthening investment promotion services in all aspects, during the complete process, and through various channels. (Responsible entities: the Municipal Commission of Commerce, the Municipal Commission of Economy and Informatization, the Municipal Bureau of Financial Work, all district governments, the Management Committee of Shanghai FTZ, and the Management Committee of the Lingang Area of Shanghai Pilot FTZ) (七)全面构建外商投资促进服务体系,坚持市场主导、政府引导,构建由政府部门、专业机构、商协会、企业组成的“四位一体”投资促进体系,全方位、全流程、全渠道加强投资促进服务。(责任单位:市商务委、市经济信息化委、市金融工作局,各区政府,上海自贸试验区管委会、上海自贸试验区临港新片区管委会)
8. Establishing an integrated platform for foreign investment promotion services, collecting, aggregating and issuing laws and regulations, policies and measures, industrial trends, and project information related to foreign investment based on the “Shanghai Enterprise Service Cloud”, and providing investment information, project pairing, investment cooperation, and other functions and services using online and offline means. (Responsible entities: the Municipal Commission of Commerce, the Municipal Commission of Economy and Informatization) (八)建立全市统一的外商投资促进服务平台,依托“上海市企业服务云”,归集、汇总、发布外商投资相关法律法规、政策措施、行业动态、项目信息等,线上线下联动提供投资资讯、项目配对、投资对接等功能服务。(责任单位:市商务委、市经济信息化委)
9. Maximizing the effect of the China International Import Expo in attracting business opportunities and investment, cooperating with top-class economic and trade groups and overseas corporate participants in the China International Import Expo, holding the “Shanghai Investment Promotion Conference” on a yearly basis, jointly launching a number of investment promotion activities by the municipal and district governments, introducing the “Map for Investment in Shanghai” and special visits for economic and trade purposes, and promoting the implementation of high-level foreign investment projects. (Responsible entities: the Municipal Commission of Commerce, the Municipal Development and Reform Commission, the Municipal Commission of Economy and Informatization, all district governments, the Management Committee of Shanghai FTZ, and the Management Committee of the Lingang Area of Shanghai Pilot FTZ) (九)发挥中国国际进口博览会招商引资促进效应,对接中国国际进口博览会高级别经贸团组和境外参展企业,每年举办“上海投资推介大会”,市、区联合打造一批投资促进品牌活动,推出“投资上海地图”和特色经贸考察路线,推动高能级外资项目落地。(责任单位:市商务委、市发展改革委、市经济信息化委,各区政府,上海自贸试验区管委会、上海自贸试验区临港新片区管委会)
10. Supporting state-level economic and technological development zones in harnessing their industrial and policy strengths, further exploring innovations in opening-up systems, optimizing and developing the mechanism for managing construction entities and operation entities, and improving the quality of foreign investment attracted. (Responsible entities: the Municipal Commission of Commerce, and all state-level economic and technological development zones) (十)支持国家级经济技术开发区发挥产业优势和制度优势,深化开放领域制度创新探索,优化开发建设主体和运营主体管理机制,提高吸引外资质量。(责任单位:市商务委,各国家级经济技术开发区)
11. Supporting foreign-funded enterprises in using new fund-raising channels such as going public on the Main Board, the STAR Board, and the SME Board, getting listed on the NEEQ, and issuing corporate bonds. (Responsible entities: the Shanghai Office of the China Securities Regulatory Commission, the Municipal Development and Reform Commission, and the Municipal Bureau of Financial Work) (十一)支持外商投资企业依法依规在主板、科创板、中小企业板上市、在新三板挂牌以及发行公司债券等方式拓展融资渠道。(责任单位:上海证监局、市发展改革委、市金融工作局)
12. Regularly preparing and publishing various guidelines such as guidelines for foreign investment, and white paper on environment for foreign investment, so as to provide services and convenience to foreign investors and foreign-funded enterprises. (Responsible entities: the Municipal Commission of Commerce and other departments, all district governments, and all state-level economic and technological development zones) (十二)定期编制和发布各类外商投资指南、外商投资环境白皮书等指引,为外国投资者和外商投资企业投资提供服务和便利。根据实际,定期编制和发布本区域外商投资指引。(责任单位:市商务委等有关部门,各区政府,各国家级经济技术开发区)
13. Creating a more convenient trade environment, promoting the sharing of corporate credit ratings among departments, and facilitating customs clearance for foreign-funded enterprises; and supporting innovative trade modes for qualified foreign-funded enterprises. (Responsible entities: the Municipal Commission of Commerce, and the Shanghai Customs House) (十三)营造更加便利化的贸易环境,推进企业信用等级的跨部门共享,按照信用等级,给予外商投资企业相应的通关便利。支持符合条件的外商投资企业创新贸易方式。(责任单位:市商务委、上海海关)
14. Facilitating the handling of entry/exit and work permits for foreigners; optimizing and improving services for high-level foreign experts, and providing them with affordable housing, child education and health care services. (Responsible entities: the Municipal Public Security Bureau, the Municipal Administration of Foreign Experts Affairs, the Municipal Commission of Housing and Urban-Rural Development, the Municipal Education Commission, the Municipal Health Commission, and all district governments) (十四)为外籍人才办理出入境和工作许可提供便利;优化提升外籍高层次人才服务水平,建立安居保障、子女入学和医疗保健服务通道。(责任单位:市公安局、市外国专家局、市住房城乡建设管理委、市教委、市卫生健康委,各区政府)
15. Encouraging and supporting the efforts of international entrepreneurs and foreign-funded enterprises in establishing new startups and service providers in Shanghai, supporting foreign-funded enterprises in using high-tech achievements for commercial purposes in various industries, and allowing them to equally enjoying the policies of supporting technological innovations, such as the funds for technological innovation of small and medium-sized high-tech enterprises, technological innovation coupons, and recognized high-tech achievements commercialization projects. (Responsible entities: the Municipal Science and Technology Commission and other departments, and all district governments) (十五)鼓励和支持外籍初创团队和外商投资企业来沪创办创新型企业和服务机构,支持外商投资企业高新技术成果转化与产业化,同等享受科技型中小企业技术创新资金、科技创新券,以及高新技术成果转化项目认定等科技创新政策。(责任单位:市科委等有关部门,各区政府)
16. Deepening the reform of “simplification of administrative procedures, devolution of powers, combination of devolution and regulation, and optimization of services” in foreign investment services, simplifying the procedures for foreign-funded enterprises, increasing their efficiency, and optimizing government services by following the principle of “convenience, efficiency, and transparency” and based on the accessible portal website of Shanghai government; and vigorously promoting the “random selection of subjects and inspectors and public disclosure”, establishing a system that tolerates minor violations of laws and regulations in business operations, and encouraging foreign-funded enterprises to conduct business activities according to laws and regulations. (Responsible entities: the Municipal Commission of Commerce, the General Office of the Municipal Government, and the Municipal Administration for Market Regulation) (十六)深化外商投资领域放管服改革,按照“便利、高效、透明”的原则,依托上海政务“一网通办”总门户,简化外商投资企业办事程序,提高办事效率,优化政务服务。大力推进“双随机、一公开”,建立市场轻微违法违规经营行为容错机制,促进外商投资企业依法合规开展经营活动。(责任单位:市商务委、市政府办公厅、市市场监管局)
17. Establishing and improving a long-lasting system for communication and exchanges between foreign-funded enterprises and the local government agencies, listening to the opinions and suggestions of foreign-funded enterprises, and promptly discovering the problems they encounter in production and operation activities and helping them solve the problems. (Responsible entities: the Municipal Commission of Commerce and other departments) (十七)建立健全圆桌会议等外商投资政企沟通长效机制,听取外商投资企业意见和建议,及时了解并依法帮助解决外商投资企业生产经营活动中遇到的问题。(责任单位:市商务委等有关部门)
18. Developing policies and measures for promoting and facilitating foreign investment within the scope of statutory authority and in accordance with laws, administrative regulations and local regulations. (Responsible entities: all district governments) (十八)根据法律、行政法规和地方性法规的规定,在法定权限范围内,制定外商投资促进和便利化政策措施。(责任单位:各区政府)
III. Further protecting the lawful rights and interests of foreign investors   三、进一步保护外商合法权益
19. Establishing and optimizing a work mechanism of providing a guarantee for law-based business environment, actively creating a market environment with fair competition for domestic and foreign investors, and allowing foreign-funded enterprises to equally enjoy various policies that support the development of enterprises in Shanghai according to law. (Responsible entities: the Municipal Development and Reform Commission and other departments, and all district governments) (十九)建立优化营商环境法治保障工作机制,积极营造内外资公平竞争的市场环境,外商投资企业依法平等适用本市支持企业发展的各项政策。(责任单位:市发展改革委等有关部门,各区政府)
20. Protecting foreign-funded enterprises in acquiring such productive elements as human resources, funds, land use rights and natural resources on an equal footing according to law and fairly participating in market competition; and protecting foreign-funded enterprises in enjoying fair treatment in the aspects of land supply, tax preferences, fee reduction and exemption, qualification certificates, standard setting, project application, and government procurement. (Responsible entities: all relevant departments, and all district governments) (二十)保障外商投资企业依法平等获取人力资源、资金、土地使用权和自然资源等生产要素,公平参与市场竞争;依法保障外商投资企业在政府资金投向、土地供应、税收优惠、费用减免、资质许可、标准制定、项目申报、政府采购等方面的公平待遇。(责任单位:各有关部门,各区政府)
21. Formulating normative documents on foreign investment according to laws and regulations, and listening to the opinions and suggestions of foreign-funded enterprises, chambers of commerce and associations; and, if there is no law or administrative regulation as the basis, not diminishing or damaging the lawful rights and interests of foreign-funded enterprises or adding extra obligations to them, not creating market access and withdrawal conditions for them, nor interfering in their normal production or operation activities. (Responsible entities: the Municipal Commission of Commerce and other departments, and all district governments) (二十一)在符合法律法规的前提下,制订涉及外商投资的规范性文件,并听取外商投资企业、商协会的意见和建议;没有法律、行政法规依据的,不得减损外商投资企业的合法权益或者增加其义务,不得设置市场准入和退出条件,不得干预外商投资企业的正常生产经营活动。(责任单位:市商务委等有关部门,各区政府)
22. Protecting foreign investors' investments, proceeds and other lawful rights and interests, and allowing foreign investors to freely transfer into or out of China in RMB or other currencies their contribution funds, profits, capital gains, proceeds from disposition of assets, royalties of intellectual property rights, indemnity or compensation lawfully acquired, and income from liquidation according to law. (Responsible entities: the Shanghai Head Office of the PBC, and the Shanghai Branch of the State Administration of Foreign Exchange) (二十二)依法保护外国投资者的投资、收益和其他合法权益,外国投资者的出资、利润、资本收益、资产处置所得、知识产权许可使用费、依法获得的补偿或者赔偿、清算所得等,可以依法以人民币或者外汇自由汇入、汇出。(责任单位:人民银行上海总部、国家外汇管理局上海市分局)
23. Improving the intellectual property protection system for foreign investors and foreign-funded enterprises based on an intellectual property right joint meeting mechanism, intensifying administrative and judicial protection efforts, enhancing the rapid protection mechanism for intellectual property rights, and increasing efficiency in resolving disputes over intellectual property rights concerning foreign investment by various means. (Responsible entities: the Municipal Intellectual Property Rights Bureau, and the Municipal Bureau of Justice) (二十三)依托市知识产权联席会议机制,健全外国投资者和外商投资企业知识产权保护体系,加大行政司法保护力度,完善知识产权快速维权机制,提升外商投资相关知识产权纠纷多元化解的效率。(责任单位:市知识产权局、市司法局)
24. Encouraging foreign investors and foreign-funded enterprises to conduct technical cooperation with various market entities and scientific research entities and protecting the cooperation according to law based on the principles of voluntariness and business rules; allowing cooperative partners to determine the conditions for technical cooperation through consultation based on the principle of fairness; and not using administrative means to force foreign investors or foreign-funded enterprises to transfer their technologies. (Responsible entities: the Municipal Science and Technology Commission, and all district governments) (二十四)鼓励并依法保障外国投资者和外商投资企业基于自愿原则和商业规则,与本市各类市场主体、科研主体开展技术合作。技术合作的条件,由合作各方遵循公平原则平等协商确定。不得利用行政手段强制外国投资者和外商投资企业转让技术。(责任单位:市科委等有关部门,各区政府)
25. Earnestly fulfilling the policy-related commitments made to foreign investors and foreign-funded enterprises and various contracts signed according to law, and not breaching a contract due to government succession, changes in departments or personnel, or policy adjustment; and compensating the losses of foreign investors or foreign-funded enterprises in a fair and reasonable manner if a policy needs to change to protect national interests or the public interests. (Responsible entities: all relevant departments, and all district governments) (二十五)切实履行向外国投资者、外商投资企业依法作出的政策承诺以及依法订立的各类合同,不得以政府换届、部门或者人员更替、政策调整等为由违约。确因国家利益、社会公共利益需要改变的,依法对外国投资者、外商投资企业的损失予以公平合理的补偿。(责任单位:各有关部门,各区政府)
26. Establishing and improving a work mechanism for complaints lodged by foreign-funded enterprises, and responding to and resolving various complaints filed or problems raised by any foreign-funded enterprise; and preventing any entity from limiting the legal cross-regional operation, relocation or deregistration activities of foreign-funded enterprises. (Responsible entities: the Municipal Commission of Commerce and other departments, and all district governments) (二十六)建立健全外商投资企业投诉工作机制,及时回应和解决外商投资企业反映的各类诉求和问题。任何单位不得限制外商投资企业依法跨区域经营、搬迁、注销等行为。(责任单位:市商务委等有关部门,各区政府)
All relevant departments, entities and all district governments shall attach high importance to attracting foreign investment under the new circumstances, creating a more favorable business environment for them, making more space for the development of various market players, and continuing to write a new chapter for Shanghai's opening up to the outside world. 各有关部门、单位和各区政府要高度重视新形势下吸引外资工作,营造更加优良的营商环境,为各类市场主体创造更大的发展空间,不断开创高水平对外开放新局面。
The Opinions shall come into force on September 16, 2019. 本意见自2019年9月16日起实施。
