| For purposes of implementing the spirit of the Decision of the State Council to Cancel a Group of Administrative Licensing Items and Other Items (No. 28 [2018] of the State Council, hereinafter referred to as the “Decision”), ensuring the smooth transition after cancellation of four administrative licensing items involving market supervision functions including the confirmation and registration of enterprise groups, and improving interim and ex post regulatory measures, you are hereby notified of the relevant matters as follows: | | 为贯彻落实《国务院关于取消一批行政许可等事项的决定》（国发〔2018〕28号，以下简称《决定》）精神，切实做好取消企业集团核准登记等4项涉及市场监管职能的行政许可等事项后的衔接工作，完善事中事后监管措施，现就有关事项通知如下： |
| I. Canceling the issuance of the Enterprise Group Registration Certificate and enhancing enterprise information publication | | 一、取消《企业集团登记证》核发，强化企业信息公示 |
The industry and commerce and market regulatory authorities in all regions shall, in accordance with the requirements of the Decision, no longer separately register enterprise groups and no longer issue the Enterprise Group Registration Certificate, and shall conscientiously complete the following transition work. First, relaxing the conditions for the use of names. As the parent company of an enterprise group, an enterprise legal person may use the word “group” or “(group)” before the organizational form in its name. The name of an enterprise group shall be aligned with that of its parent company in administrative division, font size, industry or operational characteristics. Where it is necessary to use the name of the enterprise group and its abbreviation, the parent company shall make an application for such name and its abbreviation when applying for registration of the enterprise name, and record them in its articles of association. A subsidiary wholly-owned or controlled by the parent company or a non-controlling company authorized by such parent company may bear the name of the enterprise group or its abbreviation. The industry and commerce and market regulatory authorities at all levels shall not examine the registered capital and the amount of member enterprises of the enterprise group. Second, strengthening the information publication of enterprise groups. After the confirmation and registration of an enterprise group is canceled, the parent company of the enterprise group shall make public the name of the enterprise group and the information on its members through the national enterprise credit information publicity system. Where an enterprise group has obtained the Enterprise Group Registration Certificate before the issuance of this Notice, it is not required to make publication. Third, strengthening the supervision and management of enterprise groups according to the law. Various regulatory means shall be used to conduct dynamic monitoring and verification of enterprise groups and their member enterprises within the jurisdiction in accordance with the law to form a long-term regulatory mechanism. Any violation of laws and regulations in market supervision and management shall be dealt with according to the relevant provisions.
．．．．．． | | 各地工商和市场监管部门要按照《决定》要求，不再单独登记企业集团，不再核发《企业集团登记证》，并认真做好以下衔接工作。一是放宽名称使用条件。企业法人可以在名称中组织形式之前使用“集团”或者“（集团）”字样，该企业为企业集团的母公司。企业集团名称应与母公司名称的行政区划、字号、行业或者经营特点保持一致。需要使用企业集团名称和简称的，母公司应当在申请企业名称登记时一并提出，并在章程中记载。母公司全资或者控股的子公司、经母公司授权的参股公司可以在名称中冠以企业集团名称或者简称。各级工商和市场监管部门对企业集团成员企业的注册资本和数量不做审查。二是强化企业集团信息公示。取消企业集团核准登记后，集团母公司应当将企业集团名称及集团成员信息通过国家企业信用信息公示系统向社会公示。本通知下发前已经取得《企业集团登记证》的，可以不再公示。三是依法加强对企业集团的监督管理。综合运用各种监管手段，依法对辖区内企业集团及其成员企业进行动态监测和核查，形成长效监管机制。发现有违反市场监督管理法律法规行为的，依据相关规定进行处理。
