The market regulation bureaus (departments and commissions) of all provinces, autonomous regions, municipalities directly under the Central Government, and Xinjiang Production and Construction Corp: 各省、自治区、直辖市及新疆生产建设兵团市场监管局(厅、委):
The National Enterprise Credit Information Disclosure System (hereinafter referred to as the “Disclosure System”) is a state-level platform for collecting and disclosing enterprise credit information. It is not only a statutory platform for enterprises to submit and publicize their annual reports and instant information, but also an important means for government departments of all levels to supervise corporate credibility. For the purposes of maximizing the basic role of the Disclosure System in supporting the institutional reform measures in the business sector and the reform of “simplification of administrative procedures, devolution of powers, combination of devolution and regulation, and optimization of services”, promoting the establishment of a unified, open, competitive and orderly market system, providing a modernized state governance system and stronger governing capacity and serving an optimized business environment and the high-quality economic development, further increasing the creditworthiness of enterprises (including individual industrial and commercial households, and specialized farmer cooperatives; the same below), lowering government-imposed transaction costs, stimulating market vitality and creativity, strengthening interim and ex post supervision, and continuing to improve business environment, the relevant matters of further optimizing the Disclosure System are hereby notified as follows: 国家企业信用信息公示系统(以下简称公示系统)是国家级企业信用信息归集公示平台,是企业报送并公示年度报告和即时信息的法定平台,是各级政府部门实施信用监管的重要工作平台。为充分发挥公示系统支撑商事制度改革和“放管服”改革措施落地、推动建设统一开放竞争有序市场体系、推进国家治理体系和治理能力现代化、服务营商环境优化和经济高质量发展的重要基础性作用,更好释放企业(含个体工商户、农民专业合作社,下同)信用红利,降低制度性交易成本,激发市场活力和创造力,加强事中事后监管,持续优化营商环境,现就进一步优化公示系统有关事项通知如下:
I. Optimizing the contents of the Disclosure System   一、优化公示系统内容
1. Disclosing the enterprise-related information according to law: fulfilling the requirements of the Reply of the General Office of the State Council to the Implementation Plan for Unified Collection and Disclosure of Enterprise-related Information of Government Departments (No. 74 [2016] of the General Office of the State Council), displaying the leading role of the market regulatory departments, and accelerating the collection and disclosure of enterprise-related information in all departments of all levels by following the principle of “whoever produces information is responsible for disclosing it” in accordance with the catalogue and data standards of enterprise-related information resources of government departments; working effectively to support the interconnection and data exchange between the Disclosure System and various types of service systems; taking the unified social credit codes as the identifiers in such tasks as registration and recordation, qualification review and management, regular supervision and enforcement, and public service delivery; focusing on registration access approval, supervision for food and drug safety, supervision for the safety of special equipment, supervision for the quality and safety of industrial products, market supervision for key sectors, intellectual property management, crackdown on infringements and counterfeits, competition law enforcement, protection of consumers' rights and interests, standard measurements, certification and accreditation, inspection and testing, and other key tasks; recording the relevant information under the enterprise' name, including corporate registration and recordation, chattel mortgage, equity pledge registration, intellectual property right pledge registration, administrative licensing, administrative punishment, trademark registration, lists of enterprises with abnormal operations and seriously illegal and unfaithful enterprises, other types of blacklists, and spot-check and inspection results, and publishing the information through the Disclosure System, so as to create a “single nationwide network” in which the enterprise-related information covering all business lines under market supervision can be disclosed. (一)依法公示涉企信息。落实《国务院办公厅关于政府部门涉企信息统一归集公示工作实施方案的复函》(国办函〔2016〕74号)要求,发挥市场监管部门牵头作用,按照“谁产生、谁公示、谁负责”原则,依照政府部门涉企信息资源目录、数据标准,加快实现各级各部门涉企信息统一归集公示。做好各类业务系统与公示系统的互联互通和数据对接,在注册登记备案、资质审核管理、日常监管执法、提供公共服务等工作中,以统一社会信用代码为标识,以注册登记准入审批、食品药品安全监管、特种设备安全监管、工业产品质量安全监管、重点领域市场监管、知识产权管理、侵权假冒治理、公平竞争执法、消费者权益保护、标准计量认证认可检验检测等为重点,将企业登记注册备案、动产抵押登记、股权出质登记、知识产权出质登记、行政许可、行政处罚、商标注册、纳入经营异常名录和严重违法失信企业名单及各类黑名单、抽查检查结果等信息,全部记于企业名下并通过公示系统向社会公示,形成全面覆盖市场监管各业务条线的涉企信息公示“全国一张网”。
2. Disclosing the existing data in an orderly manner: strengthening the consolidation and processing of the existing enterprise-related information, specifying the time and rules of disclosure, effectively disclosing the registration and recordation data, and helping solve the problem of information asymmetry between market players, government departments, and the public. The enterprise-related information modified and the information of enterprises deregistered before March 1, 2014 need not to be disclosed. For an enterprise whose business license had been revoked before October 1, 2014, the registry shall disclose its “company name”, “registration number” and “revocation date”, and mark it as “revoked”. The information of chattel mortgage, equity pledge registration, judicial assistance, and administrative punishment occurring before October 1, 2014 need not to be disclosed; and for an enterprise established after October 1, 2014, the registry shall disclose its complete information. For an enterprise established before March 1, 2014, the registry shall disclose the information of its subscribed capital and paid-up capital; for an enterprise established from March 1, 2014 to October 1, 2015, the registry may not disclose the information of its subscribed capital and paid-up capital; and for an enterprise established after October 1, 2015, the registry shall disclose the information of its subscribed capital. (二)有序公示存量信息。加强对涉企信息存量数据的梳理清洗,明确时间节点,明晰公示规则,实现登记备案存量信息的有效公示,推动解决市场主体、政府部门、社会公众间涉企信息不对称问题。2014年3月1日(不含3月1日)前企业的变更信息及此前已注销企业的信息,可不予公示。2014年10月1日(不含10月1日)前已吊销的企业,登记机关应公示“名称”“注册号”“吊销日期”并标注“已吊销”。2014年10月1日(不含10月1日)前的动产抵押登记、股权出质登记、司法协助、行政处罚等,可不予公示;2014年10月1日(含10月1日)后设立的企业,登记机关应公示全量信息。 2014年3月1日(不含3月1日)前设立的企业,登记机关应公示其认缴信息和实缴信息;2014年3月1日至2015年10月1日(不含10月1日)设立的,登记机关不公示其实缴信息和认缴信息;2015年10月1日(含10月1日)后设立的,登记机关应公示其认缴信息。
II. Strengthening the use of and support for the Disclosure System   二、强化应用支撑
3. Supporting the implementation of reform measures: accelerating the establishment of unified provincial platforms for supervising the “inspections of randomly selected entities by randomly selected inspectors and the public release of inspection results” based on the Disclosure System, supporting the interconnection among government departments of different levels on supervision information, and meeting the demands of disclosing the random spot-check results across departments and levels; improving and coordinating the function of “double notification” for the supervision platform, optimizing the pushing, collection, feedback, inquiry and statistics of information related to the reform of “separating certificates from business licenses”, and providing support for the specific policies such as “easy registration but strict regulation”, “combination of devolution and regulation”, shortening the time for starting a business, and reducing the operational costs of enterprises; enhancing the functions of deregistration on the Disclosure system and simplified deregistration, meeting the demands of enterprises for making voluntary disclosure commitments, raising online objections and indicating the bankruptcy and restructuring status, and streamlining the market exit system of enterprises so as to effectively address the difficulties in deregistration and market exit; deploying and performing the function of login authentication of electronic business licenses, and laying a solid platform for large-scale use of electronic business licenses in public service sectors; adding a disclosure function in the information bulletin, inputting the unpermitted or unlicensed business operations into the credit record, and releasing them to the public according to law.

 (三)支撑改革措施落地。依托公示系统加快建设省级统一的“双随机、一公开”监管工作平台,实现各部门、各层级监管信息的互联互通,满足跨部门、跨层级随机抽查检查的公示需求。完善协同监管平台“双告知”功能,优化涉及证照分离改革事项信息的推送、认领、反馈、查询和统计,为宽进严管、放管结合和压缩企业开办时间、降低企业运营成本提供支撑。完善公示系统注销和简易注销等功能模块,满足企业自主公示承诺、在线提起异议、破产重整状态提示等应用需求,畅通企业的市场退出机制,有效解决“注销难”“退出难”问题。部署应用电子营业执照登录认证等功能模块,夯实电子营业执照在公共服务领域规模使用的平台基础。在信息公告栏目增加无证无照经营公示模块,对从事无证无照经营的,依法记入信用记录并向社会公告。
