| Chapter I General Provisions | | 第一章 总则 |
| |
|
| Article 1 These Regulations are formulated for the purposes of strengthening the administration of travel agencies, protecting the lawful rights and interests of tourists and travel agencies, maintaining the order of tourism market and promoting the healthy development of tourism. | | 第一条 为了加强对旅行社的管理，保障旅游者和旅行社的合法权益，维护旅游市场秩序，促进旅游业的健康发展，制定本条例。 |

| Article 2 These Regulations shall apply to travel agencies established within the territory of the People's Republic of China and resident offices established within the territory of the People's Republic of China by foreign travel agencies (hereinafter referred to as resident offices of foreign travel agencies)。 | | 第二条 本条例适用于中华人民共和国境内设立的旅行社和外国旅行社在中华人民共和国境内设立的常驻机构（以下简称外国旅行社常驻机构）。 |

| Article 3 Travel agencies referred to in these Regulations mean the enterprises that engage in the tourism business with making profit as their aim. | | 第三条 本条例所称旅行社，是指有营利目的，从事旅游业务的企业。 |
Tourism business referred to in these Regulations means the business activities of providing such paid services as fulfillment of procedures in respect of exit, entry and visa on behalf of tourists, soliciting and receiving tourists or arranging board and lodging for them. | |
本条例所称旅游业务，是指为旅游者代办出境、入境和签证手续，招徕、接待旅游者，为旅游者安排食宿等有偿服务的经营活动。 |
| |
|
| Article 4 The competent tourism administration department of the State Council shall be responsible for the supervision and administration of travel agencies throughout the country. | | 第四条 国务院旅游行政主管部门负责全国旅行社的监督管理工作。 |
Departments for tourism administration under local people's governments at or above the county level shall, according to their duties, be responsible for the supervision and administration of travel agencies within their respective administrative areas. | |
县级以上地方人民政府管理旅游工作的部门按照职责负责本行政区域内的旅行社的监督管理工作。 |
Departments mentioned in Paragraphs 1 and 2 of this Article are collectively referred to as the tourism administration departments. | |
本条第一款、第二款规定的部门统称旅游行政管理部门。 |

| Article 5 Travel agencies shall be categorized into international travel agencies and domestic travel agencies according to their business scope. Where necessary, the special provisions of these Regulations, if any, shall apply thereto. | | 第五条 旅行社按照经营业务范围，分为国际旅行社和国内旅行社。本条例另有特别规定的，依照其规定。 |
The business scope of international travel agencies shall include the inbound tourism business, outbound tourism business and domestic tourism business. | |
国际旅行社的经营范围包括入境旅游业务、出境旅游业务、国内旅游业务。 |
The business scope of domestic travel agencies shall be limited only to the domestic tourism business. | |
国内旅行社的经营范围仅限于国内旅游业务。 |
| |
|
| Chapter II Establishment of Travel Agencies | | 第二章 旅行社设立 |
| |
|
| Article 6 To establish a travel agency, the following conditions shall be satisfied: | | 第六条 设立旅行社，应当具备下列条件： |
| |
|
| (1) having the fixed business premises; | | （一）有固定的营业场所； |
| |
|
| (2) having necessary business facilities; | | （二）有必要的营业设施； |
| |
|
| (3) having trained business personnel who possess the qualification certificate issued by the tourism administration department of the people's government at or above the level of province, autonomous region or municipality directly under the Central Government; and | | （三）有经培训并持有省、自治区、直辖市以上人民政府旅游行政管理部门颁发的资格证书的经营人员； |
| |
|
| (4) having the registered capital and the quality guaranty bond as specified in Articles 7 and 8 of these Regulations. | | （四）有符合本条例第七条、第八条规定的注册资本和质量保证金。 |
| |
|
| Article 7 The registered capital of travel agencies shall comply with the following requirements: | | 第七条 旅行社的注册资本，应当符合下列要求： |
| |
|
| (1) The registered capital of an international travel agency may not be less than RMB 1.5 million yuan; and | | （一）国际旅行社，注册资本不得少于１５０万元人民币； |
| |
|
| (2) The registered capital of a domestic travel agency may not be less than RMB 300,000 yuan. | | （二）国内旅行社，注册资本不得少于３０万元人民币。 |
| |
|
| Article 8 To apply to establish a travel agency, the quality guaranty bond shall be paid to the tourism administration department according to the following provisions: | | 第八条 申请设立旅行社，应当按照下列标准向旅游行政管理部门交纳质量保证金： |
| |
|
| (1) The applicant for establishing an international travel agency shall pay RMB 600,000 yuan for the inbound tourism business or RMB 1 million yuan for the outbound tourism business; and | | （一）国际旅行社经营入境旅游业务的，交纳６０万元人民币；经营出境旅游业务的，交纳１００万元人民币； |
| |
|
| (2) The applicant for establishing a domestic travel agency shall pay RMB 100,000 yuan. | | （二）国内旅行社，交纳１０万元人民币。 |
The quality guaranty bond and its interests accrued in the period of custody by the tourism administration department shall belong to the travel agency; the tourism administration department may, according to the relevant provisions of the State, deduct the custody fee at a certain rate from the interest. | |
质量保证金及其在旅游行政管理部门负责管理期间产生的利息，属于旅行社所有；旅游行政管理部门按照国家有关规定，可以从利息中提取一定比例的管理费。 |
| |
|
| Article 9 To apply to establish an international travel agency, the application shall be submitted to the department for tourism administration of the people's government of the province, autonomous region or municipality directly under the Central Government where it is to be situated; after the examination and consent by the department for tourism administration of the people's government of the province, autonomous region or municipality directly under the Central Government, that application shall be submitted to the competent tourism administration department of the State Council for examination and approval. | | 第九条 申请设立国际旅行社，应当向所在地的省、自治区、直辖市人民政府管理旅游工作的部门提出申请；省、自治区、直辖市人民政府管理旅游工作的部门审查同意后，报国务院旅游行政主管部门审核批准。 |
TO apply to establish a domestic travel agency, the application shall be submitted for approval to the department for tourism administration of the people's government of the province, autonomous region or municipality directly under the Central Government where it is to be situated. | |
申请设立国内旅行社，应当向所在地的省、自治区、直辖市管理旅游工作的部门申请批准。 |
| |
|
| Article 10 To apply to establish a travel agency, the following documents shall be submitted: | | 第十条 申请设立旅行社，应当提交下列文件： |
| |
|
| (1) the written application for the proposed travel agency; | | （一）设立申请书； |
| |
|
| (2) the feasibility study report for the proposed travel agency; | | （二）设立旅行社可行性研究报告； |
| |
|
| (3) the articles of association of the proposed travel agency; | | （三）旅行社章程； |
| |
|
| (4) resumes of the manager and deputy managers of the proposed travel agency and their qualification certificates as specified in Item (3) of Article 6 of these Regulations; | | （四）旅行社经理、副经理履历表和本条例第六条第三项规定的资格证书； |
| |
|
| (5) the capital and credibility certification issued by the deposit bank and the capital verification report issued by the certified public accountant and his accounting firm or auditing firm; | | （五）开户银行出具的资金信用证明、注册会计师及其会计师事务所或者审计师事务所出具的验资报告； |
| |
|
| (6) the business premises certificate; and | | （六）经营场所证明； |
| |
|
| (7) the business facilities certificate. | | （七）经营设备情况证明。 |
| |
|
| Article 11 The tourism administration department shall, after the receipt of an application, carry out the examination according to the following principles: | | 第十一条 旅游行政管理部门收到申请书后，根据下列原则进行审核： |
| |
|
| (1) whether or not it conforms to the tourism development planning; | | （一）符合旅游业发展规划； |
| |
|
| (2) whether or not it meets the need of tourist market; and | | （二）符合旅游市场需要； |
| |
|
| (3) whether or not it satisfies the conditions as specified in Article 6 of these Regulations. | | （三）具备本条例第六条规定的条件。 |
The tourism administration department shall, within 30 days from the date of receipt of the application, make the decision of approval or disapproval, and notify the applicant of its findings. | |
旅游行政管理部门应当自收到申请书之日起３０日内，作出批准或者不批准的决定，并通知申请人。 |
| |
|
| Article 12 If the application is approved upon examination and approval, the tourism administration department shall issue the Business Operation Permit for Travel Agency to the applicant. The applicant shall, by presenting such a Permit, obtain the business license from the industrial and commercial administration department. | | 第十二条 旅游行政管理部门应当向经审核批准的申请人颁发《旅行社业务经营许可证》，申请人持《旅行社业务经营许可证》向工商行政管理机关领取营业执照。 |
The applicant who fails to obtain the Business Operation Permit for Travel Agency may not engage in the tourism business. | |
未取得《旅行社业务经营许可证》的，不得从事旅游业务。 |
| |
|
| Article 13 The travel agency that intends to make a change to its business scope shall obtain approval from the tourism administration department that originally approved it, and after that, go through the registration formalities for the change with the industrial and commercial administration department. | | 第十三条 旅行社变更经营范围的，应当经原审批的旅游行政管理部门审核批准后，到工商行政管理机关办理变更登记手续。 |
The travel agency that intends to make a change to such item as its name, business premises or legal representative, or to terminate or suspend its business, shall go through the relevant registration formalities for the change or cancellation with the industrial and commercial administration department, and report it to the tourism administration department that originally approved it for the record. | |
旅行社变更名称、经营场所、法定代表人等或者停业、歇业的，应当到工商行政管理机关办理相应的变更登记或者注销登记，并向原审核批准的旅游行政管理部门备案。 |
| |
|
| Article 14 The tourism administration departments shall practice the system of announcement with regard to travel agencies, which shall include the announcement of business commencement, change of name or business scope, termination of business or revocation of permit. | | 第十四条 旅游行政管理部门对旅行社实行公告制度。公告包括开业公告、变更名称公告、变更经营范围公告、停业公告、吊销许可证公告。 |

| Article 15 The travel agency that has an annual reception of more than 100,000 person-time tourists may set up branch agency which has no status of legal person (hereinafter referred to as the branch)。 | | 第十五条 旅行社每年接待旅游者１０万人次以上的，可以设立不具有法人资格的分社（以下简称分社）。 |
The international travel agency shall make an increase of RMB 750,000 yuan to its registered capital and RMB 300,000 yuan to its quality guaranty bond when a branch is set up. The domestic travel agency shall make an increase of RMB 150,000 yuan to its registered capital and RMB 50,000 yuan to its quality guaranty bond when a branch is set up. | |
国际旅行社每设立一个分社，应当增加注册资本７５万元人民币，增交质量保证金３０万元人民币；国内旅行社每设立一个分社，应当增加注册资本１５万元人民币，增交质量保证金５万元人民币。 |
Travel agencies and their branches shall be under unified management, financial control, market promotion and receiving. | |
旅行社同其设立的分社应当实行统一管理、统一财务、统一招徕、统一接待。 |
The branches set up by travel agencies shall accept the supervision and administration from the departments for tourism administration of local people's governments at and above the county level where they are located. | |
旅行社设立的分社，应当接受所在地的县级以上地方人民政府管理旅游工作的部门的监督管理。 |

|
Article 16 Foreign travel agencies that intend to establish resident offices within the territory of the People's Republic of China must obtain approval from the competent tourism administration department of the State Council.
