| Chapter I General Provisions | | 第一章 总 则 |
| Article 1 In order to regulate the qualifications accreditation of foreign aid project implementation (hereinafter referred to as “FAPI”) enterprises, these Measures are formulated in accordance with the Administrative Licensing Law and the Decision of the State Council on Establishing Administrative Licenses for the Administrative Approval Items Really Necessary to Be Retained (Order No. 412 [2004], State Council). | | 第一条 为规范对外援助项目实施企业（以下简称援外项目实施企业）的资格认定，依据《行政许可法》和《国务院对确需保留的行政审批项目设定行政许可的决定》（国务院令2004年第412号），制定本办法。 |
| Article 2 For the purpose of these Measures, “FAPI enterprises” refer to the enterprises and other organizations that can undertake the FAPI tasks of the Chinese government upon qualification accreditation. | | 第二条 本办法所称援外项目实施企业是指经资格认定，可承担中国政府对外援助项目实施任务的企业和其他组织。 |
| The “FAPI enterprises” as mentioned in the preceding paragraph include: | | 前款所称的援外项目实施企业包括： |
| (1) The general contracting enterprises and management enterprises of complete foreign aid projects (hereinafter referred to as “complete projects”). | | （一）对外援助成套项目（以下简称成套项目）总承包企业和项目管理企业； |
| (2) The general contracting enterprises of foreign aid material projects (hereinafter referred to as “material projects”). | | （二）对外援助物资项目（以下简称物资项目）总承包企业； |
| (3) The entities implementing foreign technical aid projects (hereinafter referred to as “technical aid projects”). | | （三）对外技术援助项目（以下简称技术援助项目）实施单位； |
| (4) The enterprises implementing foreign human resources development and cooperation projects (hereinafter referred to as “HR projects”). | | （四）对外人力资源开发合作项目（以下简称人力资源项目）实施单位； |
| (5) The consulting service entities for foreign aid projects. | | （五）对外援助项目咨询服务单位。 |
| Article 3 The Ministry of Commerce shall take charge of the qualification accreditation and qualification administration of FAPI enterprises. | | 第三条 商务部负责援外项目实施企业的资格认定和资格管理。 |
| The commerce departments of all provinces, autonomous regions, municipalities directly under the Central Government, and Xinjiang Construction and Production Corps (hereinafter referred to as “provincial commerce departments”) shall assist the Ministry of Commerce in conducting the qualifications accreditation of FAPI enterprises. | | 省、自治区、直辖市及新疆生产建设兵团商务主管部门（以下统称省级商务主管部门）协助商务部进行援外项目实施企业资格认定。 |
| The administrative authorities of foreign aid projects shall assist the Ministry of Commerce in conducting the qualification administration of FAPI enterprises. | | 援外项目管理机构协助商务部对援外项目实施企业进行资格管理。 |
| Article 4 The Ministry of Commerce shall, according to different categories of FAPI enterprises, conduct the qualifications accreditation of FAPI enterprises respectively by means of qualification examination or qualification bidding. | | 第四条 商务部根据援外项目实施企业的不同类别，分别采用资格审查或资格招标方式进行援外项目实施企业资格认定。 |
| The accredited FAPI enterprises may, within the scope of the corresponding qualification categories, undertake the specific FAPI tasks. | | 经资格认定的援外项目实施企业可在相应的资格类别范围内承担援外项目具体实施任务。 |
| Chapter II Qualification Conditions and Ways of Accreditation | | 第二章 资格条件及认定方式 |
| Article 5 An FAPI enterprise shall meet the following basic qualification conditions: | | 第五条 援外项目实施企业应具备以下基本资格条件： |
| (1) It is a legal person formed under Chinese law within the territory of China. | | （一）系依照中国法律在中国境内设立的法人； |
| (2) All of its capital contributors are Chinese investors | | （二）所有出资人均为中国投资者； |
| (3) No loss occurs in the first three accounting years. | | （三）前三个会计年度未出现亏损； |
| (4) It has not been given any criminal punishment or administrative penalty due to engagement in illegal business activities or serious violation of the relevant rules on foreign aid administration in the last three years. | | （四）前三年未受过刑事处罚、未因进行非法经营活动或违反有关援外管理规章受过行政处罚； |
| (5) It has paid taxes and social insurance premiums in accordance with the law. | | （五）依法纳税和缴纳社会保险费。 |
| Article 6 The Ministry of Commerce shall accredit the qualifications of general contracting enterprises of complete projects by means of qualification examination. | | 第六条 商务部通过资格审查方式认定成套项目总承包企业资格。 |
| An applicant for the qualification of a general contracting enterprise of complete projects shall meet the following conditions in addition to the basic qualification conditions as prescribed in Article 5: | | 申请成套项目总承包企业资格的，除具备第五条规定的基本资格条件外，还应具备以下条件： |
| (1) It is qualified as a Special-Grade general construction contractor, or has the technical qualification of a Grade-A general construction contractor or a general construction contractor of the corresponding grade, and it has been listed into the Top 100 in terms of turnovers of foreign aid projects under the statistics of the Ministry of Commerce in each of the first three years before its application is filed. | | （一）具备特级施工总承包资质；或具备一级施工总承包或相应等级的技术资质，申请前三年均列入商务部统计对外承包工程营业额前一百强； |
| (2) It has passed the certification of the quality management system, environmental management system and occupational health and safety management system and the certification qualification is valid. | | （三）通过质量管理体系、环境管理体系、职业健康安全管理体系认证且认证资格有效； |
| (3) It has a good financial credit standing. | | （四）具有良好的金融资信条件； |
| (4) It has a good business integrity performance. | | （五）具有良好的经营诚信表现。 |
| Article 7 The Ministry of Commerce shall accredit the qualifications of the management enterprises of complete projects by means of qualification bidding. | | 第七条 商务部通过资格招标方式认定成套项目管理企业资格。 |
| A participant in the bidding for the qualification of a management enterprise of complete projects shall meet the following conditions in addition to the basic qualification conditions as prescribed in Article 5: | | 参与成套项目管理企业资格招标的，除具备第五条规定的基本资格条件外，还应具备以下条件： |
| (1) It has the Grade-A engineering design qualification which allows it to engage in project management services issued by the competent construction department of the State Council, or the Grade-A qualification for project management (whole-process management or whole-process planning and management at the preparatory stage) issued by the development and reform administrative department of the State Council. | | （一）具备国务院建设主管部门颁发的可从事项目管理服务的工程设计甲级资质，或国务院发展改革主管部门颁发的工程项目管理（全过程管理或全过程策划和准备阶段管理类别）甲级资格； |
| (2) It has the Grade-A project supervision qualification issued by the competent construction department of the State Council, or has concluded a long-term cooperation agreement with a legal entity with the Grade-A project supervision qualification. | | （二）具备国务院建设主管部门颁发的工程监理甲级资质，或与具备工程监理甲级资质法人单位签订长期合作协议； |
| (3) It has the achievement of conducting the relevant business overseas. | | （三）具备在境外开展相关业务的业绩； |
| (4) It has the experience in engineering project management. | | （四）具有工程项目的项目管理经验。 |
| Article 8 The Ministry of Commerce shall accredit the qualifications of general contracting enterprises of material projects by means of qualification examination. | | 第八条 商务部通过资格审查方式认定物资项目总承包企业资格。 |
| An applicant for the qualification of a general contracting enterprise of material projects shall meet the following conditions in addition to the basic qualification conditions as prescribed in Article 5: | | 申请物资项目总承包企业资格的，除具备第五条规定的基本资格条件外，还应具备以下条件： |
| (1) It is a foreign trade operator that complies with the provisions of the Foreign Trade Law . | | （一）系符合《对外贸易法》规定的对外贸易经营者； |
| (2) It has a good financial credit standing. | | （二）具有良好的金融资信条件； |
| (3) It has import or export performances in the aided countries within three years before the application is filed. | | （三）申请前三年在受援国有进出口业绩； |
| (4) It has a good business integrity performance. | | （四）具有良好的经营诚信表现。 |
| Article 9 The Ministry of Commerce shall accredit the qualifications of the entities implementing technical aid projects by means of qualification bidding. | | 第九条 商务部通过资格招标方式认定技术援助项目实施单位资格。 |
| A participant in the bidding for the qualification of the entity implementing technical aid projects shall meet the following conditions in addition to the basic qualification conditions as prescribed in Article 5: | | 参与技术援助项目实施单位资格招标的，除具备第五条规定的基本资格条件外，还应具备以下条件： |
| (1) It has the technical capacity of the relevant specialty. | | （一）具备相关专业的技术能力； |
| (2) It has the performance of conducting the relevant business overseas. | | （二）具备在境外开展相关业务的业绩； |
| (3) It has the experience in implementing any relevant project. | | （三）具备相关项目的实施经验。 |
| Article 10 The Ministry of Commerce shall accredit the qualifications of the entities implementing HR projects by means of qualification bidding. | | 第十条 商务部通过资格招标方式认定人力资源项目实施单位资格。 |
| A participant in the bidding for the qualification of an entity implementing HR projects shall meet the following conditions in addition to the basic qualification conditions as prescribed in Article 5: | | 参与人力资源项目实施单位资格招标的，除具备第五条规定的基本资格条件外，还应具备以下条件： |
| (1) It has rich experience in conducting trainings for foreigners and strong reception capabilities in respect of foreign affairs. | | （一）具备丰富的对外培训经验和较强的外事接待能力； |
| (2) It has the teaching faculties, training places and other hardware and software required for conducting trainings. | | （二）具备开展培训所需的师资力量、培训场所和其他软硬件； |
| (3) It has strong scientific research capacities and large influence in the relevant industry, profession or field. | | （三）在相关行业、专业或领域内，具有较高的科研能力和影响力。 |
| Article 11 The Ministry of Commerce shall accredit the qualifications of consulting service entities by means of qualification bidding. | | 第十一条 商务部通过资格招标方式认定咨询服务单位资格。 |
| A participant in the bidding for the qualification of a consulting service entity shall meet the following conditions in addition to the basic qualification conditions as prescribed in Article 5: | | 参与咨询服务单位资格招标的，除具备第五条规定的基本资格条件外，还应具备以下条件： |
| (1) It has the consultation qualification or other technical qualifications approved by the relevant administrative departments of the State Council. | | （一）具备国务院有关行政主管部门核准的咨询资质或其他技术资质； |
| (2) It has the relevant performance in providing consultation services for overseas projects. | | （二）具备开展境外项目咨询服务的相关业绩； |
| (3) It has the experience in project consultation services. | | （三）具备项目咨询服务经验。 |
