According to the Notice of the Ministry of Commerce on the Decentralization of the Power to Approve Foreign-funded Commercial Enterprises (No.51 [2008] of the Ministry of Commerce), the power to approve foreign-funded commercial enterprises has been decentralized to the provincial commerce departments. To regulate the examination, approval and filing of foreign-funded commercial enterprises, we hereby notify you of the relevant matters as follows: | |
根据《商务部关于下放外商投资商业企业审批事项的通知》（商资函[2008]51号），外商投资商业企业的审批权限已下放至省级商务主管部门。为规范外商投资商业企业的审核和备案工作，现就有关事项通知如下： |

| I. Examination and Approval of Foreign-funded Commercial Enterprises | | 一、关于审核外商投资商业企业 |

| 1. In the examination and approval of the formation of foreign-funded commercial retail enterprises, the foreign investment departments shall solicit the opinion of the domestic trade departments, and the stores to be opened shall conform to the provisions on the urban development and commercial development of cities where they are located. If a foreign-funded commercial enterprise makes any investment in real estate, it shall also conform to the relevant provisions on foreign investment in real estate. | | （一）审核设立外商投资商业零售企业，外资主管部门应征求内贸主管部门的意见，所设店铺应符合所在城市发展及城市商业发展的有关规定。商业企业涉及房地产投资的应符合外商投资房地产业的相关规定。 |

| 2. In the examination and approval of the merger of commercial retail enterprises (and their stores) by foreign investment, the foreign investment departments shall solicit the opinions of the domestic trade departments, the foreign exchange departments, the taxation departments, the industry and commerce departments and, if it involves the listing of stocks either inside or outside China, the CSRC. If the assets of the merged commercial retail enterprises are state-owned, it shall conform to the state-owned assets management provisions and solicit the opinion of the state-owned assets administration departments. | | （二）外资并购商业零售企业（含店铺），外资主管部门应征求内贸、外汇、税务、工商等部门意见，如涉及境内外上市，还应征求证监会意见，被并购企业资产属于国有资产的应符合国有资产管理有关规定并征求国有资产管理部门的意见。 |

| 3. It is required to expressly state in the scope of business of foreign-funded commercial enterprises that “it does not involve goods subject to the administration of state-run trade. If it involves goods subject to quota control or licensing administration, it shall apply for the required quota or license pursuant to the relevant state provisions.” If the scope of business of any enterprise involves franchise operation, it must be registered as “engaging in commercial activities by franchise.” | | （三）外商投资商业企业的经营范围应注明“不涉及国营贸易管理商品，涉及配额、许可证管理商品的，按国家有关规定办理申请”。经营范围涉及商业特许经营的，须注册“以特许经营方式从事商业活动”。 |

4. The provincial commerce departments may, in light of the actual situations, further decentralize the power to approve foreign-funded commercial enterprises to the commerce departments at lower levels upon the approval of the Ministry of Commerce.
