| Provisions on Matters Concerning the Implementation of Mixed Ownership Reform by Central Enterprises | | 中央企业实施混合所有制改革有关事项的规定 |
| I. The leading groups for comprehensively deepening reform of all central enterprises shall be responsible for making overall planning for the overall work concerning these enterprises' mixed ownership reform, organizing the research and development of reform plans of group companies and subsidiaries at all levels, deploying and promoting in a unified manner the implementation of reform plans, coordinating in solving major issues arising in the reform, and tracking and evaluating the effectiveness of the reform in a timely manner to ensure that reform is conducted in accordance with laws and regulations. | | 一、各中央企业全面深化改革领导小组负责统筹本企业混合所有制改革总体工作，组织集团公司及各级子企业改革方案的研究制订，统一部署和推动改革方案落实，协调解决改革过程中的重大问题，及时跟踪、评估改革成效，确保改革依法合规进行。 |
| II. Central enterprises implementing mixed ownership reform shall abide by the relevant provisions of the Company Law of the People's Republic of China, the Law of the People's Republic of China on the State-owned Assets of Enterprises and other laws and administrative regulations and company bylaws, and perform the following operation procedures: | | 二、中央企业实施混合所有制改革，应当遵守《中华人民共和国公司法》、《中华人民共和国企业国有资产法》等法律、行政法规及公司章程的有关规定，并履行以下操作流程： |
| (1) Feasibility study. Enterprises that plan to implement mixed-ownership reform shall, based on the definition and classification of the functions of these enterprises, effectively conduct study on the necessity and feasibility of the reform under the reform principles determined in accordance with the Opinions of the State Council on the Development of Mixed Ownership Economy by State-owned Enterprises (No. 54 [2015], State Council, hereinafter referred to as the “Opinions” and in consideration of the development needs of enterprises. | | （一）可行性研究。拟实施混合所有制改革的企业，应当在本企业功能界定和分类的基础上，按照《国务院关于国有企业发展混合所有制经济的意见》（国发〔2015〕54号，以下简称《意见》）确定的改革原则，结合企业发展需要，做好改革的必要性、可行性研究。 |
(2) Development of plans. Enterprises that are appropriate for advancing the mixed ownership reform upon study shall develop specific reform plans, clarify the content of the reform, effectively conduct risk assessment and regulatory compliance review, and retain experts to conduct demonstration if necessary.
