For purposes of further improving the rules for the delisting of listed companies, improving the function of the capital market, enhancing the quality of listed companies, and protecting the lawful rights and interests of investors, according to the Decision of the China Securities Regulatory Commission on Amending the Several Opinions on Reforming, Improving and Strictly Implementing the Rules for the Delisting of Listed Companies (hereinafter referred to as the “Decision”), the Shenzhen Stock Exchange (“SZSE”) has drafted the Implementation Measures of the Shenzhen Stock Exchange for Compulsory Delisting of Listed Companies Due to Major Violations of Law (hereinafter referred to as the “Implementation Measures”), has revised the Rules Governing theListing of Shares on the Shenzhen Stock Exchange (2018 Revision), the Rules Governing the Listing of Shares on the ChiNext Market of the Shenzhen Stock Exchange (2018 Revision), and the Implementation Measures of the Shenzhen Stock Exchange for the Relisting of Delisted Companies (2015 Revision), and has formed the Rules Governing the Listing of Shares on the Shenzhen Stock Exchange (Revised in November 2018), the Rules Governing the Listing of Shares on the ChiNext Market of the Shenzhen Stock Exchange (Revised in November 2018) and the Implementation Measures of the Shenzhen Stock Exchange for the Relisting of Delisted Companies (2018 Revision). The aforesaid rules of the SZSE (hereinafter collectively referred to as “new rules”), as deliberated and adopted at the board of directors of the SZSE and submitted to the China Securities Regulatory Commission (“CSRC”) for approval, are hereby issued and shall come into force on the date of issuance, upon which the Notice by the SZSE of Amending Articles 1.1 and 1.2 of the Rules Governing the Listing of Shares on the Shenzhen Stock Exchange (No. 281 [2018], SZSE) issued on June 15, 2018 shall be repealed.
