All foreign trade & economic cooperation commissions (departments or bureaus) and securities regulatory commissions of all provinces, autonomous regions and municipalities directly under the Central Government and cities specially designated in the state plan: | |

In order to promote the healthy deveopment of the domestic stock market and regulate the activities of Foreign-funded Joint Stock Limited Companies such as listing stocks and entering the stock market, in the spirit of the State Council which has allowed the eiligible foreign-funded investment companies to apply for listing by issuing A-stock or B- stock, the Ministry of Foreign Trade and Economic Cooperation and the China Securites Regulatory Commission have jointly enacted Some Opinions Relevant to Foreign Investment in Listed Companies, which is hereby issued to you for your conscientious implementation. Any trouble or problem encountered in the implementation of the present Opinions shall be reported to the MOFTEC and CSRC in a timely way. | |
为了推动境内股票市场的健康发展，规范外商投资股份有限公司上市发行股票和外商投资企业进入股票市场的行为，根据国务院关于“允许符合条件的外商投资企业申请发行Ａ股或Ｂ股”的精神，外经贸部、证监会联合制定了《关于上市公司涉及外商投资有关问题的若干意见》。现印发给你们。请各地结合实际认真贯彻执行。执行中有何情况和问题，请及时向两部（会）反映。特此通知 |

关于上市公司涉及外商投资有关问题的若干意见 |
The following opinions are hereby by proposed for the purpose of promoting the healthy development of the domestic stock exchanges and standardizing the issuance of stocks by the foreign-invested stock companies and the entrance of foreign-invested companies into the stock market. | |
为了推动境内股票市场的健康发展，规范外商投资股份有限公司上市发行股票和外商投资企业进入股票市场的行为，现提出以下意见： |

| I. The establishment of foreign-invested stock companies | | 一、关于外商投资股份有限公司设立。 |
The establishment of foreign-invested stock companies or the application of existing foreign-invested limited liability companies for changing into foreign-invested stock companies shall satisfy the requests as mentioned in the Interim Provisions on Some Issues Regarding the Establishment of Foreign-invested Stock Companies (Order No. 1 [1995] of the MOFTEC) and shall be subject to the approval of the MOFTEC according to stipulated procedures. | |
设立外商投资股份有限公司或现有的外商投资有限责任公司申请转为外商投资股份有限公司，须符合《关于设立外商投资股份有限公司若干问题的暂行规定》（外经贸部令１９９５年第１号）的要求并按规定程序报外经贸部审批。 |

1.The issuance of stocks within the territory of PRC by foreign-invested stock companies (A shares and B shares) shall be in conformity with the industrial policies regarding foreign investment and the requests for the issuance of stocks by listed companies;
