The people's governments of all provinces, autonomous regions, and municipalities directly under the Central Government; and all ministries and commissions of the State Council and all institutions directly under the State Council: 各省、自治区、直辖市人民政府,国务院各部委、各直属机构:
The CPC Central Committee and the State Council have attached great importance to the reform of the business system. In recent years, remarkable achievements have been made in the reform of the business system, market access has become more facilitated, the market regulation system has been continuously improved, market participants have been flourishing, and the business environment has been significantly improved. However, the phenomenon of “granting access but disallowing operation” still exists nationwide, and the capabilities of easy access and strict regulation and coordinated and joint governance still need to be enhanced. For the purposes of better advancing in an overall manner the prevention and control of the COVID-19 outbreak and economic and social development, accelerating the creation of a market-oriented, law-based and international business environment, and unleashing the full potential of social entrepreneurship and innovation, and stimulating the vitality of enterprises, with the approval of the State Council, you are hereby notified of the relevant matters as follows: 党中央、国务院高度重视商事制度改革。近年来,商事制度改革取得显著成效,市场准入更加便捷,市场监管机制不断完善,市场主体繁荣发展,营商环境大幅改善。但从全国范围看,“准入不准营”现象依然存在,宽进严管、协同共治能力仍需强化。为更好统筹推进新冠肺炎疫情防控和经济社会发展,加快打造市场化、法治化、国际化营商环境,充分释放社会创业创新潜力、激发企业活力,经国务院同意,现将有关事项通知如下:
I. Promoting the whole-process online services for formation of enterprises   一、推进企业开办全程网上办理
(1) Comprehensively promoting the “one-stop online services” for formation of enterprises. Before the end of 2020, all provinces, autonomous regions, municipalities directly under the Central Government, and Xinjiang Production and Construction Corps shall open “one-stop online services” platforms for formation of enterprises to achieve the whole-process online services for formation of enterprises and further shorten the time for formation of enterprises to four working days or less. On this basis, explorations shall be made for promoting the pilot program of standardized and regulated formation of enterprises. (一)全面推广企业开办“一网通办”。2020年年底前,各省、自治区、直辖市和新疆生产建设兵团全部开通企业开办“一网通办”平台,做到企业开办全程网上办理,进一步压减企业开办时间至4个工作日内或更少。在此基础上,探索推动企业开办标准化、规范化试点。
(2) Keeping improving the service capabilities concerning enterprise formation. Based on “one-stop online services” platforms, the filing of applications for enterprise registration, engraving of official seals, purchase of invoices and tax control equipment, registration of employees' participation in social insurance and registration of enterprises' housing provident fund contribution online by “completing one application form” shall be implemented. The localities where conditions permit may enable applicants to receive offline the materials they apply for on an one-off basis via “one window,” or realize the handling of relevant matters without the need to be physically present through delivery services or self-service printing, among others. On the premise of strengthening regulation and ensuring safety, the use of electronic business licenses, electronic invoices, and electronic seals on a broader scale shall be vigorously promoted. (二)持续提升企业开办服务能力。依托“一网通办”平台,推行企业登记、公章刻制、申领发票和税控设备、员工参保登记、住房公积金企业缴存登记线上“一表填报”申请办理。具备条件的地方实现办齐的材料线下“一个窗口”一次领取,或者通过寄递、自助打印等实现不见面办理。在加强监管、保障安全前提下,大力推进电子营业执照、电子发票、电子印章在更广领域运用。
II. Promoting new breakthroughs in the registration system reform   二、推进注册登记制度改革取得新突破
(3) Stepping up efforts in the reform of domicile and business premises registration. All provincial people's governments shall be supported in conducting the pilot program of separate registration of domiciles and business premises in an overall manner. A market participant may register one domicile and multiple business premises. The registration of domiciles as correspondence addresses and the addresses for service of judicial documents (including administrative law enforcement documents) shall be subject to the self-declaration commitment system. All localities may develop relevant measures for the administration of business premises in light of their actual circumstances. Where a market participant conducts business activities at a place other than its domicile but the place is under the jurisdiction of the same registration authority at the county level, it shall be exempted from forming a branch office, and only needs to apply for the registration of addition of a business premises to facilitate the enterprise's expansion of its business scope.

 (三)加大住所与经营场所登记改革力度。支持各省级人民政府统筹开展住所与经营场所分离登记试点。市场主体可以登记一个住所和多个经营场所。对住所作为通信地址和司法文书(含行政执法文书)送达地登记,实行自主申报承诺制。对经营场所,各地可结合实际制定有关管理措施。对于市场主体在住所以外开展经营活动、属于同一县级登记机关管辖的,免于设立分支机构,申请增加经营场所登记即可,方便企业扩大经营规模。
