中国银行新疆分行诉新兴公司信用证交易纠纷案

 原告:中国银行新疆维吾尔自治区分行。
 诉讼代表人:康美,分行行长。

 被告:新疆新兴水利电力实业总公司。

 委托代理人:董熠,乌鲁木齐市三元法律事务所副主任。
 原告中国银行新疆维吾尔自治区分行(下称新疆分行)因与被告新疆新兴水利电力实业总公司(下称新兴公司)发生信用证交易纠纷,向新疆维吾尔自治区高级人民法院提起诉讼。
 原告诉称:被告作为一笔信用证交易的受益人,在请求我行议付的同时提出押汇申请。我行接受该申请,给被告提供了84万美元的出口押汇资金。在该笔信用证交易因单证不符被保兑行拒付后,被告拒绝按其书面承诺给我行返还代垫的资金。请求判令被告偿付代垫的资金本息以及其他经济损失共计人民币10031627.78元。
 被告辩称:此笔信用证交易被保兑行拒付,是由于原告没有按照国际商会第500号出版物《跟单信用证统一惯例》(以下简称UCP500)的规定合理谨慎地审单,以致单证不符。原告对此应当承担责任。我公司所作愿返还押汇的承诺,其前提条件是“出现不属于银行业务范畴内的意外情况”。合理谨慎地审单,是银行业务范畴内应尽的职责。原告断章取义,曲解我公司的承诺。另外,原告诉请我公司还款,是基于票据关系中持票人的追索权。原告在规定期限内没有向我公司出示国外银行的拒付证明,已经丧失了对前手的追索权。对原告的诉讼请求,法院应当驳回。
 新疆维吾尔自治区高级人民法院经审理查明:1995年10月,被告新兴公司与乌克兰尼里亚公司签订了一份120吨洋葱种子的进出口合同。随后,原告新疆分行于同月17日收到一份由乌克兰斯拉夫商业银行开出并经德国法兰克福银行加保的不可撤销备用信和证。证号99519I1610,申请人是乌克兰尼里亚公司,受益人是新兴公司,金额为84万美元。新疆分行在审查了信用证的印押后通知了新兴公司。新兴公司仅以自己是首次使用信用证的结算方式,不熟悉操作程序为由,口头委托新疆分行具体指导及代制有关单据,但是始终未对信用证条款提出任何修改意见。之后,新兴公司按信用证的要求准备了出口货物,并于11月22日向新疆分行提交了信用证项下的有关单据,请求议付。新疆分行在审单时发现信用证中对运输单据的要求一栏内用括号注明应当使用CMR(国际公路货物运输合同公约)运输单据,便用电话向承运单位查询,在得到是CMR运输单据的答复后,即结束审单。新疆分行在将单据发往国外保兑行确认的同时接受新兴公司的申请,以新兴公司的单据为质押,向其提供了人民币6,965,952元(折合84万美元)、为期三个月的出口押汇。次日,新兴公司给新疆分行提交了内容为“该笔84万美元实属新疆分行预垫资金,如新疆分行以信用证与法兰克福银行结算中出现不属贵行业务范畴内的意外情况,我公司愿承担该款的偿还责任”的书面承诺新疆分行发往保兑行确认的单据,被保兑行以运输单据与信用证要求不符为由拒付。
