On December 31, 1996 Hainan Higher People's Court made a final civil judgment about the case of disputes between Hainan Tonglian Shipping Company (hereinafter referred to as Tonglian Company) and Minmetals International Nonferrous Metals Trading Company (hereinafter referred to as Minmetals Company) over the maritime shipping of cargos. Tonglian Company applied to the Supreme People's Court for retrial because it refused to accept the final civil judgment. The Supreme People's Court decided to bring this case to trial.@#

海南通连船务公司（以下简称通连公司）与五矿国际有色金属贸易公司（以下简称五矿公司）海上货物运输纠纷一案，海南省高级人民法院于１９９６年１２月３１日作出终审民事判决。通连公司不服该终审判决，向最高人民法院提出申诉，请求再审。最高人民法院决定对本案进行提审。@#
最高人民法院经再审理查明：１９９５年１１月２０日，五矿公司与日本丰田通商株式会社（以下简称丰田通商）签订一份货量为１５００吨的低磷硅锰合金购销合同，嗣后，买卖双方约定，实际履行货量为１２００吨。五矿公司的出口代理为海南省国际贸易中心（以下简称海南国贸）。为运输该１２００吨货物，海南国贸于１９９５年１２月１１日代五矿公司与广东省湛江海通货运代理有限公司（以下简称海通公司）签订一份航次租船合同，海通公司又与中国外运广东省湛江公司（以下简称湛江外运）签订一份航次租船合同，湛江外运则与大连五丰船务有限公司（以下简称五丰公司）签订一份租船合同，这三个连环合同的条款内容基本相同，均协议租用“万盛”轮运输本案所涉１２００吨货物。“万盛”轮的注册船东为通连公司，该轮实际交由大连港万通船务股份有限公司（以下简称万通公司）经营管理，船员由万通公司配备。万通公司又将该轮以期租形式出租给五丰公司使用。@#
１９９５年１２月２５日，五矿公司的１２００吨低磷硅锰合金装上“万盛”轮，提单号ＨＸ－－９５Ｂ，目的港为日本名古屋港。“万盛”轮同航次还装载了另一票目的港为日本川崎的１２００吨高磷硅锰合金，该两票货物外表状况相同。同年１２月２７日，“万盛”轮驶离海口港，于１９９６年１月８日驶抵日本名古屋港，“万盛”轮在卸货时将两票货物发生错卸。同年１月２６日，丰田通商以货物不符合合同要求为由，向五矿公司要求赔偿，五矿公司向丰田通商作了通融赔付，受该合同履行情况影响，五矿公司与丰田通商间的后一硅锰合金购销合同未能顺利履行，五矿公司受到了损失。@#
另查明，本案１２００吨低磷硅锰合金的ＨＸ－－９５Ｂ吨提单，已经过两次背书转让，贸易合同买方丰田通商已在目的港名古屋提货并对该批货物进行了处理。@#
以上事实，有进出口货物购销合同、租船合同、开庭笔录等证据佐证。@#
