On May 17, 2007, Rui Hua Company brought a lawsuit in the Higher People's Court of Shandong Province (hereinafter referred to as the “court of the original instance”), alleging that: (1) Luxiang Group and Jingwei Company owed a loan principal of 13,910,000 yuan and the interest thereon to the plaintiff, Huanggang Group shall assume the joint and several liability for repaying the loan debt, and Chen Zhongrong and Gao Xuemin shall assume the joint and several liability for repaying the loan debt within the extent of a principal of 2,010,000 yuan and the interest thereon; (2) Jingwei Company additionally owed a loan principal of 5,000,000 yuan and the interest thereon to the plaintiff, and Longgui Company shall assume the joint and several liability for repaying the loan debt; (3) Luxiang Group additionally owed a loan principal of 10,800,000 yuan and the interest thereon to the plaintiff, and Huanggang Group shall assume the joint and several liability for repaying the loan debt; and (4) Luxiang Group additionally owed a loan principal of 3,000,000 yuan and the interest thereon to the plaintiff. On June 25 of the same year, Rui Hua Company withdrew its claim against Jingwei Company and Longgui Company for the loan principal of 5,000,000 yuan. | |
2007年5月17日，瑞华公司起诉至山东省高级人民法院(以下简称原审法院)称：一、鲁祥集团、景韦公司欠借款本金人民币13 910 000元及相应利息，黄岗集团应当对该借款债务承担连带还款责任，陈中荣、高学敏应当对该借款债务分别在本金数额人民币2 010000元及对应利息的范围内承担连带还款责任；二、景韦公司另欠借款本金人民币5 000 000元及相应利息，龙瑰公司应当对该借款债务承担连带还款责任；三、鲁祥集团另欠借款本金人民币10 800 000元及相应利息，黄岗集团应当对该借款债务承担连带还款责任；四、鲁祥集团另欠借款本金人民币3 000 000元及相应利息。同年6月25日，瑞华公司又撤回了对景韦公司、龙瑰公司本金人民币 5 000000元借款债权的起诉。 |
On June 11 of the same year, Huanggang Group raised an objection to the jurisdiction of the court of the original instance during the period of submitting a statement of defense, alleging that: (1) the sum of subject matters in the lawsuit brought by Rui Hua Company was 32,710,000 yuan, so this case should be under the jurisdiction of the Intermediate People's Court of Jining City pursuant to the provisions on jurisdiction level issued by the court of the original instance; (2) prior to the transfer of the creditor's rights in this case to Rui Hua Company, the former creditor, China Oriental Asset Management Corporation, Qingdao Office, had brought a lawsuit on the aforesaid creditor's rights in the Intermediate People's Court of Jining City on March 1, 2006; the court rejected the lawsuit of China Oriental Asset Management Corporation, Qingdao Office, on the ground that the case did not meet the legal conditions for trial consolidation; and the civil ruling (No.28 [2006], First Instance, Civil Division II) of the Intermediate People's Court of Jining City was clear in fact-finding and correct in the application of law and this effective legal document should be binding upon this case; and (3) the plaintiff in this case sued the defendants of this case together, but if this case was decided based on the relevant evidence when the guarantors were not the same one, it would be inevitable that the litigious rights enjoyed by both parties could not be equally protected; and since the plaintiff's action against all defendants together in the court of the original instance did not meet the circumstances of indispensable joint action as set forth in the Civil Procedure Law of the People's Republic of China, the court was requested to reject the lawsuit brought by the plaintiff.

同年6月11日，黄岗集团在提交答辩状期间向原审法院提出管辖权异议称：一、瑞华公司起诉的诉讼标的总额为人民币 32 710000元，根据原审法院公布的有关级别管辖的规定，本案应由济宁市中级人民法院受理；二、本案债权在转让给瑞华公司前，原债权人中国东方资产管理公司青岛办事处已经就上述债权于2006年3月 1日在济宁市中级人民法院提起诉讼，该院以该案不符法定合并审理的条件为由，驳回了中国东方资产管理公司青岛办事处的起诉。济宁市中级人民法院的(2006)济民二初字第28号民事裁定书认定事实清楚，适用法律正确，该生效的法律文书对本案有约束力；三、本案原告对本案被告一并起诉，在担保人不属于同一主体的情况下，如依据相关的证据判决，必然导致双方当事人享有的诉权不能得到平等的保护，原告将本案所有的被告在原审法院一并起诉不符合《中华人民共和国民事诉讼法》规定的必要共同诉讼的情形，请求驳回原告的起诉。
