浙江温州中院判决陈丽婵诉施文颖等撤销权纠纷案

 ——债权人撤销权的认定

 裁判要旨
 债务人以明显不合理的低价转让财产,对债权人造成损害,并且受让人知道该情形的,债权人有权请求人民法院撤销债务人的行为。
 案情
 2011年间,被告施文颖的丈夫王劼陆续向原告陈丽婵借款。后陈丽婵向王劼、施文颖夫妇催讨欠款,并于2012年7月23日向两被告寄出律师函要求偿还欠款。同年7月27日,被告施文颖与第三人施剑雄、沈小燕(系夫妻关系,施文颖与施剑雄系亲姐弟关系)签订《温州市存量房买卖合同》,将其名下的涉诉房产以120万的价格过户至第三人施剑雄、沈小燕名下。另查明,涉诉转让的洞头县北岙街道新城区某房产至今仍由被告施文颖居住使用。
 2012年8月27日,原告陈丽婵向浙江省洞头县人民法院起诉,要求两被告偿还借款。经审理,洞头法院作出(2012)温洞商初字第174号民事判决书,判决王劼、施文颖偿还陈丽婵借款本金1013079.49元及利息。判决生效后,被告王劼、施文颖至今未予偿还。同年8月27日,原告向洞头法院起诉,要求撤销施文颖与第三人施剑雄、沈小燕关于洞头县北岙街道新城区某房产的买卖行为。
 裁判
 浙江省洞头县人民法院经审理认为,被告施文颖以120万元的价格转让其所有的北岙街道新城区某房产,该房评估的市场价值为161.16万元至172.57万元,转让价格低于市场价值25.5%至30.4%;且转让金额中除房产、装修价值外,还包括被告一并转让给第三人的地暖设备、整套家电、家具。被告及第三人所辩称的《存量房买卖合同》中约定的房屋转让价格120万元是为了规避国家税收而低价申报转让过户的辩解观点,不予采信。被告与第三人之间的房产交易金额应以房管部门登记的《存量房买卖合同》中载明的120万元为准,该价格明显属于不合理的低价,可见被告该转让行为存在主观恶意。此外,第三人在主观上也明显存在恶意,不符合正常的房产交易习惯。由于被告和第三人以明显不合理的低价转让房产,导致其责任财产减少,清偿债务能力降低,直接造成原告的债权无法实现这一实际损害后果,撤销权条件具备。法院判决:撤销被告施文颖与第三人施剑雄、沈小燕签订的北岙街道新城区某房屋买卖合同。
