| Guiding Opinions on Functional Definition and Classification of State-owned Enterprises | | 关于国有企业功能界定与分类的指导意见 |
| The functional definition and classification of State-owned enterprises ("SOE") is not only an important aspect in deepening SOE reform against the new situations, but also a basic prerequisite for promoting reform by implementing different measures for different enterprises, which plays a vital role in pushing for improvement of the corporate governance structure of SOEs, optimizing the layout of State-owned capital and strengthening the regulation of State-owned assets. With a view to enforcing the requirements laid down at the 18th National Congress of the CPC and the Second, Third, Fourth and Fifth Plenary Sessions of the 18th Central Committee of the CPC as well as the decisions and deployments of the State Council, accurately defining the functions of different SOEs pursuant to the Guiding Opinions of the CPC Central Committee and the State Council on Deepening the Reform of State-owned Enterprises, and advancing SOE reform in a targeted manner, upon consent by the State Council, these Opinions are hereby put forward as follows. | | 国有企业功能界定与分类是新形势下深化国有企业改革的重要内容，是因企施策推进改革的基本前提，对推动完善国有企业法人治理结构、优化国有资本布局、加强国有资产监管具有重要作用。为贯彻落实党的十八大和十八届二中、三中、四中、五中全会精神以及国务院决策部署，根据《中共中央 国务院关于深化国有企业改革的指导意见》（中发〔2015〕22号）有关要求，准确界定不同国有企业功能，有针对性地推进国有企业改革，经国务院同意，现提出以下意见。 |

| On the basis of the strategic positioning and development goals of State-owned capital, and in light of the role of different SOEs in economic and social development, as well as their current situations and development needs, SOEs shall be divided into commercial SOEs and SOEs in public welfare nature based on their respective scope of primary business and core business. | | 立足国有资本的战略定位和发展目标，结合不同国有企业在经济社会发展中的作用、现状和需要，根据主营业务和核心业务范围，将国有企业界定为商业类和公益类。 |
| Commercial SOEs shall engage in commercial operations in accordance with market requirements, and independently carry out production and business activities pursuant to the law primarily for the purposes of enhancing the vitality of the State-owned economic sector, amplifying the functions of State-owned capital, and preserving and increasing the value of State-owned assets, so as to achieve the survival of the fittest and orderly market entry and exit. Specifically, commercial SOEs whose primary business belongs to major industries and key fields concerning national security or national economic lifeline, or that are mainly responsible for major special project tasks shall, with the aim of safeguarding national security and national economic operation, focus on developing forward-looking strategic industries and achieve the organic unity of economic, social and safety benefits. | | 商业类国有企业以增强国有经济活力、放大国有资本功能、实现国有资产保值增值为主要目标，按照市场化要求实行商业化运作，依法独立自主开展生产经营活动，实现优胜劣汰、有序进退。其中，主业处于关系国家安全、国民经济命脉的重要行业和关键领域、主要承担重大专项任务的商业类国有企业，要以保障国家安全和国民经济运行为目标，重点发展前瞻性战略性产业，实现经济效益、社会效益与安全效益的有机统一。 |
| SOEs in public welfare nature shall actively introduce market mechanisms, and constantly raise the efficiency and capabilities of public services primarily for the purposes of protecting people's livelihood, serving the society at large, and providing public goods and services. The prices of necessary products or services may be subject to government regulation. | | 公益类国有企业以保障民生、服务社会、提供公共产品和服务为主要目标，必要的产品或服务价格可以由政府调控；要积极引入市场机制，不断提高公共服务效率和能力。 |
Commercial SOEs and SOEs in public welfare nature are independent market players, and therefore their business operation mechanisms shall meet the requirements of the market economy. On the other hand, as SOEs under a socialist market economy, commercial SOEs and SOEs in public welfare nature shall conscientiously serve national strategies and take the initiative to fulfill social responsibilities.
