The administrations for industry and commerce of all provinces, autonomous regions, municipalities directly under the Central Government and municipalities under the separate state planning:
 
各省、自治区、直辖市及计划单列市工商行政管理局:

In order to strengthen the registration management of foreign-funded direct marketing enterprises, standardize the organizations and activities of direct marketing enterprises, maintain the market order of direct marketing and ensure the sound development of the direct marketing industry, in accordance with the Regulation on the Administration of Direct Marketing, the Regulation on the Administration of Company Registration, the Regulation on the Administration of Enterprise Legal Person Registration and other registration administration laws and regulations and relevant special provisions on the direct marketing industry, after consultation with the Foreign Capital Department of the Ministry of Commerce, the following opinions are put forward on the relevant issues concerning the registration management of foreign-funded direct marketing enterprises (the “DME(s)”):
 
为了加强直销企业的登记管理,规范直销企业组织行为,维护直销市场秩序,保障直销行业健康发展,根据《直销管理条例》、《公司登记管理条例》、《企业法人登记管理条例》和其他登记管理法律、法规及有关直销行业专项规定,经商商务部外资司,现对外商投资直销企业(以下简称“直销企业”)登记管理有关问题提出如下意见:

 
I. The administrative authorities on foreign capital registration in the industrial and commercial administration shall legally register, supervise and manage the DMEs, the provincial branches of the DMEs, and other branches engaged in business activities other than direct marketing formed by the DMEs, in accordance with the Regulation on the Administration of Direct Marketing, the Regulation on the Administration of Company Registration, the Regulation on the Administration of Enterprise Legal Person Registration and other registration administration laws and regulations and relevant special provisions on the direct marketing industry.   一、各级工商行政管理外资登记管理机关根据《直销管理条例》、《公司登记管理条例》、《企业法人登记管理条例》和其他登记管理法律、法规及有关直销行业专项规定依法登记并监督管理直销企业、直销企业的省级分支机构及直销企业设立的从事直销业务之外经营活动的其他分支机构。

 
II. An enterprise that has obtained the direct marketing business permit as approved by the competent authority on commerce of the State Council shall apply to the original registration authority for conducting the registration formalities for modification.   二、经国务院商务主管部门批准获得直销经营许可证的企业应当向公司的原登记机关申请办理变更登记。

 
III. A DME applying to the administrative authority on industry and commerce for conducting the registration formalities for modification with the direct marketing business permit and relevant official reply issued by the authorities on commerce shall provide a list of subsidiary companies that are formed in and responsible for the direct marketing business in a province, autonomous region, municipality directly under the Central Government or municipality under the separate state planning where the direct marketing activities are proposed to occur (the “provincial subsidiary companies”) and the service network setup plan, in addition to the relevant document submitted according to law.   三、直销企业持商务部门颁发的直销经营许可证及有关批复文件向工商行政管理部门申请办理变更登记时,除依法提交有关文件外,还应当同时提供在拟从事直销活动的省、自治区、直辖市、计划单列市设立负责该行政区域内直销业务的分公司(以下简称省级分公司)名单和服务网点设立方案。

 
IV. As to the direct marketing items in the business scope of a DME, the direct marketing area and scope of direct marketing products shall be expressly stated, and the wording shall be: “Within the approved area (for detail, see Direct Marketing Business Permit or government Web site on the administration of direct marketing industry), to recruit and train direct marketing salespersons and directly market the products produced by the enterprise and products produced by its parent company or holding company (the specific product types are subject to the Direct Marketing Business Permit or the product catalogue published on the government Web site on the administration of direct marketing industry).” Other sideline business activities shall be worded as per the wording of the industry in the national economy, subject to ratification according to law.

   四、直销企业经营范围中直销经营项目,应当载明直销地域和直销产品范围,文字表述方式为“在经批准的区域内(具体见《直销经营许可证》或政府直销行业管理网站)招募、培训直销员,直销本企业生产产品以及其母公司、控股公司生产产品(具体产品种类限于《直销经营许可证》或政府直销行业管理网站公布的产品目录)”。兼营其他经营活动的,按国民经济行业表述用语依法核定。
