Memorandum of Cooperation on Collaborative Regulation and Joint Punishment of Dishonest Enterprises 失信企业协同监管和联合惩戒合作备忘录
For the purposes of implementing the spirit of the Third and Fourth Plenary Sessions of the 18th CPC Central Committee, vigorously cultivating and practicing the core socialist values, carrying out the general requirements for "commending honesty and punishing dishonesty" in the Several Opinions of the State Council on Promoting Fair Market Competition and Maintaining the Normal Market Order (No. 20 [2014], State Council) and the Notice of the State Council on Issuing the Outline of the Social Credit System Building Plan (2014-2020) (No. 21 [2014], State Council) and the implementation plan specified in the Division of Labor Based on Tasks for the Outline of the Social Credit System Building Plan (2014-2020), and focusing on advancing the institutionalization of honesty building, the National Development and Reform Commission and the State Administration for Industry and Commerce take the lead, and the Office of the Central Guidance Commission on Building Spiritual Civilization, the Supreme People's Court, the Ministry of Education, the Ministry of Industry and Information Technology, the Ministry of Public Security, the Ministry of Justice, the Ministry of Finance, the Ministry of Human Resources and Social Security, the Ministry of Land and Resources, the Ministry of Environmental Protection, the Ministry of Housing and Urban-Rural Development, the Ministry of Transport, the Ministry of Water Resources, the Ministry of Agriculture, the Ministry of Commerce, the Ministry of Culture, the National Health and Family Planning Commission, the People's Bank of China, the State-Owned Assets Supervision and Administration Commission of the State Council, the General Administration of Customs, the State Administration of Taxation, the General Administration of Quality Supervision, Inspection and Quarantine, the State Administration of Press, Publication, Radio, Film and Television, the State Administration of Work Safety, the China Food and Drug Administration, the State Forestry Administration, the China National Tourism Administration, the Cyberspace Administration of China, the China Banking Regulatory Commission, the China Securities Regulatory Commission, the China Insurance Regulatory Commission, the National Railway Administration, the Civil Aviation Administration of China, the State Post Bureau, the State Administration of Cultural Heritage, and the All-China Federation of Trade Union have reached the following consensus on information sharing, collaborative regulation, and joint disciplinary measures against dishonest enterprises proposed by the State Administration for Industry and Commerce: 为贯彻党的十八届三中、四中全会精神,大力培育和践行社会主义核心价值观,落实《国务院关于促进市场公平竞争维护市场正常秩序的若干意见》(国发〔2014〕20号)以及《国务院关于印发社会信用体系建设规划纲要(2014-2020年)的通知》(国发〔2014〕21号)“褒扬诚信、惩戒失信”的总体要求和《社会信用体系建设规划纲要(2014-2020年)任务分工》明确的实施方案,着力推进诚信建设制度化,由发展改革委和工商总局牵头,中央文明办、最高人民法院、教育部、工业和信息化部、公安部、司法部、财政部、人力资源社会保障部、国土资源部、环境保护部、住房城乡建设部、交通运输部、水利部、农业部、商务部、文化部、卫生计生委、人民银行、国资委、海关总署、税务总局、质检总局、新闻出版广电总局、安全监管总局、食品药品监管总局、林业局、旅游局、国家网信办、银监会、证监会、保监会、铁路局、民航局、邮政局、文物局、全国总工会就工商总局提出的针对失信企业开展各部门信息共享、协同监管和联合惩戒措施达成如下一致意见:
I. Scope of collaborative regulation and joint punishment   一、协同监管和联合惩戒的范围
The targets of joint punishment are enterprises, which violate the rules of market competition and the principle of good faith, or infringe the lawful rights and interests of consumers, production and sale of fake goods, fail to perform the obligation of information disclosure, or commit any other illegal act, have their business licenses suspended, or are put on an abnormal operation directory, or a seriously illegal and dishonest enterprises list by the administrations for industry and commerce, or administrative authorities of market regulation, at all levels (hereinafter referred to as the "administrations for industry and commerce"), as published at the Enterprise Credit Information Publication System, and their legal representatives (persons in charge thereof), and corporate enterprises, natural person shareholders, and other relevant persons (hereinafter referred to as the "parties") that are responsible for the serious illegal acts of the enterprises in accordance with the relevant laws and regulations. 联合惩戒的对象为违背市场竞争准则和诚实信用原则,存在侵犯消费者合法权益、制假售假、未履行信息公示义务等违法行为,被各级工商行政管理、市场监督管理部门(以下简称“工商行政管理部门”)吊销营业执照、列入经营异常名录或严重违法失信企业名单,并在企业信用信息公示系统上予以公示的企业及其法定代表人(负责人),以及根据相关法律法规规定对企业严重违法行为负有责任的企业法人和自然人股东、其他相关人员(以下简称“当事人”)。
The seriously illegal and dishonest enterprises and individuals recorded by other signatory authorities to this Memorandum in the course of performing their statutory duties, which shall be restricted or subjected to market entry prohibition measures in accordance with the laws and regulations, shall be the parties included in the scope of joint punishment. 本备忘录其他签署部门在履行法定职责过程中记录的,依据法律法规应予以限制或实施市场禁入措施的严重违法失信企业和个人,属于当事人范围,应纳入联合惩戒范围。
II. Restrictions on market access and job qualification imposed by administrations for industry and commerce on the parties   二、工商行政管理部门对当事人采取的市场准入和任职资格限制
Administrations for industry and commerce shall, in accordance with the relevant laws and regulations, on the basis of information sharing, implement the restrictive measures on market access and job qualification enumerated herein against the parties on which the administrations for industry and commerce have imposed administrative punishment and rated the dishonest. 按照相关法律法规,在信息共享的基础上,工商行政管理部门对行业主管部门做出行政处罚和失信评价的当事人应实施本条所列的市场准入和任职资格限制措施。
For the purposes of each restriction herein, “person in charge” or “principal person in charge” means the legal representative of an enterprise (or the person in charge of a branch office); “shall not engage in” means that one shall not serve as the legal representative, director, supervisor, or senior executive of a relevant enterprise. 本条各项限制措施中,“负责人”、“主要负责人”是指企业法定代表人(或分支机构负责人);“不得从事”是指不得担任相关企业法定代表人、董事、监事和高级管理人员。
1. Field of work safety. (一)安全生产领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
Where the primary person in charge of a business entity has been subject to any criminal punishment or the disciplinary action of removal from office for failure to perform the duties in work safety management, he or she shall not serve as the primary person in charge of any business entity within five years from the date of completion of serving the criminal punishment or the date when the disciplinary action is taken; or, if he or she is responsible for any serious or especially serious work safety accident, he/she shall not serve as the primary person in charge of any business entity in the same industry for life (paragraph 3, Article 91 of the Work Safety Law); 生产经营单位的主要负责人因未履行安全生产管理职责受刑事处罚或者撤职处分的,自刑罚执行完毕或受处分之日起5年内不得担任任何生产经营单位的主要负责人;对重大、特别重大生产安全事故负有责任的,终身不得担任本行业生产经营单位的主要负责人(《安全生产法》第九十一条第三款);
If an enterprise is primarily responsible for a serious or extraordinarily serious work safety accident, its principal person in charge shall not serve as a mine manager (plant manager, or manager) of an enterprise in the same industry for life (paragraph 29, the Notice of the State Council on Further Strengthening the Work Safety of Enterprises (No. 23 [2010], State Council)); 对重大、特别重大生产安全责任事故负有主要责任的企业,其主要负责人终身不得担任本行业企业的矿长(厂长、经理)(《国务院关于进一步加强企业安全生产工作的通知》(国发〔2010〕23号)第29项);
If a coal mine found having any major hidden safety risk twice or more within three months engages in production nonetheless, its legal representative and mine manager shall not serve as the legal representative or mine manager of any coal mine within five years (paragraph 2, Article 10 of the Special Provisions of the State Council on the Prevention of Work Safety Accidents of Coal Mines); 3个月内2次或者2次以上发现有重大安全生产隐患,仍然进行生产的煤矿,其法定代表人和矿长5年内不得再担任任何煤矿的法定代表人或者矿长(《国务院关于预防煤矿生产安全事故的特别规定》第十条第二款);
If the principal person in charge of an entity in which an accident occurs has been subject to criminal punishment, or disciplinary action of removal from office, he/she shall not serve as the principal person in charge of any production and operation entity within five years from the date when the criminal punishment is completely executed or the disciplinary action is received (paragraph 1, Article 40 of the Regulations on the Reporting, Investigation and Disposition of Work Safety Accidents). 事故发生单位主要负责人受到刑事处罚或者撤职处分的,自刑罚执行完毕或者受处分之日起5年内不得担任任何生产经营单位的主要负责人(《生产安全事故报告和调查处理条例》第四十条第一款)。
(2) Authorities providing information and types of information: 2.信息提供部门和信息类型:
The State Administration of Work Safety, the Ministry of Transport, and other authorities charged with the duties of supervision, management, and law enforcement in relation to industry work safety shall provide the information on entities which violate laws and regulations on work safety and the persons in charge thereof. 由安全监管总局和交通运输部等负有行业安全生产监督管理执法职责的部门提供违反安全生产法律法规的单位及责任人信息。
(3) Restriction manner: 3.限制方式:
A party shall not, during the statutory period, serve as the legal representative or person in charge of a relevant enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. 当事人法定期间内不得担任相关企业的法定代表人、负责人,已担任的责令所在企业办理变更登记。
2. Field of travel agency operation. (二)旅行社经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
The tour guides or tour leaders whose tour guide certificates or tour leader certificates have been revoked, and the relevant managing personnel of the travel agencies of which the operation permits for travel agencies have been revoked for violation of the provisions of this Law shall not engage in travel agency business within three years (Article 103 of the Tourism Law); 被吊销导游证、领队证的导游、领队和受到吊销旅行社业务经营许可证处罚的旅行社的有关管理人员,3年内不得从事旅行社业务(《旅游法》第一百零三条);
Where the operation permit for travel agencies of a travel agency is revoked, its major person-in-charge shall not hold the position of the major person-in-charge of any travel agency within five years from the day when the operation permit for travel agencies is revoked (Article 64 of the Regulation on Travel Agencies). 旅行社被吊销旅行社业务经营许可的,其主要负责人在旅行社业务经营许可被吊销之日起5年内不得担任任何旅行社的主要负责人(《旅行社条例》第六十四条)。
(2) Authorities providing information and types of information: 2.信息提供部门和信息类型:
The China National Tourism Administration shall provide a list of tour guides, tour leaders, and members of management that violate the law and the information of the principal persons in charge of travel agencies whose operation permits are suspended. 由旅游局提供违法导游、领队、管理人员名单,被吊销经营许可的旅行社主要负责人信息。
(3) Restriction manner: 3.限制方式:
A party shall not, during the statutory period, serve as the legal representative or person in charge of a travel agency enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. 当事人在法定期间内不得担任旅行社企业的法定代表人、负责人,已担任的责令所在企业办理变更登记。
3. Field of supervision and administration of state-owned enterprises. (三)国有企业监督管理领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
A relevant person responsible (whether he/she has been transferred or retired) for an extraordinarily major asset loss, or continuous major asset losses, which a central enterprise incurs, shall not be employed by a central enterprise, or be in charge of an enterprise, within one to five years or for life (paragraph 1(3), Article 32, Article 34, and Article 37 of the Interim Measures for the Liabilities of Central Enterprises for Asset Losses); 中央企业发生特别重大资产损失,以及连续发生重大资产损失的相关责任人(含调离工作岗位或已离退休的),在1至5年内或者终身不得被中央企业聘用或者担任企业负责人(《中央企业资产损失责任追究暂行办法》第三十二条第一款第(三)项、第三十四条、第三十七条);
Where any director, supervisor or senior manager of a state-owned enterprise is removed from office for causing major losses to state assets, he/she shall not serve as the director, supervisor or senior manager of any state-owned enterprise within five years from the day of removal; and if extraordinarily major losses are caused to state assets, or he/she has been subject to criminal punishment for embezzlement, bribery, encroachment upon property, misappropriation of property, or undermining of the order of socialist market economy, he/she shall not assume the aforesaid office of a state-owned enterprise (Article 73 of the Law on the State-Owned Assets of Enterprises). 国有企业董事、监事、高级管理人员因造成国有资产重大损失被免职的,自免职之日起5年内不得担任国有企业董事、监事、高级管理人员;造成国有资产特别重大损失,或者因贪污、贿赂、侵占财产、挪用财产或者破坏社会主义市场经济秩序被判处刑罚的,终身不得担任国有企业上述职务(《企业国有资产法》第七十三条)。
(2) Authorities providing information and types of information: 2.信息提供部门和信息类型:
The State-Owned Assets Supervision and Administration Commission of the State Council shall provide a list of the relevant parties of central enterprises and the terms for job qualification restrictions. 由国资委提供中央企业相关当事人名单、任职资格限制期限。
(3) Restriction manners: 3.限制方式:
A party shall not, during the period, either statutory or fixed by the State-Owned Assets Supervision and Administration Commission of the State Council, serve as the legal representative of a central enterprise, or its wholly-owned subsidiary or holding subsidiary, or any other state-owned enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for being a director, supervisor, or senior executive of a wholly state-owned enterprise, wholly state-owned company, or state-owned holding company, such application shall not be filed. 当事人在法定或国资委决定的期间内不得担任中央企业及其独资或者控股子企业、其他国有企业的法定代表人,已担任的责令所在企业办理变更登记。申请成为国有独资企业、国有独资公司、国有资本控股公司董事、监事及高级管理人员的,不予备案。
4. Field of feed and veterinary drugs. (四)饲料及兽药经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
Where an enterprise has its relevant permit certificate suspended or revoked as a result of production of feed or feed additives without a production permit, or violation of the relevant provisions of Article 39 of the Regulation on the Administration of Feed and Feed Additives, the principal person in charge thereof and the directly responsible person in charge shall not engage in the production and business of feed and feed additives within ten years (Articles 38 and 39 of the Regulation on the Administration of Feed and Feed Additives); 未取得生产许可证生产饲料、饲料添加剂或违反《饲料和饲料添加剂管理条例》第三十九条相关规定导致相关许可证明文件被吊销、撤销的企业,其主要负责人和直接负责的主管人员10年内不得从事饲料、饲料添加剂生产、经营活动(《饲料和饲料添加剂管理条例》第三十八条、第三十九条);
Where veterinary drugs are produced without a production or operation permit, or the veterinary drug production or operation permit is suspended, or false materials are provided to obtain a veterinary drug production permit, veterinary drug operation permit, or veterinary drug approval certificate, the principal person in charge and the directly responsible person in charge of shall not engage in the production, operation and import and export of veterinary drugs for life (Articles 56 and 57 of the Regulation on Veterinary Drug Administration). 未取得生产、经营许可证生产、经营兽药或兽药生产、经营许可证被吊销的;提供虚假材料骗取兽药生产许可证、兽药经营许可证或者兽药批准证明文件的,其主要负责人和直接负责的主管人员终身不得从事兽药的生产、经营和进出口活动(《兽药管理条例》第五十六条、第五十七条)。
(2) Authorities providing information and types of information: 2.信息提供部门和信息类型:
The list of the relevant parties of enterprises without a relevant permit certificate, or with the ceitificate suspended or revoked, shall be notified by the agricultural authorities at all levels directly to the administrations for industry and commerce at the same level. 对于未取得或被吊销、撤销相关许可证明文件企业的相关当事人名单,由各级农业部门直接通报给同级工商行政管理部门。
(3) Restriction manners: 3.限制方式:
A party shall not, during the statutory period, serve as the legal representative of a feed, feed additive, or veterinary drug production or operation enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for being a director, supervisor, or senior executive of the aforesaid enterprise, such application shall not be filed. 当事人在法定期间内不得担任饲料、饲料添加剂、兽药生产经营企业法定代表人,已担任的责令所在企业办理变更登记。申请成为上述企业董事、监事及高级管理人员的,不予备案。
5. Field of food and drugs operation. (五)食品药品经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
If an enterprise or any other entity falls under serious circumstances in relation to production or sale of fake or shoddy drugs, its directly responsible person in charge and other directly responsible persons shall not engage in the drug production and operation for ten years (Article 76 of the Drug Administration Law); 从事生产、销售假药、劣药情节严重的企业或其他单位,其直接负责的主管人员和其他直接责任人员10年内不得从事药品生产、经营活动(《药品管理法》第七十六条);
A food producing business whose permit is suspended and its legal representative, directly responsible person in charge, and other directly responsible persons shall not, within five years from the date on which the decision on punishment is made, apply for food production or operation permit, or engage in food production, operation, or management, or serve as a food safety manager for a food production or operation enterprise. If a person is sentenced to fixed-term imprisonment, or severer criminal punishment, for food safety crime, he/she shall not engage in food production, operation, or management, nor shall he/she serve as a food safety manager of a food production or operation enterprise (Article 135 of the Food Safety Law); 被吊销许可证的食品生产经营者及其法定代表人、直接负责的主管人员和其他直接责任人员自处罚决定做出之日起5年内不得申请食品生产经营许可,或者从事食品生产经营管理工作、担任食品生产经营企业食品安全管理人员。因食品安全犯罪被判处有期徒刑以上刑罚的,终身不得从事食品生产经营管理工作,也不得担任食品生产经营企业食品安全管理人员(《食品安全法》第一百三十五条);
An employee of a food inspection institution who is subject to disciplinary action of expulsion for his or her violation of the Food Safety Law shall not engage in food inspection within ten years of the making of the disciplinary action decision; and if an employee of a food inspection institution who is subject to criminal punishment for a food safety-related illegal act, or disciplinary action of expulsion as a result of any major food safety accident caused by his/her issuing a false inspection report, shall not engage in food inspection for life (paragraph 2, Article 138 of the Food Safety Law). 违反《食品安全法》规定,受到开除处分的食品检验机构人员,自处分决定做出之日起10年内不得从事食品检验工作;因食品安全违法行为受到刑事处罚或者因出具虚假检验报告导致发生重大食品安全事故受到开除处分的食品检验机构人员,终身不得从事食品检验工作(《食品安全法》第一百三十八条第二款)。

The China Food and Drug Administration shall provide a list of parties relating to enterprises producing or selling fake or shoddy drugs, a list of parties relating to entities with their permits suspended, and a list of parties of the relevant food inspection institutions. 由食品药品监管总局提供生产销售假药劣药企业相关当事人名单、被吊销许可证单位相关当事人名单、相关食品检验机构当事人名单。

A party shall not, during the statutory period, serve as the legal representative of a food or drug production or operation enterprise, or a food inspection institution, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for being a director, supervisor, or senior executive of the aforesaid enterprise or institution, such application shall not be filed. 当事人在法定期间内不得担任食品药品生产经营企业、食品检验机构法定代表人,已担任的责令所在企业办理变更登记。申请成为上述企业或机构董事、监事及高级管理人员的,不予备案。
6. Field of Internet access service operations and entertainment venue operations. (六)互联网上网服务经营及娱乐场所经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
If Internet access service operations conducted without a network cultural operation permit is banned as legally required, the principal person in charge shall not, within five years from the date of banning, serve as the legal representative or principal person in charge of an operating entity of business premises of Internet access services; and if an operating entity of business premises of Internet access services has its network cultural operation permit suspended, its legal representative or the principal person in charge shall not, within five years from the date of the revocation, serve as the legal representative or principal person in charge of an operating entity of business premises of Internet access services (Article 35 of the Regulations on the Administration of Business Premises of Internet Access Service ); 未取得网络文化经营许可证擅自从事互联网上网服务经营活动被依法取缔的,自被取缔之日起5年内,其主要负责人不得担任互联网上网服务营业场所经营单位的法定代表人或者主要负责人;互联网上网服务营业场所经营单位被吊销网络文化经营许可证的,自被吊销网络文化经营许可证之日起5年内,其法定代表人或者主要负责人不得担任互联网上网服务营业场所经营单位的法定代表人或者主要负责人(《互联网上网服务营业场所管理条例》第三十五条);
Where the business operations of an entertainment venue carried out without an entertainment operation permit are banned according to the law, the investors or person in charge thereof shall not invest in entertainment venues or act as the legal representative or principal of any entertainment venue for life; and in case an entertainment venue violates the Regulation on the Administration of Entertainment Venues and its entertainment operation permit is suspended or revoked, the legal representative or person in charge thereof shall not act as the legal representative or person in charge of an entertainment venue for five years from the day of suspension or revocation. (Article 52 of the Regulation on the Administration of Entertainment Venues). 未取得娱乐经营许可证擅自从事娱乐场所经营活动被依法取缔的,其投资人员和负责人终身不得投资开办娱乐场所或者担任娱乐场所的法定代表人、负责人;娱乐场所因违反《娱乐场所管理条例》被吊销或撤销娱乐经营许可证的,自被吊销或撤销之日起,其法定代表人、负责人5年内不得担任娱乐场所的法定代表人、负责人(《娱乐场所管理条例》第五十二条)。

The Ministry of Culture shall provide a list of parties (including enterprises and natural persons) who, in violation of the law, engage in business operations of Internet access services and entertainment venues without permission; and the public security authorities at all levels shall provide a list of parties engaging in the business operations of entertainment venues without permission that are discovered and banned in the investigation and processing of peace and criminal cases. 由文化部提供擅自从事互联网上网服务、娱乐场所经营活动的违法当事人(包括企业和自然人)名单;各级公安机关提供在查处治安、刑事案件时发现并取缔的擅自从事娱乐场所经营活动当事人的名单。

A party engaging in business operations of Internet access services shall not, during the statutory period, serve as the legal representative of an enterprise in the same industry, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. 互联网上网服务经营当事人在法定期间内不得担任同行业企业法定代表人,已担任的责令所在企业办理变更登记;
If an enterprise illegally engages in business operations of entertainment venues, its natural person shareholder, legal representative, and person in charge party shall not, during the statutory period, serve as the legal representative of a relevant enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. 违法从事娱乐场所经营活动的企业,其自然人股东和法定代表人、负责人在法定期间内不得担任相关企业法定代表人,已担任的责令所在企业办理变更登记。
7. Field of commercial performance operation. (七)营业性演出经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
When the commercial performance permit is suspended by the cultural authority, or the business license is suspended by the administration for industry and commerce, or modification registration is ordered by the same, by reason of violation of the Regulation on the Administration of Commercial Performances, if the party is an entity, its legal representative or principal person in charge shall not be the legal representative or principal person in charge of a cultural and artistic performance group, performance brokerage, or performance venue business within five years from the receipt of the administrative punishment; and if the party is an individual, the self-employed performer shall not engage in commercial performances within one year from the receipt of the administrative punishment, and the self-employed performance broker shall not engage in the brokerage or agency services for commercial performances within five years from the receipt of the administrative punishment. Where the commercial performance permit is suspended by the cultural authority, or the business license is suspended by the administration for industry and commerce, or modification registration is ordered by the same, because the commercial performances fall under any of circumstances prohibited by Article 26 of the Regulation on the Administration of Commercial Performances, brokerage, agency services, or commission agency services shall not be further provided (Article 53 of the Regulation on the Administration of Commercial Performances). 因违反《营业性演出管理条例》规定被文化主管部门吊销营业性演出许可证,或者被工商行政管理部门吊销营业执照或者责令变更登记的,自受到行政处罚之日起,当事人为单位的,其法定代表人、主要负责人5年内不得担任文艺表演团体、演出经纪机构或者演出场所经营单位的法定代表人、主要负责人;当事人为个人的,个体演员1年内不得从事营业性演出,个体演出经纪人5年内不得从事营业性演出的居间、代理活动。因营业性演出有《营业性演出管理条例》第二十六条禁止情形被文化主管部门吊销营业性演出许可证,或者被工商行政管理部门吊销营业执照或者责令变更登记的,不得再次从事营业性演出或者营业性演出的居间、代理、行纪活动(《营业性演出管理条例》第五十三条)。

A party shall not, during the statutory period, serve as the legal representative of a cultural and artistic performance group, performance brokerage, or performance venue business, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for being a director, supervisor, or senior executive of the aforesaid enterprise, such application shall not be filed. 当事人在法定期间内不得担任文艺表演团体、演出经纪机构或者演出场所经营单位的法定代表人,已担任的责令所在企业办理变更登记。申请成为上述企业董事、监事及高级管理人员的,不予备案。
8. Field of publication operation . (八)出版经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
Where a publication operation enterprise has its publication permit, publication import operation permit, or publication operation permit suspended, its legal representative or principal person in charge shall not, within ten years of the suspension, be the legal representative or principal person in charge of a publication, printing, reproduction, import, or distribution entity (Article 71 of the Regulations on the Administration of Printing Industry). 出版经营企业被吊销出版许可证、出版物进口经营许可证、出版物经营许可证的,自被吊销之日起,其法定代表人或者主要负责人10年内不得担任出版、印刷或者复制、进口、发行单位的法定代表人或者主要负责人(《出版管理条例》第七十一条);
If a printing enterprise is subject to the administrative punishment of suspending its permit, its legal representative or person in charge shall not, within ten years of the suspension, be the legal representative or person in charge of a printing enterprise. If an individual engaged in other presswork printing operations is subject to the administrative punishment of suspending his/her permit, he/she shall not, within ten years of the suspension, engage in the printing operations (Article 44 of the Regulations on the Administration of Printing Industry). 印刷企业被处以吊销许可证行政处罚的,其法定代表人或者负责人自许可证被吊销之日起10年内不得担任印刷企业的法定代表人或者负责人。从事其他印刷品印刷经营活动的个人被处以吊销许可证行政处罚的,自许可证被吊销之日起10年内不得从事印刷经营活动(《印刷业管理条例》第四十四条);
Where an audiovisual publishing enterprise has its audio and video recording publication permit, reproduction operation permit, or publication operation permit suspended, its legal representative or principal person in charge shall not, within ten years of the suspension, be the legal representative or principal person in charge of a publication, production, reproduction, import, wholesale, or retail entity for audio and video recordings; and if an individual industrial and commercial household engaged in the audio and video recording retail business has its permit suspended, it shall not, within ten years of the suspension, engage in the audio and video recording retail business (Article 47 of the Regulations on the Administration of Audio and Video Recordings). 音像出版企业被吊销音像制品出版许可证、复制经营许可证、出版物经营许可证的,其法定代表人或者主要负责人自许可证被吊销之日起10年内不得担任音像制品出版、制作、复制、进口、批发、零售单位的法定代表人或者主要负责人;从事音像制品零售业务的个体工商户被吊销许可证的,自许可证被吊销之日起10年内不得从事音像制品零售业务(《音像制品管理条例》第四十七条)。

The State Administration of Press, Publication, Radio, Film and Television shall provide a list of the relevant parties. 由新闻出版广电总局提供相关当事人名单。
(3) Restriction manners: 3.限制方式:
A party shall not, during the statutory period, serve as the legal representative of a publication operation, printing operation, or audiovisual publishing enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration; and if the party is an individual industrial and commercial household, it shall not, during the statutory period, engage in audio and video recordings retail or printing operations. 当事人在法定期间内不得担任相关出版经营、印刷经营、音像出版经营企业的法定代表人,已担任的责令所在企业办理变更登记;当事人为个体工商户的,法定期间内不得从事音像制品零售、印刷经营活动。
9. Field of film operation. (九)电影经营领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
Where a film operation enterprise has its film production permit, film release permit, or Chinese-foreign cooperative film production permit suspended, its legal representative or principal person in charge shall not, within five years of the suspension, be the legal representative or principal person in charge of a film production, import, export, distribution, or screening entity; and if an individual engages in film-related activities without approval, he/she shall not, within five years of investigation and punishment, engage in the relevant film business (Article 64 of the Regulations on the Administration of Movies). 电影经营企业被吊销摄制电影许可证、电影片公映许可证、中外合作摄制电影片许可证的,自被吊销之日起其法定代表人或者主要负责人5年内不得担任电影片的制片、进口、出口、发行和放映单位的法定代表人或者主要负责人;个人未经批准擅自从事电影相关活动的,自被查处之日起5年内不得从事相关电影业务(《电影管理条例》第六十四条)。

The General Administration of Press, Publication, Radio, Film and Television provides a list of the relevant parties and indicates specific restrictive measures, specifying the specific restricted fields. 新闻出版广电总局提供相关当事人名单,并注明具体限制领域。

A relevant party of an enterprise in violation of the law shall not, during the statutory period, serve as the legal representative of a relevant film enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for being a director, supervisor, or senior executive of the aforesaid enterprise, such application shall filed. 违法企业相关当事人法定期间内不得担任相关电影企业法定代表人,已担任的责令所在企业办理变更登记。申请成为上述企业董事、监事及高级管理人员的,不予备案。
10. Field of architecture and construction (including construction, exploration, design, and project supervision). (十)建筑施工领域(含施工、勘察、设计和工程监理)。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
Where the principal person in charge of a construction entity, or a project leader is subject to disciplinary action of removal from office, or is subject to criminal punishment, by reason of failure to perform the duty of work safety management, he/she shall not, within five years, serve as the principal person in charge of a construction enterprise, or a project leader (paragraph 3, Article 66 of the Administrative Regulations on the Work Safety of Construction Projects and paragraph 2, Article 32 of the Provisions on the Work Safety Management of the Principal Persons in Charge, Project Leaders, and Full-Time Work Safety Management Personnel of Construction Undertaking Enterprises). 施工单位主要负责人、项目负责人未按规定履行安全生产管理职责受到撤职处分或被判处刑罚的,5年内不得担任建筑施工企业的主要负责人、项目负责人(《建设工程安全生产管理条例》第六十六条第三款、《建筑施工企业主要负责人、项目负责人和专职安全生产管理人员安全生产管理规定》第三十二条第二款)。

The Ministry of Housing and Urban-Rural Development, the Ministry of Transport, and the Ministry of Water Resources shall provide a list of the relevant parties. 由住房城乡建设部、交通运输部、水利部提供相关当事人名单。

A party shall not, during the statutory period, serve as the legal representative of a construction enterprise, or a project enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. 当事人在法定期间内不得担任建筑施工企业、项目企业法定代表人,已担任的责令所在企业办理变更登记。
11. Field of electronic certification. (十一)电子认证领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
Where an electronic certification service provider has its electronic certification permit suspended, its directly responsible person in charge and other directly responsible persons shall not engage in electronic certification services within ten years (Article 31 of the Electronic Signature Law). 电子认证服务提供者被吊销电子认证许可证书的,其直接负责的主管人员和其他直接责任人员10年内不得从事电子认证服务(《电子签名法》第三十一条)。
(2) Authorities providing information and types of information: 2.信息提供部门和信息类型:
The Ministry of Industry and Information Technology shall provide a list of the relevant parties. 由工业和信息化部提供相关当事人名单。
(3) Restriction manners: 3.限制方式:
A party shall not, during the statutory period, serve as the legal representative of an electronic certification service enterprise, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for being a director, supervisor, or senior executive of the aforesaid enterprise, such application shall not be filed. 当事人在法定期间内不得担任电子认证服务企业法定代表人,已担任的责令所在企业办理变更登记。申请成为上述企业董事、监事及高级管理人员的,不予备案。
12. Field of supervision and administration of securities and futures markets. (十二)证券期货市场监督管理领域。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
A party, whose eligibility qualification for the post or practice qualification has been revoked by the China Securities Regulatory Commission, takes market entry prohibition measures against, or declares to be prohibited from entering the futures market, according to the law shall not, during the period fixed by the law or the China Securities Regulatory Commission, engage in securities or futures business, or be the director, supervisor, or senior executive of an securities or futures operation institution, or a listed company or any other public company (Articles 152, 209, and 233 of the Securities Law, Articles 121 and 149 of the Securities Investment Fund Law, Article 78 of the Regulation on the Administration of Futures Trading, and the Provisions on Prohibition from Access to the Securities Market). 对于被证监会依法撤销任职资格或从业资格、采取市场禁入措施或者宣布为期货市场禁止进入者的当事人,在法定或证监会决定的期间内依法不得从事证券、期货业务或者担任证券、期货经营机构或上市公司等公众公司的董事、监事、高级管理人员(《证券法》第一百五十二条、第二百零九条、第二百三十三条等,《证券投资基金法》第一百二十一条、第一百四十九条等,《期货交易管理条例》第七十八条,《证券市场禁入规定》等)。

The China Securities Regulatory Commission shall provide information on the parties which are disqualified for the post or practice according to the law, against which market entry prohibition measures are taken, and which are declared to be prohibited from entering the futures market. 由证监会提供依法撤销任职资格或从业资格、采取证券市场禁入措施及宣布为期货市场禁止进入者的当事人信息。
(3) Restriction manners: 3.限制方式:
A party shall not, during the period fixed by the law or the China Securities Regulatory Commission, engage in securities or futures business, or be the legal representative, director, supervisor, or senior executive of a securities or futures operation institution, or a listed company or any other public company, and if he/she has so engaged or served, the enterprise with which he/she works shall be ordered to make modification registration. If an application is filed for engaging in securities or futures business, or being the director, supervisor, or senior executive of a securities or futures operation institution, or a listed company or any other public company, such application shall not be filed. 当事人在法定或证监会决定的期间内不得从事证券、期货业务或者担任证券、期货经营机构或上市公司等公众公司的法定代表人、董事、监事、高级管理人员,已从事相关业务或担任相关职务的,责令所在企业办理变更登记。申请从事证券、期货业务或者担任证券、期货经营机构或上市公司等公众公司的董事、监事及高级管理人员的,不予备案。
13. General restrictive measures. (十三)普遍性限制措施。
(1) Restrictive measures and legal basis: 1.限制措施及法律法规依据:
When a company or enterprise has its business license suspended, or is ordered to shut down, by reason of violation of the law, for which its legal representative is personally responsible, he/she shall not, within three years of the suspension of the business license of the company or enterprise, be the legal representative, director, supervisor, or senior executive of a company (paragraph 1 (4), Article 146 of the Company Law and Article 4 (6) of the Regulation on the Registration Administrator of Legal Representatives of Corporate Enterprises). 公司、企业因违法被吊销营业执照、责令关闭,其法定代表人对此负有个人责任的,自该公司、企业被吊销营业执照之日起三年内不得担任公司的法定代表人、董事、监事、高级管理人员(《公司法》第一百四十六条第一款第(四)项、《企业法人法定代表人登记管理规定》第四条第(六)项)。
If a director, supervisor, or senior executive of an enterprise causes the bankruptcy of the enterprise by breaching the duty of loyalty and duty of diligence, he/she shall not be the legal representative, director, supervisor, or senior executive of an enterprise within three years from the end of the bankruptcy proceedings (Article 4 (5) of the Regulation on the Registration Administrator of Legal Representatives of Corporate Enterprises, paragraph 1(3), Article 146 of the Company Law, and paragraph 2, Article 125 of the Bankruptcy Law); 企业董事、监事或者高级管理人员违反忠实义务、勤勉义务,致使所在企业破产的,自破产程序终结之日起3年内不得担任任何企业的法定代表人、董事、监事、高级管理人员(《企业法人法定代表人登记管理规定》第四条第(五)项、《公司法》第一百四十六条第一款第三项、《破产法》第一百二十五条第二款);
Where a natural person has been subject to criminal punishment for a relevant criminal act, or deprivation of political rights for crime, and less than five years has elapsed since the execution of the sentence; or if an individual has a large amount of debt outstanding, he/she shall not be a director, supervisor, or senior executive of a company (paragraph 1(2) and (5), Article 146 of the Company Law and Article 4(2), (4) and (7) of the Regulation on the Registration Administrator of Legal Representatives of Corporate Enterprises). 因相关犯罪行为被判处刑罚的自然人,执行期满未逾5年,或因犯罪被剥夺政治权利,执行期满未逾5年的;或者个人所负数额较大的债务到期未清偿的,不得担任公司董事、监事、高级管理人员(《公司法》第一百四十六条第一款第(二)、(五)项,《企业法人法定代表人登记管理规定》第四条第(二)、(四)、(七)项)。

The Supreme People's Court shall, according to the law, provide information on the parties to closed bankruptcy cases, the information that natural persons are convicted and criminally punished, and a list of dishonest persons subject to enforcement. 由最高人民法院依法提供已审结的破产类案件当事人信息、自然人犯罪被判处刑罚的信息,以及失信被执行人名单信息。
(3) Restriction manners: 3.限制方式:
A party shall not, during the statutory period, serve as the legal representative of a company, and if he/she has so served, the enterprise with which he/she works shall be ordered to make modification registration. If a party applies for being a director, supervisor, or senior executive of an enterprise, such application shall not be filed. 当事人在法定期间内不得担任任何公司法定代表人,已担任的责令所在企业办理变更登记。当事人申请成为企业董事、监事及高级管理人员的,不予备案。
III. Collaborative regulatory measures of administrations for industry and commerce and all authorities   三、工商行政管理部门与各部门的协同监管措施
All authorities and administrations for industry and commerce shall share regulatory information and data, achieve collaborative regulation on that basis, and impose the following regulation and punishment on parties in accordance with their respective functions. 各部门与工商行政管理部门共享监管信息和数据,并在此基础上实现协同监管,依照各自职能对当事人实施如下监管和处罚。
1. Administrations for industry and commerce order the parties to have their registration to be modified or canceled within a specified time limit, or suspend the business license. (一)工商行政管理部门责令当事人限期办理变更、注销登记或吊销营业执照。
As required by the relevant laws and regulations, the industry approval authority shall, after imposing administrative punishment on a seriously lawbreaking and dishonest party in the regulatory field, or revoking, suspending, canceling, or withdrawing its permit, notify the administration for industry and commerce of the information of the party, and the administration for industry and commerce shall, according to the law, require or force it to withdraw from the market. 依据相关法律法规的规定,行业审批部门在对监管领域内严重违法失信当事人实施行政处罚或撤销、吊销、注销、缴销其许可证后,可将当事人信息通报工商行政管理部门,由工商行政管理部门依法要求或强制其退出市场。
According to the arrangements of the State Council to cancel and adjust the administrative approval items, for industries in which “permit before business license” are changed to “business license before permit,” the adjusted laws and regulations shall prevail. 根据国务院取消和调整行政审批项目的安排,将“先证后照”调整为“先照后证”的行业,以调整后的法律法规为准。
