| For purposes of profoundly implementing the policies and arrangements of the CPC Central Committee and the State Council on deepening the reform of state-owned assets and state-owned enterprises (SOEs), fulfilling the spirit of the Notice of the State Council on Issuing the Plan for Reforming the Authorized Operation System for State-owned Assets (No. 9 [2019] of the State Council), accelerating the shift from managing enterprises to managing capital, helping investors to fulfill their duties, intensifying efforts to grant and delegate powers, and stimulating the vitality of entities and individuals, the State-owned Assets Supervision and Administration Commission (“SASAC”) has developed the List of Powers Granted and Delegated by the State-owned Assets Supervision and Administration Commission of the State Council (2019 Edition), which is hereby issued to you. The relevant matters are notified as follows: | | 为深入贯彻党中央、国务院关于深化国资国企改革的决策部署，落实《国务院关于印发改革国有资本授权经营体制方案的通知》（国发〔2019〕9号）精神，加快实现从管企业向管资本转变，更好履行出资人职责，进一步加大授权放权力度，切实增强微观主体活力，我委制定了《国务院国资委授权放权清单（2019年版）》（以下简称《清单》），现印发给你们，并将有关事项通知如下： |
| I. Granting and Delegating Powers by Category | | 一、分类开展授权放权 |
| By considering the actual reform and development of enterprises in terms of their functional features, governance capability and management level, the List clarifies the respective powers to be granted and delegated to central enterprises, enterprises under the pilot program of comprehensive reform, enterprises under the pilot program of state capital investment companies and operating companies, as well as special enterprises. Further, corporate groups shall grant and delegate powers to their subsidiaries, lift the restrictions on all fronts, and motivate the enterprises at all levels. | | 《清单》结合企业的功能定位、治理能力、管理水平等企业改革发展实际，分别针对各中央企业、综合改革试点企业、国有资本投资、运营公司试点企业以及特定企业相应明确了授权放权事项。同时，集团公司要对所属企业同步开展授权放权，做到层层“松绑”，全面激发各层级企业活力。 |
