| Guiding Opinions of the Supreme People's Court on Several Issues concerning the Transfer of Enforcement Cases for Bankruptcy Examination | | 最高人民法院关于执行案件移送破产审查若干问题的指导意见 |
| Promoting the transfer of enforcement cases for bankruptcy examination is conducive to establishing a sound mechanism for the rescue and exit of market players, improving the judicial working mechanism, and solving long-pending enforcement cases. It is an important measure for the people's courts to implement the deployments of the CPC Central Committee for the supply-side structural reform and a vital task of the people's courts for serving the general situation of economic and social development at present and for the near future. In order to promote and regulate the transfer of enforcement cases for bankruptcy examination and guarantee the orderly linkage between the enforcement procedure and the bankruptcy procedure, in accordance with the Enterprise Bankruptcy Law of the People's Republic of China (hereinafter referred to as the “Bankruptcy Law”), the Civil Procedure Law of the People's Republic of China (hereinafter referred to as the “Civil Procedure Law”), the Interpretation of the Supreme People's Court on the Application of the Civil Procedure Law of the People's Republic of China, and other relevant provisions, the following opinions on several issues concerning the transfer of enforcement cases for bankruptcy examination are hereby raised: | | 推进执行案件移送破产审查工作，有利于健全市场主体救治和退出机制，有利于完善司法工作机制，有利于化解执行积案，是人民法院贯彻中央供给侧结构性改革部署的重要举措，是当前和今后一段时期人民法院服务经济社会发展大局的重要任务。为促进和规范执行案件移送破产审查工作，保障执行程序与破产程序的有序衔接，根据《中华人民共和国企业破产法》《中华人民共和国民事诉讼法》《最高人民法院关于适用〈中华人民共和国民事诉讼法〉的解释》等规定，现对执行案件移送破产审查的若干问题提出以下意见。 |
| I. Working Principles, Conditions, and Jurisdiction for the Transfer of Enforcement Cases for Bankruptcy Examination | | 一、执行案件移送破产审查的工作原则、条件与管辖 |
| 1. The transfer of enforcement cases for bankruptcy examination involves the conversion and linkage between the enforcement procedure and the bankruptcy procedure. Different courts and internal enforcement departments, case-filing departments, and bankruptcy trial departments of the same court shall follow the working principles of legality and orderliness, coordination and cooperation, and efficiency and convenience and prevent the courts or departments from shuffling responsibilities to each other and wrangling, affecting judicial efficiency, and impairing the lawful rights and interests of the parties. | | 1.执行案件移送破产审查工作，涉及执行程序与破产程序之间的转换衔接，不同法院之间，同一法院内部执行部门、立案部门、破产审判部门之间，应坚持依法有序、协调配合、高效便捷的工作原则，防止推诿扯皮，影响司法效率，损害当事人合法权益。 |
| 2. The transfer of enforcement cases for bankruptcy examination shall simultaneously satisfy the following conditions: | | 2.执行案件移送破产审查，应同时符合下列条件： |
| (1) The person subject to enforcement is an enterprise legal person. | | （1）被执行人为企业法人； |
| (2) The person subject to enforcement or the enforcement applicant in any enforcement case involving the person subject to enforcement consents to the transfer of the enforcement case for bankruptcy examination in writing. | | （2）被执行人或者有关被执行人的任何一个执行案件的申请执行人书面同意将执行案件移送破产审查； |
| (3) The person subject to enforcement is incapable of repaying the matured debts, his or its assets are insufficient to repay all debts, or he or it is evidently insolvent. | | （3）被执行人不能清偿到期债务，并且资产不足以清偿全部债务或者明显缺乏清偿能力。 |
| 3. The transfer of an enforcement case for bankruptcy examination shall be under the jurisdiction of the people's court at the place where the domicile of the person subject to enforcement is located. In terms of subject matter jurisdiction, in order to adapt to the requirements of specialization of bankruptcy trials and rationally allocate trial tasks, the jurisdiction system with the jurisdiction of intermediate people's courts as the principle and the jurisdiction of basic-level people's courts as an exception shall be implemented. With the approval of the higher people's court, the intermediate people's court may also transfer a case to the basic-level people's court satisfying trial conditions for trial. | | 3.执行案件移送破产审查，由被执行人住所地人民法院管辖。在级别管辖上，为适应破产审判专业化建设的要求，合理分配审判任务，实行以中级人民法院管辖为原则、基层人民法院管辖为例外的管辖制度。中级人民法院经高级人民法院批准，也可以将案件交由具备审理条件的基层人民法院审理。 |
| II. Procedures for Enforcement Courts to Consult and Make Decisions | | 二、执行法院的征询、决定程序 |
4. In the enforcement procedure, the enforcement court shall strengthen the work of notification and consultation of the relevant matters in the transfer of enforcement cases for bankruptcy examination. Where, after taking property investigation measures, the enforcement court finds that as the person subject to enforcement, an enterprise legal person complies with the provisions of Article 2 of the Bankruptcy Law, the enforcement court shall, in a timely manner, inquire the enforcement applicant and the person subject to enforcement about whether they consent to the transfer of the case for bankruptcy examination. Where both the enforcement applicant and the person subject to enforcement disagree with the transfer and no one applies for bankruptcy, the enforcement court shall handle in accordance with the provisions of Article 516 of the Interpretation of the Supreme People's Court on the Application of the Civil Procedure Law of the People's Republic of China. If other creditors of the enterprise legal person that have obtained the enforcement basis apply for participating in the allocation, the people's court shall not support them.
．．．．．． | | 4.执行法院在执行程序中应加强对执行案件移送破产审查有关事宜的告知和征询工作。执行法院采取财产调查措施后，发现作为被执行人的企业法人符合破产法第二条规定的，应当及时询问申请执行人、被执行人是否同意将案件移送破产审查。申请执行人、被执行人均不同意移送且无人申请破产的，执行法院应当按照《最高人民法院关于适用〈中华人民共和国民事诉讼法〉的解释》第五百一十六条的规定处理，企业法人的其他已经取得执行依据的债权人申请参与分配的，人民法院不予支持。
