To implement the Cross-strait Investment Protection and Promotion Agreement , protect the legitimate investment rights and interests of Taiwan investors, encourage Taiwan compatriots to make investment in the Mainland, and enhance cross-strait economic cooperation, the Interim Measures for Recognition of the Trans-investment of Taiwan Investors through a Third Place are hereby issued, and come into force on February 20, 2013.
 
为实施《海峡两岸投资保护和促进协议》,保护台湾投资者合法投资权益,鼓励台湾同胞赴大陆投资,促进海峡两岸经济合作,现公布《台湾投资者经第三地转投资认定暂行办法》,自2013年2月20日起实施。

Interim Measures for Recognition of the Trans-investment of Taiwan Investors through a Third Place
 
台湾投资者经第三地转投资认定暂行办法

 
Article 1 To protect the legitimate rights and interests of Taiwan investors making investments in the Mainland and implement the Cross-strait Investment Protection and Promotion Agreement, these Measures are made pursuant to the relevant laws and administrative regulations.   第一条 为保护台湾投资者在大陆投资的合法权益,实施《海峡两岸投资保护和促进协议》,根据有关法律、行政法规制定本办法。

 
Article 2 Taiwan investors investing in the Mainland to establish enterprises (hereinafter referred to as “trans-invested enterprises”) by using companies, enterprises or other economic organizations directly or indirectly owned or controlled by them in third places (hereinafter referred to as “third-place investors”) as the investors may apply for recognizing the third-place investors as Taiwan investors under these Measures (hereinafter referred to as “trans-investment recognition”).   第二条 台湾投资者以其直接或间接所有或控制的第三地公司、企业或其他经济组织作为投资者(以下简称第三地投资者)在大陆投资设立企业(以下简称转投资企业),可根据本办法提出申请,将该第三地投资者认定为视同台湾投资者(以下简称转投资认定)。

 
Article 3 The Ministry of Commerce together with the Taiwan Affairs Office of the State Council, the commerce departments of all provinces, autonomous regions, municipalities directly under the Central Government, cities under separate state planning and the Xinjiang Production and Construction Corps (hereinafter referred to as “commerce departments at the provincial level”) together with the Taiwan affairs offices at the same level, shall be responsible for the recognition and administration of the trans-investment made by Taiwan investors through third places.   第三条 商务部会同国务院台湾事务办公室,各省、自治区、直辖市、计划单列市及新疆生产建设兵团商务主管部门(以下简称省级商务主管部门)会同同级台湾事务办公室负责台湾投资者经第三地转投资认定和管理工作。

 
Article 4 For the purpose of these Measures, the term “Taiwan investors” refers to nature persons or enterprises described as follows:   第四条 本办法中的“台湾投资者”是指以下自然人或企业:

 
1. natural persons holding identity certificates of the Taiwan Region; or (一)持有台湾地区身份证明文件的自然人;

 
2. enterprises formed and registered in the Taiwan Region, including companies, fiduciaries, trading firms, partnerships or other organizations, but excluding overseas branch companies, offices, liaison offices and entities without substantial business operations as established by natural persons, enterprises or institutions from countries or regions other than the Mainland and the Taiwan Region. (二)在台湾地区设立登记的企业,包括公司、信托、商行、合伙或其他组织,不包括大陆和台湾地区以外的国家或地区的自然人、企业或机构在台湾地区设立登记的海外分公司、办事处、联络处以及未从事实质性经营的实体。

 
Article 5 The term “third places” as mentioned in Article 2 of these Measures means countries or regions other than the Mainland and the Taiwan Region. Third-place investors shall be established according to the law of the said countries or regions.   第五条 本办法第二条中的“第三地”是指大陆和台湾地区以外的国家或地区,第三地投资者应依照该国家或地区的法律设立。

 
Article 6 The wording “own” as mentioned in Article 2 of these Measures means that the Taiwan investor owns more than 50% of stock rights in the third-place investor.   第六条 本办法第二条中的“所有”是指台湾投资者拥有第三地投资者超过50%的股权。

 
Article 7 The wording “control” as mentioned in Article 2 of these Measures means any of the following circumstances when the Taiwan investor fails to reach the requirement of Article 6:   第七条 本办法第二条中的“控制”是指未满足本办法第六条要求,但存在以下情形之一的:

 
1. The Taiwan investor actually owns more than half of the voting power of the board of directors, assembly of shareholders or any other power body of the third-place investor; (一)台湾投资者实际拥有第三地投资者的董事会、股东会等权力机构超过半数以上的表决权;

 
2. The Taiwan investor has the power to appoint or remove more than half of members of the board of directors or any other power body that makes the business and management decisions of the third-place investor;

 (二)台湾投资者有权任免第三地投资者董事会等权力机构半数以上的成员,且第三地投资者的经营决策等事项由该权力机构决定;
