All the local offices of the China Banking and Insurance Regulatory Commissions ("CBIRC"); the industry and information technology departments of all provinces (autonomous regions, municipalities directly under the Central Government, and cities under separate state planning) and Xinjiang Production and Construction Corps; the development and reform commissions of all provinces (autonomous regions, municipalities directly under the Central Government, and cities under separate state planning) and Xinjiang Production and Construction Corps; the finance departments (bureaus) of all provinces (autonomous regions, municipalities directly under the Central Government, and cities under separate state planning) and the Finance Bureau of Xinjiang Production and Construction Corps; the People's Bank of China ("PBC") Shanghai Head Office, all the regional branches and operations offices of the PBC, and all the central sub-branches of the PBC in capital cities of provinces (autonomous regions); the market regulatory bureaus (departments and commissions) of all provinces (autonomous regions, municipalities directly under the Central Government, and cities under separate state planning) and Xinjiang Production and Construction Corps; all policy banks, large banks, and joint-stock banks; foreign-funded banks; financial asset management companies; all insurance group (holding) companies, insurance companies, and insurance asset management companies; and all entities managed by the CBIRC: 各银保监局,各省(自治区、直辖市及计划单列市)、新疆生产建设兵团工业和信息化主管部门,各省(自治区、直辖市及计划单列市)、新疆生产建设兵团发展改革委,各省(自治区、直辖市及计划单列市)财政厅(局)、新疆生产建设兵团财政局,中国人民银行上海总部、各分行、营业管理部、各省会(首府)城市中心支行,各省(自治区、直辖市及计划单列市)、新疆生产建设兵团市场监督管理局(厅、委),各政策性银行、大型银行、股份制银行,外资银行,金融资产管理公司,各保险集团(控股)公司、保险公司、保险资产管理公司,各会管单位:
In recent years, the banking industry and the insurance industry have conscientiously implemented the decisions and arrangements of the CPC Central Committee and the State Council, and continued to strengthen fee reductions and concessions, which played a positive role in alleviating financing difficulty and expensiveness faced by enterprises, but there remain unreasonable charges, linking deposits with loans, forced bundling and tie-in sale, and other issues. For the purposes of further regulating the charges in and administration of all links of credit financing, protecting enterprises' right to know, freedom of choice, and right to fair trading, reducing the comprehensive financing costs of enterprises, and better serving the high-quality development of the real economy, you are hereby notified of the relevant matters as follows: 近年来,银行业保险业认真贯彻党中央、国务院决策部署,持续加大减费让利力度,对缓解企业融资难融资贵发挥了积极作用,但仍存在不合理收费、贷存挂钩和强制捆绑搭售等问题。为进一步规范信贷融资各环节收费与管理,维护企业知情权、自主选择权和公平交易权,降低企业融资综合成本,更好服务实体经济高质量发展,现就有关事项通知如下:
I. Canceling certain chargeable items and unreasonable conditions in credit links   一、信贷环节取消部分收费项目和不合理条件
1. Canceling credit proceeds management fees and other charges. A bank shall not charge a transfer fee for payment of credit proceeds with authorization. For the credit proceeds transferred but not yet used by the enterprise, no fund management fee shall be charged. For the credit financing of micro and small-sized enterprises, no liquidated damages for early payment or delay in use may be stipulated in the loan contract, and corporate account overdraft commitment fees and credit-worthiness certificate fees shall be canceled. (一)取消信贷资金管理等费用。银行不得收取信贷资金受托支付划拨费。对于已划拨但企业暂未使用的信贷资金,不得收取资金管理费。对于小微企业信贷融资,不得在贷款合同中约定提前还款或延迟用款违约金,取消法人账户透支承诺费和信贷资信证明费。
2. Strictly implementing prohibitive provisions on linking deposits with loans and forced bundling and tie-in sale. Except for certificates of deposit-pledged loan and margin business, the advance making of a deposit of a certain amount or proportion by an enterprise may not be a prerequisite for the approval of its credit application. Enterprises shall not be required to convert a certain amount or proportion of credit proceeds into deposits. Part lines of credit may not be replaced with banker's acceptances regardless of the actual needs of enterprises, neither shall non-cash forms such as banker's acceptances be forcibly substituted for credit proceeds. No enterprise may be forced to buy insurance, wealth management, fund, or other asset management products at the time of credit approval. (二)严格执行贷存挂钩、强制捆绑搭售等禁止性规定。除存单质押贷款、保证金类业务外,不得将企业预存一定数额或比例的存款作为信贷申请获得批准的前提条件。不得要求企业将一定数额或比例的信贷资金转为存款。不得忽视企业实际需求将部分授信额度划为银行承兑汇票,或强制以银行承兑汇票等非现金形式替代信贷资金。不得在信贷审批时,强制企业购买保险、理财、基金或其他资产管理产品等。
3. Conducting credit examination in advance. A bank shall, on application from an enterprise, effectively conduct credit assessment and examination in advance before the maturity date of an existing loan, so as to improve response speed and timeliness of approval. Unless the production and operation, financial condition, and external environment, among others, of an enterprise deteriorate, no new credit enhancement requirement that causes a conspicuous increase in the comprehensive financing cost shall be raised without reason; no loan interest rate shall be increased on the ground of rescinding loans, so as to ensure that enterprises in need of funds receive loans at a reasonable cost; and the supply of credit support to "zombie enterprises" shall not be continued, because the practice squeezes out the banks' loanable funds and pushes up the financing costs of other enterprises. (三)提前开展信贷审核。银行应根据企业申请,在存量贷款到期前,提前做好信贷评估和审核,提高响应速度和审批时效。在企业生产经营、财务状况和外部环境等未发生明显恶化时,不得无故提出导致融资综合成本明显提高的新的增信要求;不得以断贷为由提高贷款利率,确保有资金需求的企业以合理成本获得贷款;不得继续对“僵尸企业”提供信贷支持,挤占银行可贷资金,推高其他企业融资成本。
II. Reasonably controlling comprehensive financing costs in the link of loan facilitation   二、助贷环节合理控制融资综合成本
4. Specifying banks' chargeable matters. A bank shall specify the interest and fees charged in enterprise loan contracts or service agreements, and shall not charge any fee other than those agreed by contract. For customers recommended by a third-party institution, the bank shall give notification of the procedures for applying for credit directly to the bank and the corresponding interest and fee rates. (四)明确银行收费事项。银行应在企业借款合同或服务协议中明确所收取利息和费用,不得在合同约定之外收取费用。对于第三方机构推荐的客户,银行应告知直接向本行提出信贷申请的程序和息费水平。
5. Strengthening the management of third-party institutions. A bank shall perform a list-based management of cooperating third-party institutions, require its regional branches at or above the first level to examine the qualifications of third-party institutions, and clearly prohibit in its contracts third-party institutions from charging enterprises in the name of the bank. A bank shall understand the fees charged by cooperating third-party institutions, assess the comprehensive financing costs of enterprises, and refrain from cooperating with third-party institutions with prohibitive fee rates. (五)加强对第三方机构管理。银行应对合作的第三方机构实施名单制管理,由一级分行及以上层级审核第三方机构资质,并在合同中明确禁止第三方机构以银行名义向企业收取费用。银行应了解合作的第三方机构向企业收费情况,评估企业融资综合成本,不与收费标准过高的第三方机构合作。
6. Implementing "two strict prohibitions." A bank shall be in possession of customer information that supports credit decision-making and be strictly prohibited from delegating the substantive duties of pre-lending investigation and post-lending management to third-party institutions, so as to prevent indirect increase in financing costs. A bank shall be strictly prohibited from transferring credit proceeds to cooperating third-party institutions, so as to prevent credit proceeds from being withheld or misappropriated and the reduction of actual proceeds available to enterprises.

 (六)实行“两个严禁”。银行应掌握支持信贷决策的客户信息,严禁将贷前调查和贷后管理的实质性职责交由第三方机构承担,防止导致间接推高融资成本。严禁银行将信贷资金划拨给合作的第三方机构,防止信贷资金被截留或挪用,减少企业实际可用资金。
