| All local offices of the China Banking Regulatory Commission (“CBRC”); all policy banks, large-scale banks, and joint-stock banks; Postal Savings Bank of China; foreign-funded banks; financial assets management companies; and other institutions administered by the CBRC: | | 各银监局，各政策性银行、大型银行、股份制银行，邮储银行，外资银行，金融资产管理公司，其他会管机构： |
| For the purposes of strengthening the management of financial creditor's rights, protecting the economic and financial order, supporting the development of the real economy, and effectively completing the relevant work of the creditors' committees of banking financial institutions (hereinafter referred to as the “creditors' committees”), you are hereby notified of relevant matters as follows: | | 为加强金融债权管理，维护经济金融秩序，支持实体经济发展，做好银行业金融机构债权人委员会（以下简称“债委会”）有关工作，现就相关事项通知如下： |
| I. A creditors' committee is a consultative, self-disciplined, and temporary organization initiated by more than 3 banking financial institutions of creditor's rights of a difficult enterprise with relatively large scale of debts. | | 一、债委会是由债务规模较大的困难企业三家以上债权银行业金融机构发起成立的协商性、自律性、临时性组织。 |
| II. The responsibilities of a creditors' committee is protecting the lawful rights and interests of banking financial institutions according to the law, urging banking financial institutions of creditor's rights to make efforts accurately and implement policies in a classified manner, effectively protecting financial credits, and supporting the development of the real economy. A creditors' committee shall, according to the policy of “one policy for one enterprise,” collectively study loan increase, loan stabilization, loan reduction, reorganization, and other measures, and carry out debt reorganization, assets preservation, and other work in an orderly manner, to ensure the formation of joint efforts by banking financial institutions. | | 二、债委会的职责是依法维护银行业金融机构的合法权益，推动债权银行业金融机构精准发力、分类施策，有效保护金融债权，支持实体经济发展。债委会按照“一企一策”的方针集体研究增贷、稳贷、减贷、重组等措施，有序开展债务重组、资产保全等相关工作，确保银行业金融机构形成合力。 |
| III. A creditors' committee shall carry out work under the principles of “marketization, legalization, fairness and impartiality.” A creditors' committee that implements debt reorganization shall adopt multi-support, market-oriented and stable measures, actively strive for favorable conditions for enterprise development, and achieve a win-win situation between banks and enterprises. | | 三、债委会应当按照“市场化、法治化、公平公正”的原则开展工作。债委会实施债务重组的，应当采取多方支持、市场主导、保持稳定的措施，积极争取企业发展的有利条件，实现银企共赢。 |
| IV. A creditors' committee may be initiated by the banking financial institutions of creditor's rights themselves. A creditors' committee shall clarify the chairman entity and the vice chairman entity, and launch relevant work. | | 四、债委会可以由债权银行业金融机构自行发起成立。债委会要明确主席单位和副主席单位，启动相关工作。 |
| V. All banking financial institutions of creditor's rights of enterprise in debt and other financial institutions approved to be formed by the CBRC shall, in principle, join creditors' committees; and financial institution creditors not approved to be formed by the CBRC may also join creditors' committees. | | 五、债务企业的所有债权银行业金融机构和银监会批准设立的其他金融机构原则上应当参加债委会；非银监会批准设立的金融机构债权人，也可以加入债委会。 |
VI. In principle, the chairman entity of a creditors' committee shall be one to two banking financial institutions with large amount of creditor's rights and the ability and willingness to coordinate, and the vice chairmen entity may be jointly composed of banking financial institutions representing relatively large amount of creditor's rights and banking financial institutions representing relatively small amount of creditor's rights. Other financial institutions of creditor's rights shall attend relevant conferences as required. A creditors' committee shall form a working group, to be in charge of the routine work.
