The People's Republic of China and the Kingdom of Spain hereinafter referred to as "The Contracting Parties", desiring to encourage, protect and create favorable conditions for investment by investors of one Contracting Party in the territory of the other Contracting Party based on the principles of mutual respect for sovereignty, equality and mutual benefit and for the purpose of the development of economic cooperation between both countries, have agreed as follows: | |
中华人民共和国和西班牙王国（以下简称“缔约双方”），为发展两国间的经济合作，愿在相互尊重主权和平等互利的基础上，鼓励和保护缔约一方的投资者在缔约另一方领土内的投资，并为之创造良好的条件，达成协议如下: |

For the purpose of this Agreement, | |

| 1. The term "investments" means every kind of assets invested by investors of one Contracting Party in accordance with the laws and regulations of the other Contracting Party in the territory of the Latter, including mainly: | | 一、“投资”一词系指缔约一方投资者依照缔约另一方的法律和法规在后者领土内投资的各种财产,主要包括: |

| a) movable and immovable property and other property rights such as mortgages, liens or pledges; | | (一)动产和不动产及其他财产权利,如抵押权、留置权或质权; |
| |
|
| b) shares in companies or other forms of participation in companies; | | (二)公司的股份或公司中其他形式的参与; |
| |
|
| c) a claim to money or to any performance having an economic value; | | (三)金钱请求权或具有经济价值的行为请求权; |
| |
|
| d) copyrights, industrial property, know-how and technological process; | | (四)著作权、工业产权、专有技术和工艺流程; |
| |
|
| e) concessions conferred by law or contract, including concessions to search for or exploit natural resources. | | (五)依照法律或合同授予的特许权,包括勘探和开发自然资源的特许权。 |

in respect of the People's Republic of China: | |

| a) natural persons who have nationality of the People's Republic of China in accordance with its law; | | (一)具有中华人民共和国国籍的自然人; |
| |
|
| b) economic entities established in accordance with the laws of the People's Republic of China and domiciled in the territory of the People's Republic of China; | | (二)依照中华人民共和国的法律设立,其住所在中华人民共和国领土内的经济实体。 |
In respect of the kingdom of Spain: | |
在西班牙王国方面,系指: |

| a) natural persons who have nationality of the Kingdom of Spain according to its law; | | (一)依照西班牙王国法律具有西班牙王国国籍的自然人; |
| |
|
| b) economic entities established in accordance with the laws of the Kingdom of Spain and domiciled in its territory. | | (二)依照西班牙王国的法律设立,其住所在西班牙领土内的经济实体。 |
| |
|
| 3. The term "return" means the amount yielded by investments, such as profits, dividends, interests, royalties or other legitimate income. | | 三、“收益”一词系指由投资所产生的款项,如利润、股息、利息、提成费和其他合法收入。 |
| |
|
| 4. The term "territory" designates the land territory and territorial waters of each of the Contracting Parties. This Agreement shall also apply to investments made by investors of either Contracting Party in the exclusive economic zone and the continental shelf that extends outside the limits of the territorial waters of the other Contracting Party, over which they have or may have sovereign rights and jurisdiction for the purpose of prospecting, exploration and conservation of natural resources, pursuant to international law. | | 四、“领土”一词系指缔约任何一方的领陆和领水。本协定也适用于缔约任何一方的投资者在缔约另一方根据国际法为勘探、开发和保护自然资源的目的而拥有或可能拥有主权权利和管辖权的领水以外的专属经济区和大陆架内所进行的投资。 |

| Article 2 | | 第二条 |

| 1. Each Contracting Party shall encourage investors of the other Contracting Party to make investments in its territory and admit such investments in accordance with its laws and regulations. | | 一、缔约一方应鼓励缔约另一方的投资者在其领土内投资,并依照其法律和法规接受此种投资。 |
| |
|
| 2. Each Contracting Party shall grant assistance and provide facilities for obtaining visa and working permit, within the framework of its law, to investors of the other Contracting Party in the territory of the Former in connection with activities associated with their investments, such as the execution of contracts related to manufacturing licences and technical, commercial, financial, administrative and consulting assistance. | | 二、缔约一方应在其法律允许范围内为在其领土内从事与投资有关活动的缔约另一方国民获得签证和工作许可提供帮助和便利,如与履行合同有关的生产许可证、技术、商务、金融、行政和咨询协助。 |

| Article 3 | | 第三条 |

| 1. Investments made by investors of either Contracting Party shall at all times be accorded fair and equitable treatment and shall enjoy the most constant protection and security in the territory of the other Contracting Party. Each Contracting Party agrees that without prejudice to its laws and regulations it shall not take any unreasonable or discriminatory measure against the management, maintenance, use or disposal of investments in its territory of investors of the other Contracting Party. Each Contracting Party shall observe any obligation it may have entered into with regard to investments of investors of the other Contracting Party. | | 一、缔约任何一方的投资者在缔约另一方领土内的投资,应始终受到公正和公平的待遇和持久的保护和保障。缔约各方同意,在不损害其法律和法规规定的条件下,对缔约另一方的投资者在其领土内对投资的管理、维持、使用、享有或处置不得采取不合理的或歧视性的措施。缔约各方应遵守其对缔约另一方投资者的投资可能已承诺的义务。 |

| 2. The treatment and protection referred to in paragraph 1 of this Article shall not be less favorable than that accorded to investors of a third State. | | 二、本条第一款所述的待遇和保护,应不低于给予任何第三国投资者的投资和与投资有关的活动的待遇和保护。 |
| |
|
| 3. The treatment and protection as mentioned in paragraph 1 and 2 of this Article shall not include any preferential treatment accorded by the other Contracting Party to investments of investors of a third State based on customs union, free-trade zone, economic union, agreement relating to avoidance of double taxation or for facilitating frontier trade. | | 三、本条第一款和第二款所述的待遇和保护,不应包括缔约另一方依照关税同盟、自由贸易区、经济联盟、避免双重征税协定和为了方便边境贸易而给予第三国投资者的投资的任何优惠待遇。 |

| 4. In addition to the provisions of paragraph 2 of this Article, either Contracting Party shall accord treatment in accordance with the stipulations of its laws and regulations to the investments of investors of the other Contracting Party the same as that accorded to its own investors. | | 四、除本条第二款的规定外,缔约任何一方还应根据其法律和法规的规定给予缔约另一方的投资者的投资与其给予本国投资者以相同的待遇。 |

| Article 4 | | 第四条 |

|
| 1. Neither Contracting Party shall expropriate, nationalize or take similar measures, hereinafter referred to as expropriation, against investments of investors of the other Contracting Party in its territory, unless the following conditions are met: | | 一、缔约任何一方不应对缔约另一方投资者在其领土内的投资采取征收、国有化或其他类似措施(以下称“征收”),除非符合下列条件: |

|
| a) in the public interest; | | (一)为了公共利益; |
| |
|
| b) under domestic legal procedure; | | (二)依照国内法律程序; |
| |
|
| c) without discrimination; | | (三)非歧视性的; |
| |
|
| d) against compensation. | | (四)给予补偿。 |
| |
|
2. The compensation mentioned in Paragraph 1, (d) of this Article shall be equivalent to the value of the expropriated investments at the time when expropriation is proclaimed, be convertible and freely transferable. The compensation shall be paid without undue delay.
