| China National Erzhong Group Company (hereinafter referred to as “CNEG”), as an important state-owned backbone enterprise directly run by the Central Government, was a national manufacturing base for major technical equipment. China Erzhong Group (Deyang) Heavy Industries Co., Ltd. (hereinafter referred to as “Erzhong Heavy Industries”) was a holding subsidiary of CNEG. From 2011, CNEG and Erzhong Heavy Industries have been operating at a loss for years and their production and business operations, employee salaries, and social security were maintained with an effort to loans borrowed from banks and funds provided by shareholders. Up to the end of 2014, the total scale of financial liabilities of CNEG and Erzhong Heavy Industries has exceeded 20 billion yuan. Under the support of the State-Owned Assets Supervision and Administration Commission and other relevant departments, such chairman banks as Agricultural Bank of China, Bank of China, and China Everbright Bank organized almost 30 financial creditors of CNEG and Erzhong Heavy Industries to establish the financial creditors' committee of CNEG, which conducted out-of-court reorganization negotiations with CNEG, Erzhong Heavy Industries, and shareholders thereof. On September 11, 2015, under the organization of the China Banking Regulatory Commission, all parties reached a framework reorganization scheme, with the core content that all interest accrual financial liabilities would be paid off with “cash + reserved debts + stocks” within 2015. On the same day, First Design & Research Institute, MI China and other creditors filed an application with the Intermediate People's Court of Deyang City, Sichuan Province (hereinafter referred to as the “Intermediate Court of Deyang”) for the bankruptcy reorganization of CNEG and Erzhong Heavy Industries. On September 21, the Intermediate Court of Deyang ruled to accept the case about reorganization of CNEG and Erzhong Heavy Industries and appointed an administrator to take over CNEG and Erzhong Heavy Industries.
