| Article 1 To maintain the order of the socialist market economy, promote the fair competition and protect the legitimate rights and interests of business operators and consumers, these Measures are formulated. | | 第一条 为了维护社会主义市场经济秩序，促进公平竞争，保护经营者和消费者的合法权益，制定本办法。 |
| Article 2 No entity or individual shall engage in unlicensed business operations in violation of laws and administrative regulations. | | 第二条 任何单位和个人不得违反法律、法规的规定，从事无照经营。 |
| Article 3 For business operations involving the human health, public safety, safe production, environmental protection or exploration and exploitation of natural resources, which are subject to licensing or examination and approval according to a law or administrative regulation, the licensing or examination and approval department shall make licensing or examination and approval in strict accordance with the conditions and procedures prescribed by a law or administrative regulation. The administrative department for industry and commerce must conduct the registration formalities and issue a business license upon the strength of a license or any other approval document issued by the licensing or examination and approval department. | | 第三条 对于依照法律、法规规定，须经许可审批的涉及人体健康、公共安全、安全生产、环境保护、自然资源开发利用等的经营活动，许可审批部门必须严格依照法律、法规规定的条件和程序进行许可审批。工商行政管理部门必须凭许可审批部门颁发的许可证或者其他批准文件办理注册登记手续，核发营业执照。 |
| Article 4 The following illegal acts shall be investigated and punished by the administrative department for industry and commerce according to these Measures: | | 第四条 下列违法行为，由工商行政管理部门依照本办法的规定予以查处： |
| 1. engaging in unlicensed business operations where a license or any other approval document and a business license shall be obtained but have not been obtained according to law; | | （一）应当取得而未依法取得许可证或者其他批准文件和营业执照，擅自从事经营活动的无照经营行为； |
| 2. engaging in unlicensed business operations where a business license may be obtained without a license or any other approval document but has not been obtained according to law; | | （二）无须取得许可证或者其他批准文件即可取得营业执照而未依法取得营业执照，擅自从事经营活动的无照经营行为； |
| 3. engaging in unlicensed business operations where a license or any other approval document has been obtained according to law but a business license has not been obtained according to law; | | （三）已经依法取得许可证或者其他批准文件，但未依法取得营业执照，擅自从事经营活动的无照经营行为； |
| 4. engaging in unlicensed business operations by continuingly engaging in business operations where deregistration has been conducted, a business license has been revoked, or the registration formalities have not been conducted anew according to legal provisions after the term of validity of a business license expires; or | | （四）已经办理注销登记或者被吊销营业执照，以及营业执照有效期届满后未按照规定重新办理登记手续，擅自继续从事经营活动的无照经营行为； |
| 5. engaging in illegal business operations beyond the approved and registered business scope where a license or any other approval document shall be obtained. | | （五）超出核准登记的经营范围、擅自从事应当取得许可证或者其他批准文件方可从事的经营活动的违法经营行为。 |
| The acts in subparagraphs 1 and 5 shall also be investigated and punished by the licensing or examination and approval department for public security, land and resources, construction, culture, health, quality inspection, environmental protection, press and publication, drug administration or work safety according to its functions as set out by the laws and administrative regulations. However, the administrative punishment of a fine shall not be imposed on a party twice or more for a same illegal act of the party. | | 前款第（一）项、第（五）项规定的行为，公安、国土资源、建设、文化、卫生、质检、环保、新闻出版、药监、安全生产监督管理等许可审批部门（以下简称许可审批部门）亦应当依照法律、法规赋予的职责予以查处。但是，对当事人的同一个违法行为，不得给予两次以上罚款的行政处罚。 |
| Article 5 The administrative departments for industry and commerce at all levels shall legally perform their functions, and timely investigate and punish the unlicensed business operations within their respective jurisdictions. | | 第五条 各级工商行政管理部门应当依法履行职责，及时查处其管辖范围内的无照经营行为。 |
| Article 6 Where any one, having obtained a business license, but not having obtained a license or any other approval document according to law, or having a license or any other approval document which has been revoked or cancelled, or not having conducted the licensing or examination and approval formalities anew according to law after a license or any other approval document expires, engages in the relevant business operations, and deregistration or revocation of its business license shall be conducted according to a law or administrative regulation, the administrative department for industry and commerce shall conduct deregistration or revocation of its business license. | | 第六条 对于已经取得营业执照，但未依法取得许可证或者其他批准文件，或者已经取得的许可证或者其他批准文件被吊销、撤销或者有效期届满后未依法重新办理许可审批手续，擅自从事相关经营活动，法律、法规规定应当撤销注册登记或者吊销营业执照的，工商行政管理部门应当撤销注册登记或者吊销营业执照。 |
| Article 7 Where, during the term of validity of a business license, a licensing or examination and approval department revokes or cancels a license or any other approval document according to law or the term of validity of a license or any other approval document expires, the licensing or examination and approval department shall notify the administrative department for industry and commerce within five workdays after the license or any other approval document is revoked or cancelled or after the term of validity of the license or any other approval document expires, and the administrative department for industry and commerce shall conduct deregistration or revocation of the business license, or order the party concerned to conduct registration of modification according to law. | | 第七条 许可审批部门在营业执照有效期内依法吊销、撤销许可证或者其他批准文件，或者许可证、其他批准文件有效期届满的，应当在吊销、撤销许可证、其他批准文件或者许可证、其他批准文件有效期届满后5个工作日内通知工商行政管理部门，由工商行政管理部门撤销注册登记或者吊销营业执照，或者责令当事人依法办理变更登记。 |
Article 8 In the investigation and punishment of unlicensed business operations, an administrative department for industry and commerce shall combine investigation with guidance and combine punishment with education, and, for laid-off workers or the unemployed or where the business conditions, business scope and business items are in line with the provisions of laws and administrative regulations, urge and direct the party concerned to conduct the relevant formalities according to law and engage in lawful business operations.
