To deeply carry out the Scientific Outlook on Development, continue to strengthen the administration of foreign investment in steel, aluminium smelting, cement, vessel and other sectors subject to macro economic control, strictly control foreign investment in high energy-consumption, heavy pollution or resource dependent sectors, and improve the utilization efficiency and structure of foreign capital utilization, we hereby notify you of the following matters concerning the examination, approval and filing of foreign investment in sectors subject to macro economic control: | |
为深入贯彻落实科学发展观，继续加强对钢铁、铝冶炼、水泥、船舶等宏观调控行业外商投资的管理，严格控制外商投资高耗能、高污染、资源性（即“两高一资“）行业，提高利用外资质量和优化利用外资结构，现就加强外商投资宏观调控行业审核和备案工作通知如下： |

| I. The local commerce departments at all levels shall be fully aware of the difficulty and urgency of our tasks in macro economic control, energy conservation, emission reduction and regulation of high energy-consumption, heavy pollution or resource dependent sectors, continue to carry out the spirit of the related documents of the State Council, strictly execute the macro economic control and market access policies for foreign investment, and do a good job in the examination, approval and filing of establishment of new enterprises and capital increase and share transfer of existing enterprises funded by foreign investment in sectors subject to macro economic control. | | 一、地方各级商务主管部门要充分认识当前我国宏观调控、节能减排和控制“两高一资”任务的艰巨性和急迫性，继续深入贯彻落实国务院有关文件精神，严格执行国家宏观调控政策和外商投资市场准入政策，认真做好本地外商投资宏观调控行业新设企业和现有企业增资、转股等事项的审核和备案监管工作。 |

II. The local commerce departments at all levels shall, when examining the formation (including acquisition and merger), capital increase and share transfer (increase of foreign capital resulting from the transfer of shares from the Chinese side to the foreign side of a joint venture) of foreign-funded enterprises in steel, aluminium smelting, cement and vessel, carefully verify whether it involves any project subject to macro economic control such as steelmaking, ironmaking, steel rolling, electrolytic aluminium, alumina or cement production or ship making, whether it involves expansion of production capacity, and other involvements; and strictly examine the completeness and validity of the approval documents from the project construction approval, land use, environment impact assessment and other departments.
．．．．．． | | 二、地方各级商务主管部门审核钢铁、铝冶炼、水泥和船舶行业外商投资企业设立（含并购）、增资和转股（已设合资企业中方向外方转让股权导致合同外资增加）事项时，要认真核实是否涉及炼钢、炼铁、轧钢、电解铝、氧化铝、水泥生产和船舶制造等宏观调控项目，是否涉及扩大生产能力等；严格审核项目建设核准、用地和环评等有关部门批准文件是否齐全、有效。
