| For the purposes of correctly applying the Company Law of the People's Republic of China, in light of the judicial practice of people's courts, the following Provisions are made on the application of law to cases on disputes over the protection of shareholders' rights and interests, among others. | | 为正确适用《中华人民共和国公司法》，结合人民法院审判实践，就股东权益保护等纠纷案件适用法律问题作出如下规定。 |
| Article 1 Where the interests of a company is damaged by any affiliated transaction, and the company as the plaintiff requests any of the controlling shareholder, the actual controller, directors, supervisors and senior executives to compensate for the loss caused in accordance with the provision of Article 21 of the Company Law, and the defendant makes a defense merely on the excuse that the procedures prescribed by laws, administrative regulations or the company's bylaws such as information disclosure and approval by the shareholders' meeting or general assembly of shareholders have been fulfilled in this transaction, the people's court shall not support it. | | 第一条 关联交易损害公司利益，原告公司依据公司法第二十一条规定请求控股股东、实际控制人、董事、监事、高级管理人员赔偿所造成的损失，被告仅以该交易已经履行了信息披露、经股东会或者股东大会同意等法律、行政法规或者公司章程规定的程序为由抗辩的，人民法院不予支持。 |
