Your Request for Instructions on the Establishment of Overseas Enterprises in Kazakstan and Uzbekistan by CNPC's Central-Asian Natural Gas Pipeline Company Limited (No. 687 [2007] of CNPC) has been received. Upon research, we reply as follows: | |
《关于中石油中亚天然气管道有限公司在哈萨克斯坦和乌兹别克斯坦设立合资公司的请示》（中油外字〔2007〕687号）悉。经研究，现批复如下： |

| I. We permit the Central-Asian Natural Gas Pipeline Company Limited which is subordinate to your corporation to establish jointly with the Kazakstan State Oil and Gas Company in Kazakstan the “Sino-Asia (Kazakstan) Natural Gas Pipeline Company Limited”. The registered capital of this overseas enterprise shall be USD 10 million, among which, the amount invested by the CNPC's Central-Asian Natural Gas Pipeline Company Limited shall be USD 5 million, accounting for 50% shares, the capital needed shall be settled by means of self-financing abroad. | | 一、同意你集团公司所属中石油中亚天然气管道有限公司与哈萨克斯坦国家油气公司合资在哈萨克斯坦合资设立“中亚（哈萨克斯坦）天然气管道有限责任公司”。该境外企业注册资本为1000万美元，其中中石油中亚天然气管道有限公司出资500万美元，持有50%股份，所需资金以境外自筹方式解决。 |

We permit the Central-Asian Natural Gas Pipeline Company Limited which is subordinate to your corporation to establish jointly with Uzbekistan State Holding Oil and Gas Company the “Sino-Asia (Uzbekistan) Natural Gas Pipeline Company Limited”. The registered capital of this overseas enterprise shall be USD 3 million, among which, the amount invested by the CNPC's Central-Asian Natural Gas Pipeline Company Limited shall be USD 1.5 million, accounting for 50% shares, the capital needed shall be settled by means of self-financing abroad.
