The Regulation on China (Liaoning) Pilot Free Trade Zone, as deliberated and adopted at the 4th Session of the Standing Committee of the Thirteenth People's Congress of Liaoning province on July 25, 2018, is hereby issued and shall come into force on October 1, 2018. 《中国(辽宁)自由贸易试验区条例》已经2018年7月25日辽宁省第十三届人民代表大会常务委员会第四次会议审议通过,现予公布,自2018年10月1日起施行。

Chapter I General Provisions 

第一章 总则

Article 1 For purposes of advancing and guaranteeing the construction of the China (Liaoning) Pilot Free Trade Zone and accelerating the advancement of the revitalization and development of old industrial bases, this Regulation is developed in accordance with relevant laws, administrative regulations, and the Framework Plan for China (Liaoning) Pilot Free Trade Zone, which has been approved by the State Council, and based on the actual circumstances of the province.   第一条 为推进和保障中国(辽宁)自由贸易试验区的建设,加快推进老工业基地振兴发展,根据有关法律、法规和国务院批准的《中国(辽宁)自由贸易试验区总体方案》,结合本省实际,制定本条例。
Article 2 This Regulation shall apply to the China (Liaoning) Pilot Free Trade Zone established upon the approval of the State Council (hereinafter referred to as the "FTZ"), including Shenyang Area, Dalian Area, and Yingkou Area (hereinafter referred to as the "Areas").   第二条 本条例适用于经国务院批准设立的中国(辽宁)自由贸易试验区(以下简称自贸试验区),包括沈阳片区、大连片区和营口片区(以下简称片区)。
An expansion of the FTZ as approved by the State Council, as needed for the construction and development of the FTZ, shall be governed by this Regulation. 根据自贸试验区建设与发展的需要,报经国务院批准的自贸试验区扩展区域,适用本条例。
Article 3 The FTZ shall, with market-oriented system innovation as the core, with exploring and summarizing experience in reform and innovation suitable for replication and promotion as the basic requirements, boost restructuring and industry upgrading and enhance or raise the overall competitiveness and opening-up level for the development of old industrial bases.   第三条 自贸试验区以市场取向的制度创新为核心,以探索总结可复制可推广的改革创新经验为基本要求,推动结构调整和产业升级,提升老工业基地发展整体竞争力和对外开放水平。
Article 4 The FTZ shall establish a new open economy system commensurate with the international investment and trade rules, create a law-based, international, and facilitating business environment, and gradually build itself into a free trade zone with clustered high-end industries, open to investment, with trade facilitation, sound services, efficient and easy regulation, and an ideal rule-of-law environment.   第四条 自贸试验区应当建立与国际投资贸易规则相适应的开放型经济新体制,营造法治化、国际化、便利化的营商环境,逐步建成高端产业集聚、投资开放、贸易便利、服务完善、监管高效便捷、法治环境规范的自由贸易园区。
Article 5 All the Areas of the FTZ shall, based on strategic orientation and development objectives, establish a linkage and cooperation mechanism to promote each other and develop distinctively.   第五条 自贸试验区各片区根据战略定位和发展目标,建立联动合作机制,相互促进,错位发展。
Article 6 The FTZ shall trigger the vitality of market participants, encourage citizens, legal persons, and other organizations to conduct innovation and entrepreneurship, improve the evaluation and appraisal system oriented to the support for reform and innovation, establish and improve a mistake tolerance and correction mechanism for reform and innovation, and regulate the implementation procedures for mistake tolerance.   第六条 自贸试验区应当激发市场主体活力,鼓励公民、法人和其他组织开展创新创业,完善以支持改革创新为导向的考核评价体系,建立健全改革创新的容错纠错机制,规范容错实施程序。
Chapter II Administrative Systems and Operating Mechanisms 

第二章 管理体制与运行机制

Article 7 The FTZ shall, in accordance with the principles of overall coordination, hierarchal responsibility, and streamlining and efficiency, establish an administrative system featuring determinate powers and responsibilities, coordinated operation, efficient administration, and law-based administration and commensurate with the open economy, advance the collaboration and linkage between the reform of administration methods and that of systems and mechanisms, gradually establish a unified comprehensive service and regulation platform, link up with the existing administrative service platforms of relevant authorities, and improve the efficacy of administrative services.   第七条 自贸试验区应当按照统筹协调、分级负责、精简高效的原则,建立与开放型经济相适应的权责明确、运转协调、管理高效、依法行政的管理体制,推进行政管理方式改革与体制机制改革协同联动,逐步建立统一的综合服务监管平台,与相关部门现有的管理服务平台衔接,提升行政管理服务效能。
Article 8 The provincial people's government shall establish an FTZ consultation and coordination agency, research the development of strategies to advance the construction of the FTZ, control the direction of innovation and pilot programs, promote relevant authorities in implementing all the tasks for pilot programs, and coordinate the resolution of major problems encountered in the course of development.   第八条 省人民政府设立自贸试验区议事协调机构,研究制定推进自贸试验区建设战略,把握创新试验方向,推动相关部门落实各项试验任务,协调解决发展过程中遇到的重大问题。
The provincial FTZ consultation and coordination agency shall have an office, which undertakes its routine work and performs the following duties: 省自贸试验区议事协调机构下设办事机构,承担省自贸试验区议事协调机构的日常工作,履行下列职责:
(1) Responsible for executing and guiding the implementation of the guidelines and policies issued by the state in relation to the construction of the FTZ. (一)负责贯彻执行和指导实施国家有关自贸试验区建设的方针、政策;
(2) Developing work advancement measures, coordinating and advancing the implementation of all the tasks for comprehensive reform, investment, trade, finance, talents, and other reform pilot programs in the FTZ. (二)制定推进工作措施,协调推进自贸试验区综合改革、投资、贸易、金融、人才等各项改革试点任务的落实;
(3) Summarizing and assessing the experience in reform and innovation gained by the FTZ and putting forward proposals for innovation achievements suitable for replication and promotion; (三)总结评估自贸试验区形成的改革创新经验,提出可复制可推广创新成果建议;
(4) Coordinating the research on and resolution of difficulties and problems in the reform and innovation in the FTZ; (四)协调研究和解决自贸试验区改革创新中的难点和问题;
(5) Coordinating, supervising, inspecting, and evaluating the progress of pilot programs in the Areas. (五)调度、监督、检查、考核片区试验工作进展情况。
Article 9 The people's government of the city where each Area is located shall set up an administrative agency in the Area, which shall be responsible for the specific implementation of the Area's development plan, decide the major issues on the development of the Area, coordinate the advancement of the work on reform pilot reforms in the Area and undertake the planning, construction, operation and administration, etc., of the Area, and carry out reform and innovation in the FTZ.   第九条 片区所在市人民政府在片区设立管理机构,由其负责具体实施片区发展规划,决定片区发展的重大问题,统筹推进片区改革试点工作和承担片区的规划、建设、运行与管理等具体事务,并可以结合实际,开展自贸试验区改革创新工作。
Article 10 The provincial people's government, the people's government of the city where each Area is located and their relevant departments shall observe the principles of simplification of administrative procedures, devolution of powers, combination of devolution and regulation, and optimization of services, based on the functions and needs of the FTZ, give or devolve the authority to manage the economy to the Areas' administrative agencies; and research the development of policies and measures to promote the reform and innovation of the FTZ and Areas and strengthen the coordination of, and support for, the major issues in the development of the FTZ and the Areas.   第十条 省人民政府和片区所在市人民政府及其有关部门,应当遵循简政放权、放管结合、优化服务的原则,按照自贸试验区职能需要,将相关经济管理权限依法授权或者委托给片区管理机构;研究制定促进自贸试验区和片区改革创新的政策措施,加强对自贸试验区和片区建设发展中重大问题的协调和支持。
Article 11 The working agencies in the FTZ of the Customs, maritime, financial, taxation, public security, and other authorities shall perform relevant administrative duties as legally required, implement the policies and measures relating to the FTZ, and support the reform and innovation of the FTZ.   第十一条 海关、海事、金融、税务、公安等部门驻自贸试验区的工作机构,依法履行相关行政管理职责,落实有关自贸试验区的政策措施,支持自贸试验区改革创新工作。
Article 12 The FTZ may establish a mechanism for commissioning comprehensive assessment from third-party institutions, summarize and assess the experience of the FTZ in reform and innovation and, according to the classification examination procedures, replicate and promote that experience in other regions of the province.   第十二条 自贸试验区可以建立委托第三方机构综合评估机制,对自贸试验区改革创新经验总结评估,并按照分类审查程序在省内其他区域复制推广改革创新经验。
Article 13 The FTZ shall establish a system for prevention, control, and early warning of risks and improve the emergency responding plan and emergency disposition mechanism so as to ensure that the risk of pilot reform programs are reasonable and controllable.   第十三条 自贸试验区应当建立风险防控和预警体系,完善突发事件应急预案及处置机制,确保改革试验风险合理可控。
Chapter III Reform and Opening up of Investment Fields 

第三章 投资领域改革与开放

Article 14 The FTZ shall implement the pre-access national treatment plus negative list administration system for foreign investment. Unless the State Council retains the power to confirm domestic investment projects, foreign investment projects not on the negative list and the establishment and modification of foreign-funded enterprises are required to register only, and the Areas' administrative agencies shall be responsible for the processing.   第十四条 自贸试验区实行外商投资准入前国民待遇加负面清单管理制度。除国务院规定对国内投资项目保留核准外,负面清单之外的外商投资项目和外商投资企业的设立、变更实行备案制,由片区管理机构负责办理。
Article 15 The FTZ shall improve the administration and service measures for overseas investment cooperation business and support overseas investment enterprises in receiving loans by mortgaging overseas assets and shares, mining rights, and other interests.   第十五条 自贸试验区应当完善境外投资合作业务管理和服务措施,支持境外投资企业以境外资产和股权、矿权等权益抵押获得贷款。
Article 16 The FTZ shall optimize the system environment for innovation and entrepreneurship and stimulate the vitality of innovation and entrepreneurship; and establish and improve a mechanism to safeguard investors' interests so that investors may conduct various investment activities in the FTZ in an innovative manner, unless it is otherwise prohibited by any law or regulation.   第十六条 自贸试验区应当优化创新创业制度环境,激发创新创业活力;建立健全投资者权益保障机制,法律法规未禁止的,投资主体可以在自贸试验区内创新开展各种投资活动。
Article 17 The FTZ shall accept the administrative matters involving enterprise management in a unified manner, implement a catalog-based administration of administrative approval, advance regulated, standard, and information technology building of administrative approval, and explore the advancement of new modes, such as integrating assessments and reviews, integrating plans, unified review, joint review of working drawings, and joint acceptance.   第十七条 自贸试验区应当统一受理涉及企业管理的行政事务,实施行政审批目录化管理,推进行政审批规范化、标准化和信息化建设,探索推进多评合一、多规合一、统一评审、多图联审、联合验收等新模式。
The FTZ may conduct the pilot program of an undertaking system for enterprises' investment projects, integrate and simplify the construction reporting procedures for investment projects, and establish an administrative mode of construction before inspection. 自贸试验区可以试行企业投资项目承诺制,整合、简化投资项目报建手续,建立先建后验的管理模式。
Article 18 The FTZ shall establish a commercial registration system linked with international customary practices, promote a scientific, efficient and easy administrative mode, implement whole-process electronic registration, and carry out a registered capital subscription registration system in accordance with the law.   第十八条 自贸试验区应当建立与国际惯例相衔接的商事登记制度,推行科学、高效、便利的管理模式,实行全程电子化登记,依法实行注册资本认缴登记制。
Chapter IV Trade Facilitation, Transformation, and Upgrading 

第四章 贸易便利化与转型升级

Article 19 The FTZ shall deepen the reform of customs integration, implement the service mode of international trade "single window," and realize exchange of information, mutual recognition of regulation and mutual assistance in law enforcement among the Customs, maritime, taxation, and other port regulatory authorities.   第十九条 自贸试验区应当深化通关一体化改革,实行国际贸易“单一窗口”服务模式,实现海关、海事、税务等口岸监管部门之间信息互换、监管互认、执法互助。
