Daewoo Shipbuilding & Marine Engineering Co., Ltd. (hereinafter referred to as “Daewoo Shipbuilding”) concluded a shipbuilding contract with JE Company (Liberia), in which JE Company was the buyer and Daewoo Shipbuilding was the builder. In the process of contract fulfillment, the buyer was altered to Celephant Inc. (Marshall Islands) and as the ship owner, C Duckling Corporation (Panama) was added to perform the obligations of the buyer. Daewoo Shipbuilding concluded a Supplementary Agreement with Celephant Inc. and C Duckling Corporation, stipulating that Celephant Inc. should assume the obligation of paying the first sum of USD30 million and C Duckling Company should assume the obligation of paying the second sum of USD18 million. Afterwards, the three parties concluded a ship mortgage contract in London, the UK, stipulating that with “M/VGloryComfort” it owned, C Duckling Company provided the mortgage guarantee of first and second priority of compensation for the payment obligation and the relevant expenses incurred therefrom and it handled the ship mortgage registration in Panama. Since Celephant Inc. and C Duckling Company failed to make payments as agreed, Daewoo Shipbuilding filed an arbitration in a London arbitration agency and the arbitral tribunal ruled that Celephant Inc. and C Duckling Company should continue to perform the payment obligations and the arbitral award has been recognized by the Qingdao Maritime Court. Since “M/VGloryComfort” has been seized and auctioned by the Qingdao Maritime Court in another case and Daewoo Shipbuilding has handled registration of creditor's rights and filed a lawsuit for recognition of right, Daewoo Shipbuilding requested the Qingdao Maritime Court to confirm that it enjoyed the first priority of compensation from the mortgage of “M/VGloryComfort” with a value of USD5.8 million.
．．．．．． | | 大宇造船与利比里亚JE公司签订《船舶建造合同》，JE公司为买方，大宇造船为建造方。履约过程中，买方变更为马绍尔群岛的西象公司，巴拿马的西达克凌公司作为船舶所有人，加入履行买方义务。大宇造船与西象公司、西达克凌公司签订《补充协议》，约定西象公司承担第一笔3000万美元的付款义务，西达克凌公司承担第二笔1800万美元的付款义务。三方随后在英国伦敦签订抵押合同，约定西达克凌公司以其所有的“金鹅”轮（M/VGloryComfort）分别为付款义务及产生的相关费用提供第一、第二优先受偿抵押担保，并在巴拿马办理了船舶抵押登记。因西象公司、西达克凌公司未能如约付款，大宇造船在英国伦敦提起仲裁，仲裁庭裁决西象公司、西达克凌公司继续履行付款义务，该仲裁裁决已被青岛海事法院裁定予以承认。因“金鹅”轮另案被青岛海事法院扣押并拍卖，大宇造船进行了债权登记并提起确权诉讼，请求确认其对“金鹅”轮享有580万美元的第一优先受偿抵押权。
