| Article 1 (Purposes and basis) | | 第一条 （目的和依据） |
| For the purposes of implementing the Foreign Investment Law of the People's Republic of China, the Several Opinions of the CPC Central Committee and the State Council on Building a New Open Economic System (No. 13 [2015], CPC Central Committee), the Notice of the State Council on Several Measures for Expanding Opening Up and Vigorously Using Foreign Capital (No. 5 [2017], State Council), the Notice of the State Council on Several Measures for Promoting Growth of Foreign Investment (No. 39 [2017], State Council), the Notice of the State Council on Several Measures for Actively and Effectively Utilizing Foreign Investment to Promote High-Quality Economic Development (No. 19 [2018], State Council), and the Several Opinions of Shanghai Municipality on Promoting the Development of the Regional Headquarters of Multinational Corporations (No. 30 [2019], Shanghai Municipal People's Government) issued by the Shanghai Municipal People's Government, encouraging multinational corporations to establish regional headquarters and quasi-headquarters in Shanghai Municipality, supporting regional headquarters and quasi-headquarters in Shanghai in gathering business, expanding functions, and improving competence levels, and actively participating in the development of “Five Centers” in Shanghai, these Provisions are developed in accordance with relevant laws and regulations. | | 为贯彻落实《中华人民共和国外商投资法》《中共中央国务院关于构建开放型经济新体制的若干意见》（中发〔2015〕13号）、《国务院关于扩大对外开放积极利用外资若干措施的通知》（国发〔2017〕5号）、《国务院关于促进外资增长若干措施的通知》（国发〔2017〕39号）、《国务院关于积极有效利用外资推动经济高质量发展若干措施的通知》（国发〔2018〕19号），以及市政府印发的《关于本市促进跨国公司地区总部发展的若干意见》（沪府规〔2019〕30号），鼓励跨国公司在本市设立地区总部和总部型机构，支持在沪地区总部和总部型机构集聚业务、拓展功能、提升能级，积极参与上海“五个中心”建设，根据有关法律、法规，制定本规定。 |

| The regional headquarters of a multinational corporation (hereinafter referred to as a “regional headquarters”) means a sole head office established in Shanghai by a parent company registered overseas to perform the management and service functions for the enterprises within a region covering more than one country in the form of investment or authorization. A multinational corporation shall establish a regional headquarters in this Municipality in the organizational form of an investment company, a management company, or any other enterprise with independent legal person status. | | 跨国公司地区总部（以下简称“地区总部”），是指在境外注册的母公司在本市设立，以投资或授权形式对在一个国家以上区域内的企业履行管理和服务职能的唯一总机构。跨国公司须以投资性公司、管理性公司等具有独立法人资格的企业组织形式在本市设立地区总部。 |
| The quasi-headquarters of a multinational corporation (hereinafter referred to as a “quasi-headquarters”) means a foreign-funded enterprise (including a branch) which, though failing to meet the standards for the headquarters of a multinational corporation, assumes multiple functions among management decision-making, capital management, procurement, sale, logistics, settlement, research and development, training and other support services of the parent company registered overseas within a region covering more than one country. | | 跨国公司总部型机构（以下简称“总部型机构”），是指虽未达到跨国公司地区总部标准，但实际承担境外注册的母公司在一个国家以上区域内的管理决策、资金管理、采购、销售、物流、结算、研发、培训等支持服务中多项职能的外商投资企业（含分支机构）。 |

| The Shanghai Municipal Commission of Commerce shall take charge of the determination of regional headquarters and quasi-headquarters, and coordinate with the relevant authorities in administering and providing services for regional headquarters and quasi-headquarters of multinational corporations. | | 市商务委负责地区总部和总部型机构的认定，协调有关部门开展对跨国公司地区总部和总部型机构的管理服务。 |
| The departments of market regulation, finance, taxation, foreign affairs, science and technology, human resources and social security, public security exit and entry administration, and foreign exchange management, the People's Bank of China, the Customs and other departments shall, within the scope of their respective functions, effectively administer and provide services for regional headquarters and quasi-headquarters of multinational corporations. | | 市场监管、财政、税务、外事、科技、人力资源社会保障、公安出入境管理、外汇管理、人民银行、海关等部门在各自职责范围内，做好对地区总部和总部型机构的管理服务工作。 |
