Several Opinions of the State Administration for Industry and Commerce on Supporting the Construction of China (Shanghai) Pilot Free Trade Zone 国家工商行政管理总局关于支持中国(上海)自由贸易试验区建设的若干意见
The establishment of China (Shanghai) Pilot Free Trade Zone (hereinafter referred to as the “SHFTZ”) is an important measure to thoroughly implement the spirit of the Eighteenth CPC National Congress and adopt a more proactive opening-up strategy. With the important mission to have China further involved in international competition in the new era, comprehensively raise the level of an open economy, and accelerate the transformation of modes of economic growth, SHFTZ is required by the national strategy. Maximizing the role of the administrative department for industry and commerce is of great significance in boosting the construction of SHFTZ, promoting growth, reform and innovation through opening up, and forming replicable and widely applicable experience. In accordance with the spirit of the Notice of the State Council on Issuing the Framework Plan for China (Shanghai) Pilot Free Trade Zone and the actual needs of SHFTZ, the following opinions are offered under the principles of “conducting reform and innovation through pilot programs”: 建立中国(上海)自由贸易试验区(下称“试验区”)是深入贯彻党的十八大精神、实行更加积极主动开放战略的重要举措。试验区肩负着我国在新时期更加深入参与国际竞争、全面提高开放型经济水平、加快转变经济发展方式的重要使命,是国家战略需要。充分发挥工商行政管理职能作用,对推动试验区建设,实现以开放促发展、促改革、促创新,形成可复制、可推广的经验具有重要意义。根据《国务院关于印发中国(上海)自由贸易试验区总体方案的通知》精神和试验区的实际需要,本着改革创新、先试先行的原则,提出如下意见。
I. Pilot programs of reforming the industrial and commercial registration system to optimize business environment in SHFTZ   一、试点工商登记制度改革,优化试验区营商环境
1. Pilot program of the subscription registration system for registered capital. Unless any law or administrative regulation requires paid-in registered capital of a company, a subscription registration system for registered capital shall be implemented on a trial basis for companies. (一)试行注册资本认缴登记制。除法律、行政法规对公司注册资本实缴另有规定的外,其他公司试行注册资本认缴登记制。
Upon implementation of this pilot program, in registering the registered capital or total shares (i.e. registered capital of a company) subscribed for by all shareholders or promoters of a company, the administrative department for industry and commerce shall no longer register the company's paid-in capital. The company's shareholders (or promoters) shall independently agree on the amounts of subscribed capital, manners of contribution, and periods of contribution, as recorded in the bylaws of the company. Shareholders of a limited liability company shall be liable to the debts of the company only with their respectively subscribed contributions, and shareholders of a joint-stock limited company shall be liable to the debts of the company only with their respectively subscribed shares. Companies shall publish the amounts of contribution subscribed by shareholders or shares subscribed by promoters, manners of contribution, periods of contribution, and payment of contributions through the market participant credit information publication system. A company's shareholders (or promoters) shall be responsible for the veracity and legality of payment of contributions. 试行认缴登记制后,工商部门登记公司全体股东、发起人认缴的注册资本或认购的股本总额(即公司注册资本),不登记公司实收资本。公司股东(发起人)应当对其认缴出资额、出资方式、出资期限等自主约定,并记载于公司章程。有限责任公司的股东以其认缴的出资额为限对公司承担责任;股份有限公司的股东以其认购的股份为限对公司承担责任。公司应当将股东认缴出资额或者发起人认购股份、出资方式、出资期限、缴纳情况通过市场主体信用信息公示系统向社会公示。公司股东(发起人)对缴纳出资情况的真实性、合法性负责。
Registration conditions for registered capital shall be relaxed. Except as otherwise required by any law, administrative regulation, or decision of the State Council regarding minimum registered capital in a particular industry, the provisions on minimum registered capital of 30,000 yuan for a limited liability company, 100,000 yuan for a one-person limited liability company, and 5,000,000 yuan for a joint-stock limited company shall be cancelled. The amount and proportion of initial contributions from all shareholders (or promoters) in the formation of a company shall no longer be limited. The ratio of money contribution by all shareholders (or promoters) of a company to registered capital shall no longer be limited. The periods of full payment of contributions by shareholders (promoters) of a company shall no longer be required.

 放宽注册资本登记条件,除法律、行政法规、国务院决定对特定行业注册资本最低限额另有规定的外,取消有限责任公司最低注册资本3万元、一人有限责任公司最低注册资本10万元、股份有限公司最低注册资本500万元的规定;不再限制公司设立时全体股东(发起人)的首次出资额及比例;不再限制公司全体股东(发起人)的货币出资金额占注册资本的比例;不再规定公司股东(发起人)缴足出资的期限。
