The people's governments of all provinces, autonomous regions, and municipalities directly under the Central Government; all ministries and commissions of the State Council; and all institutions directly under the State Council: 各省、自治区、直辖市人民政府,国务院各部委、各直属机构:
Over recent years, all regions and authorities have created conditions for enterprises, industry associations and chambers of commerce to participate in the building of systems by expanding the scope of listening to opinions and broadening the channels for so doing and made positive achievements in the process of developing administrative regulations, rules, and administrative regulatory documents closely related to the production and operation of enterprises. However, the limited coverage of listening to opinions, inadequate representation, the marginal relevance of matters on which comments are requested, ill-regulated procedures, unsound opinion adoption and feedback mechanisms and other problems persist to such varying degrees as to fail to adequately reflect the reasonable appeals of enterprises and protect their lawful rights and interests. For the purposes of thoroughly implementing Xi Jinping Thought on Socialism with Chinese Characteristics in a New Era and the spirit of the 19th CPC National Congress, advancing the transformation of governmental functions and the reform of "simplification of administrative procedures, decentralization of powers, combination of decentralization and regulation, and optimization of services," protecting the right to knowledge, participation, expression and supervision of enterprises, industry associations and chambers of commerce in the building of systems, and creating a law-based, internationalized, and facilitative business environment, with the approval of the State Council, the notice of adequately listening to the opinions of enterprises, industry associations and chambers of commerce in the development of administrative regulations, rules, and administrative regulatory documents is hereby issued as follows: 近年来,在制定与企业生产经营活动密切相关的行政法规、规章、行政规范性文件过程中,各地区、各部门通过扩大听取意见范围、拓宽听取意见渠道等方式,为企业和行业协会商会参与制度建设创造了条件,取得了积极成效,但听取意见对象覆盖面不广、代表性不足,征求意见事项针对性不强、程序不规范,意见采纳反馈机制不健全等问题还不同程度地存在,未能充分反映企业合理诉求、保障企业合法权益。为深入贯彻习近平新时代中国特色社会主义思想和党的十九大精神,推进政府职能转变和“放管服”改革,保障企业和行业协会商会在制度建设中的知情权、参与权、表达权和监督权,营造法治化、国际化、便利化的营商环境,经国务院同意,现就制定有关行政法规、规章、行政规范性文件过程中充分听取企业和行业协会商会意见通知如下:
I. Scientifically and reasonably electing entities of which the opinions are listened to. In the process of developing relevant administrative regulations, rules and administrative regulatory documents, all regions and authorities shall scientifically assess the possible effect of a system contemplated on various enterprises and industries and its extent and scope and if the vital interests, rights or obligations of enterprises are materially affected, fully listen to the opinions of representative enterprises, industry associations, chambers of commerce and lawyer associations. If the effect of the relevant administrative regulations, rules and administrative regulatory documents varies considerably from enterprise to enterprise, or industry to industry, all regions and authorities shall pay attention to listening to the opinions of various representative enterprises, industry associations, and chambers of commerce, especially private enterprises, labor-intensive enterprises, small and medium-sized enterprises and other market participants, and taking into account factors such as the development appeals and tolerance of enterprises and industries of different scales and listen to the opinions of relevant industry associations and chambers of commerce in a targeted manner if particular enterprises or industries are involved, or, in adequate consideration of the local economic and social development level and the characteristics of industry layout, fully listen to the opinions of local industry associations, chambers of commerce and lawyer associations if particular regions are involved. All regions and authorities shall, when listening to the opinions of enterprises, pay attention to the opinions of representatives at different levels from enterprises, especially employee representatives.   一、科学合理选择听取意见对象。在制定有关行政法规、规章、行政规范性文件过程中,各地区、各部门要科学评估拟设立制度对各类企业、行业可能产生的影响及其程度、范围,对企业切身利益或者权利义务有重大影响的,要充分听取有代表性的企业和行业协会商会以及律师协会的意见。有关行政法规、规章、行政规范性文件对不同企业、行业影响存在较大差别的,要注重听取各类有代表性的企业和行业协会商会的意见,特别是民营企业、劳动密集型企业、中小企业等市场主体的意见,综合考虑不同规模企业、行业的发展诉求、承受能力等因素;涉及特定行业、产业的,要有针对性地听取相关行业协会商会的意见;涉及特定地域的,要充分考虑当地经济社会发展水平和产业布局特色,充分听取地方行业协会商会、律师协会的意见。听取企业意见时,要注重听取企业内部不同层级代表特别是职工代表的意见。
II. Listening to opinions in various manners. All regions and authorities shall, pending the issuance of an administrative regulation, rule, or administrative regulatory document that closely relates to the production and operation of enterprises, listen to the opinions of enterprises, industry associations and chambers of commerce in various manners, effectively conduct communication and coordination, and better motivate enterprises to perform implementation. Unless the law requires secrecy, all regions and authorities shall request public comments through the Internet, newspapers and other media, design various working mechanisms in a targeted manner which facilitate enterprises, industry associations and chambers of comments in offering comments, establish public comments requesting platforms on the websites of the government or government departments, actively explore the creation of links with well-known commercial websites and the websites of industry associations and chambers of commerce with a relatively great influence, ensure the time limit for requesting public comments, and prevent half measures. If opinions are listened to by means of hearings, symposiums, and justification meetings, all regions and authorities shall provide information such as the background, purpose, scope of application, and possible effect on relevant persons or groups of the system design and guide enterprises, industry associations and chambers of commerce in adequately and effectively having a discussion on major issues and differences. If opinions are listened to by means of questionnaires or written communications, all regions and authorities shall scientifically design questionnaires, survey outlines and the like with a focus on the vital interests of enterprises and issuers in which all parties considerably differ and actively explore the commissioning of surveys from professional institutions. If opinions are listened to by means of visits, all regions and authorities shall identify problems, be open and honest, communicate on an equal footing, listen carefully to the opinions of enterprises, industry associations and chambers of commerce, and gain an in-depth understanding of their appeals. For a matter of relatively great controversy, all regions and authorities may bring in third-party assessments and comprehensively and adequately listen to the opinions of stakeholders.   二、运用多种方式听取意见。行政法规、规章、行政规范性文件出台前,凡是与企业生产经营活动密切相关的,各地区、各部门都要通过多种方式听取企业和行业协会商会的意见,做好沟通协调,提高企业贯彻落实的积极性。除依法需要保密的外,要通过网络、报纸等媒体向社会公开征求意见,并有针对性地设计有利于企业和行业协会商会参与公开征求意见的各项工作机制;要在政府或者政府部门门户网站上搭建公开征求意见平台,积极探索与知名商业网站、影响力较大的行业协会商会的网站建立链接;要保证公开征求意见的期限,杜绝走形式、走过场。采取召开听证会、座谈会、论证会方式听取意见的,要提供制度设计的背景、目的、适用范围以及对相关人员或群体可能产生的影响等资料,引导企业和行业协会商会围绕主要问题和不同意见,进行充分有效的讨论。采取问卷调查、书面发函方式听取意见的,要围绕直接关系企业切身利益、各方面分歧较大的问题,科学设计问卷、调查提纲等,积极探索委托专业机构进行调查。采取实地走访方式听取意见的,要找准问题、开诚布公、平等交流,认真倾听企业和行业协会商会的意见,深入了解其诉求。对争议较大的事项,可以引入第三方评估,全面充分听取利益相关方的意见。
