| For the purpose of deepening the reform of the business system and promoting standardized and convenient construction of enterprise registration, the State Administration for Market Regulation (“SAMR”) has revised the Standards on Enterprise Registration Application Documents and the Standards on the Materials Submitted for Enterprise Registration (hereinafter respectively referred to as the “Standards on Documents” and the “Standards on Materials”), currently in force, which are hereby issued, and has put forward the following work requirements: | | 为进一步深化商事制度改革，推进企业登记规范化、便利化建设，市场监管总局对现行《企业登记申请文书规范》《企业登记提交材料规范》（以下简称《文书规范》《材料规范》）进行了修订，现将《文书规范》《材料规范》印发，并就有关工作要求通知如下： |
| I. Integrating and optimizing the application materials and further promoting the facilitation of registration | | 一、整合、优化申请材料，进一步推进登记注册便利化 |
| The Standards on Documents and the Standards on Materials shall be comprehensively reviewed, integrated, and optimized, to further simplify the documents and forms and reduce the items to be entered. The application forms for registration (recordation) of domestic enterprises and foreign-funded enterprises shall be merged, the application forms for registration (recordation) of various branches, non-corporate branches and business entities shall be merged, the application forms for deregistration of companies, non-corporate enterprise legal persons, partnerships and sole proprietorship enterprises shall be merged, and the application forms for the establishment, modification or deregistration of equity pledge shall be merged. The standards on materials submitted for the registration of joint stock limited liability companies and limited liability companies limited by shares shall be integrated, the standards on materials submitted for merger and division of companies shall be integrated, and the standards on materials submitted by foreign-funded enterprises and non-corporate foreign-funded enterprises shall be integrated. For the convenience of applicants, some “items to be entered” in the forms are replaced with “items to be ticked” with standardized statement. | | 全面梳理整合优化《文书规范》《材料规范》，进一步精简文书表格，减少填报事项。合并内、外资公司登记（备案）申请书，合并各类分公司、非法人分支机构、营业单位登记（备案）申请书，合并公司、非公司企业法人、合伙企业、个人独资企业注销登记申请书，合并股权出质设立、变更、注销、撤销登记申请书。整合有限责任公司与股份有限公司设立登记提交材料规范，整合公司合并、分立提交材料规范，整合外商投资公司和非公司外商投资企业提交材料规范。为方便申请人填写，将表格中的部分“填写项”修改为标准化表述的“勾选项”。 |
| II. Reviewing and reducing the application materials, and canceling the certification documents without legal ground | | 二、清理删减申请材料，取消无法律法规依据的证明文件 |
According to the Notice of the General Office of the State Council on Effectively Reviewing the Certification Items (No. 47 [2018], General Office of the State Council), various items for which materials are filed shall be comprehensively reviewed and the mechanism for access and exit of market entities shall be optimized. The standards on documents and materials involving the registration items that have no legal ground or that have been specifically canceled by the State Council shall no longer be retained. To apply for deregistration, an enterprise is not required to file the Notice on Recordation for members of the liquidation group, confirmation documents for the liquidation report, sample of newspaper for the liquidation announcement and other documents. A branch that is ordered to be closed down according to the law, that is subject to revocation of business license, and that applies for deregistration is no longer required to file the document of ordering closing down or decision of the company registration authority for revoking the business license.
．．．．．． | | 根据《国务院办公厅关于做好证明事项清理工作的通知》（国办发〔2018〕47号）要求，对各类提交材料事项进行全面清理，优化市场主体准入和退出机制。对没有法律法规依据或国务院已经明确取消的登记事项涉及的文书、材料规范不再保留。企业申请注销登记无需提交清算组成员《备案通知书》、清算报告的确认文件、清算公告报纸样张等文件。分公司被依法责令关闭、吊销营业执照申请注销登记的，不再提交责令关闭的文件或公司登记机关吊销营业执照的决定。
