| Chapter I General Provisions | | 第一章 总则 |
| Article 1 In order to confirm the business qualifications of sole proprietorship enterprises and regulate the registration of sole proprietorship enterprises, these Measures are formulated in accordance with the Law of the People's Republic of China on Sole Proprietorship Enterprises (hereinafter referred to as the “Law on Sole Proprietorship Enterprises”). | | 第一条 为了确认个人独资企业的经营资格，规范个人独资企业登记行为，依据《中华人民共和国个人独资企业法》（以下简称《个人独资企业法》），制定本办法。 |
| Article 2 The formation, modification and dissolution of a sole proprietorship enterprise shall be registered in accordance with the Law on Sole Proprietorship Enterprises and these Measures. | | 第二条 个人独资企业的设立、变更、注销，应当依照《个人独资企业法》和本办法的规定办理企业登记。 |
| Article 3 A sole proprietorship enterprise may engage in business activities only after registration with the registration authority in accordance with the law and obtaining a business license. | | 第三条 个人独资企业经登记机关依法核准登记，领取营业执照后，方可从事经营活动。 |
| A sole proprietorship enterprise shall engage in business activities within the scope of the registered matters as approved by the registration authority. | | 个人独资企业应当在登记机关核准的登记事项内依法从事经营活动。 |
| Article 4 The administrations for industry and commerce shall be the registration authorities for sole proprietorship enterprises. | | 第四条 工商行政管理机关是个人独资企业的登记机关。 |
| The State Administration for Industry and Commerce (“SAIC”) shall take charge of the registration of sole proprietorship enterprises throughout the country. | | 国家工商行政管理总局主管全国个人独资企业的登记工作。 |
| The administrations for industry and commerce of all provinces, autonomous regions and municipalities directly under the Central Government shall take charge of the registration of sole proprietorship enterprises within their respective jurisdictions. | | 省、自治区、直辖市工商行政管理局负责本地区个人独资企业的登记工作。 |
| The administrations for industry and commerce at the city or county level and the branches of administrations for industry and commerce in large- and medium-sized cities shall take charge of the registration of sole proprietorship enterprises within their respective jurisdictions. | | 市、县工商行政管理局以及大中城市工商行政管理分局负责本辖区内的个人独资企业登记。 |
| Chapter II Registration of Formation | | 第二章 设立登记 |
| Article 5 The formation of a sole proprietorship enterprise shall meet the requirements as prescribed in Article 8 of the Law on Sole Proprietorship Enterprises. | | 第五条 设立个人独资企业应当具备《个人独资企业法》第八条规定的条件。 |
| Article 6 The name of a sole proprietorship enterprise shall comply with the relevant provisions on the registration of enterprise names and be consistent with the form of its liabilities and the business it will undertake. | | 第六条 个人独资企业的名称应当符合名称登记管理有关规定，并与其责任形式及从事的营业相符合。 |
| The words such as “Limited,” “Limited Liability” or “Company” shall not be used in the name of a sole proprietorship enterprise. | | 个人独资企业的名称中不得使用“有限”、“有限责任”或者“公司”字样。 |
| Article 7 When applying for formation of a sole proprietorship enterprise, the investor or the entrusted agent thereof shall apply to the registration authority of the locality where the sole proprietorship enterprise is to be located for the registration of formation. | | 第七条 设立个人独资企业，应当由投资人或者其委托的代理人向个人独资企业所在地登记机关申请设立登记。 |
| Article 8 The registered matters of a sole proprietorship enterprise shall include: the name and domicile of the sole proprietorship enterprise, the name and domicile of the investor, the amount and mode of capital contribution and the scope of business. | | 第八条 个人独资企业的登记事项应当包括：企业名称、企业住所、投资人姓名和居所、出资额和出资方式、经营范围。 |
| Article 9 When applying for the registration of formation, the investor shall submit the following documents to the registration authority: | | 第九条 投资人申请设立登记，应当向登记机关提交下列文件： |
| (1) An application for the formation of a sole proprietorship enterprise signed by the investor; | | （一）投资人签署的个人独资企业设立申请书； |
| (2) The certificate of the investor's identity; | | （二）投资人身份证明； |
| (3) The certificate of the enterprise's domicile; and | | （三）企业住所证明； |
| (4) Other documents as required by the SAIC. | | （四）国家工商行政管理总局规定提交的其他文件。 |
| Where a sole proprietorship enterprise engages in any business subject to approval of the relevant department as prescribed by any law or administrative regulation, the approval document issued by the relevant department shall be submitted. | | 从事法律、行政法规规定须报经有关部门审批的业务的，应当提交有关部门的批准文件。 |
| Where an agent is hired to apply for the registration of formation of a sole proprietorship enterprise, a power of attorney issued by the investor and the agent's identity or qualification certificate shall be submitted. | | 委托代理人申请设立登记的，应当提交投资人的委托书和代理人的身份证明或者资格证明。 |
| Article 10 The application for the formation of a sole proprietorship enterprise shall specify the following matters: | | 第十条 个人独资企业设立申请书应当载明下列事项： |
| (1) The name and domicile o of the sole proprietorship enterprise; | | （一）企业的名称和住所； |
| (2) The name and domicile of the investor; | | （二）投资人的姓名和居所； |
| (3) The amount and mode of the investor's capital contributions; and | | （三）投资人的出资额和出资方式； |
| (4) The scope of business. | | （四）经营范围。 |
| An application for the formation of a sole proprietorship enterprise shall clearly indicate that the investor makes capital contributions with his own personal property or uses the common property of his family as the individual capital contributions. | | 个人独资企业投资人以个人财产出资或者以其家庭共有财产作为个人出资的，应当在设立申请书中予以明确。 |
| Article 11 The registration authority shall, within 15 days from the date of receipt of all the documents as prescribed in Article 9 hereof, make a decision on approving or disapproving the registration. If the registration is approved, a business license shall be issued; otherwise, a notice on disapproval of enterprise registration shall be issued. | | 第十一条 登记机关应当在收到本办法第九条规定的全部文件之日起15日内，作出核准登记或者不予登记的决定。予以核准的发给营业执照；不予核准的，发给企业登记驳回通知书。 |
| Article 12 The date of issuance of the business license of a sole proprietorship enterprise shall be the date of formation of the sole proprietorship enterprise. | | 第十二条 个人独资企业营业执照的签发日期为个人独资企业成立日期。 |
| Chapter III Modification Registration | | 第三章 变更登记 |
| Article 13 A sole proprietorship enterprise shall, when change its name, domicile or business scope, apply to the original registration authority for modification registration within 15 days from the date when it makes the decision of change. | | 第十三条 个人独资企业变更企业名称、企业住所、经营范围，应当在作出变更决定之日起15日内向原登记机关申请变更登记。 |
| A sole proprietorship enterprise shall, when changing the name or domicile of the investor or the amount and mode of the investor's capital contributions, apply to the original registration authority for modification registration within 15 days from the date when the cause of modification occurs. | | 个人独资企业变更投资人姓名和居所、出资额和出资方式，应当在变更事由发生之日起15日内向原登记机关申请变更登记。 |
| Article 14 When applying for modification registration, a sole proprietorship enterprise shall submit the following documents to the original registration authority: | | 第十四条 个人独资企业申请变更登记，应当向登记机关提交下列文件： |
| (1) An application form for registration of modification as signed by the investor; and | | （一）投资人签署的变更登记申请书； |
| (2) Other documents as required by the SAIC. | | （二）国家工商行政管理总局规定提交的其他文件。 |
| Where a sole proprietorship enterprise engages in any business subject to approval of the relevant department as prescribed by any law or administrative regulation, an approval document issued by the relevant department shall be submitted as well. | | 从事法律、行政法规规定须报经有关部门审批的业务的，应当提交有关部门的批准文件。 |
Where an agent is hired to apply for modification registration, a power of attorney issued by the investor and the agent's identity or qualification certificate shall be submitted.
