Departments for market regulation, development and reform, public security, human resources and social security, and taxation of all province, autonomous regions, municipalities directly under the Central Government, cities under separate state planning, and sub-provincial cities, as well as relevant departments of Xinjiang Production and Construction Corps: 各省、自治区、直辖市及计划单列市和副省级城市市场监管部门、发展改革部门、公安部门、人力资源社会保障部门、税务部门,新疆生产建设兵团相关部门:
For the purposes of vigorously implementing the arrangements made in the 2019 Government Work Report and the Opinions of the General Office of the State Council on Further Reducing the Time for Establishing a Business (No. 32 [2018] of the General Office of the State Council, hereinafter referred to as the Opinions), making efforts to create a more favorable business environment, and allowing enterprises and the public to better experience the easiness in starting up a business, the State Administration for Market Regulation, the National Development and Reform Commission, the Ministry of Public Security, the Ministry of Human Resources and Social Security, and the General Administration of Taxation have offered the following opinions on continuously further reducing the time to establishing a business: 为深入贯彻落实2019年《政府工作报告》和《国务院办公厅关于进一步压缩企业开办时间的意见》(国办发〔2018〕32号,以下简称《意见》)的部署,努力打造更加优质的营商环境,提升企业和群众对企业开办便利化的实际体验,市场监管总局、发展改革委、公安部、人力资源社会保障部、税务总局就持续深化压缩企业开办时间工作提出如下意见:
I. Work Goals   一、工作目标
1. General requirements. Efforts shall be made to reduce the time for establishing a business to five working days nationwide before the end of 2019 and attain the goals set by this government in advance; and encourage the local authorities to, if conditions permit and work quality can be assured, reduce the time to three working days. (一)总体要求。力争2019年年底前,全国实现压缩企业开办时间至5个工作日内,提前完成本届政府提出的目标。鼓励具备条件的地方,在确保工作质量前提下,压缩企业开办时间至3个工作日内。
2. Specific objectives. All local authorities shall work to sort out the matters, procedures and materials concerning the establishment of an enterprise that are not legally binding, cut down the four steps (business registration, official chops, invoice application, and social insurance registration) as provided in the Opinions to three steps, and combine the social insurance registration with the business registration. Effective measures shall be taken to shorten the handling time for each step as follows: two working days for business registration, one working day for making an official chop, and two working days for initial application for invoices. (二)具体目标。各地相关政府部门针对本系统存在的非法定涉及企业开办事项、程序和提交材料进行清理,共同将《意见》规定的企业登记、印章刻制、申领发票和社保登记4个环节至少压减为企业登记、印章刻制、申领发票3个环节,社保登记的申请合并到企业登记环节中。要采取有效措施,将各环节办理时间分别控制在:企业登记2个工作日内,印章刻制1个工作日内,初次申领发票2个工作日内。
II. Main Measures   二、主要措施
1. Comprehensively promoting the online handling of business establishment. (1) All local authorities shall build the “one-stop online government services” platform (or special service area, etc.), consolidate all kinds of matters related to business establishment such as business registration, official chops, invoice application and social insurance registration, as well as online services and resources, strengthen the sharing of information, and support the establishment of a business by providing such services as “one registration platform, filling-out of information once, real-time circulation of information, and immediate feedback”. In the places where conditions permit, stronger efforts shall be made to promote such services as mailing and self-printing of invoices and certificates, so that the procedures for establishing a business can be handled without the need to be physically present; (2) A special window (or special area) shall be set up for business registration in the service halls of all governmental agencies so as to create a platform where the applicants can submit and receive all documents and materials in one stop; (3) Electronic business license shall be deemed as a valid identity certificate and corporate signature for an enterprise that seeks to go through company registration, official chop, social insurance registration and other procedures online; and enterprises shall be encouraged to obtain and use such electronic business licenses. (一)全面推行企业开办全程网上办。1. 各地要开通“一网通办”平台(或服务专区等),整合设立登记、印章制作、申领发票、社保登记等各类企业开办事项和网上服务资源,加强信息共享,切实具备“登录一个平台、填报一次信息、后台实时流转、即时回馈信息”的企业开办服务能力。有条件的地方,要大力推行办件寄递、证票自助打印等服务,逐步实现“不见面”办理。2. 依托各级政务服务大厅等,建立企业开办专窗(或专区),应用“一网通办”平台,实现申请人可在一个窗口提交和接收所有办件。3.将电子营业执照作为企业在网上办理企业登记、印章制作、社保登记等相关业务的合法有效身份证明和电子签名手段,推动企业领用电子营业执照。
2. Further optimizing business registration services. (1) A standardized, intelligent and automatic electronic registration process shall be vigorously promoted, and the business registration mechanism without the need to be physically present shall be established and improved; (2) The enterprise name pre-verification shall be cancelled, the integration of independent enterprise name application with business registration shall be advanced so as to further streamline the handling procedures; (3) The local authorities of all provinces (autonomous regions and municipalities directly under the Central Government) shall provide unified standard templates for articles of association and resolutions of the shareholders' meetings within their respective jurisdictions, which applicants can choose on their own and use for free. Where a limited liability company is established and registered entirely online and the company's key members have passed the identity verification and fixed electronic signatures to the materials submitted, the applicant may choose not to upload the identity (legal entity) certificates again; (4) Such facilitation measures as “one-stop service throughout the city” and “bank outlets accepting the applications for business registration” shall be pushed forward based on local actual conditions. (二)进一步优化企业登记服务。1. 大力推行标准化、智能化、自动化的全程电子化登记,建立健全“零见面”企业登记工作机制。2. 取消名称预先核准,全面推行名称自主申报与设立登记合并办理,进一步优化办理流程。3. 各省(区、市)要统一规范本辖区内公司章程、股东会决议等标准格式参考范本,供申请人自主选择、免费使用。全程通过网上办理有限责任公司设立登记、公司主要成员全部通过有效身份验证并对提交材料进行电子签名的,申请人可选择不再另行上传身份(主体资格)证明文件。4. 结合本地实际,大力推行“同城通办”“银行网点代理申请登记注册”等便利化举措。
3. Further standardizing the services of making official chops. (1) In places where the information system for chop making has not been established, efforts shall be made to intensify the implementation, speed up the establishment and application of the system, and provide financial support to the operation and maintenance, upgrading and renovation of the system through government procurement. The services and functions of the system shall be expanded, and the online chop making services shall be realized through WeChat mini apps, mobile phone APP, and WeChat public accounts; (2) The policies and regulations of the State Council on cancelling the approval for official chops shall be strictly implemented, and the applicants shall not be required in any form to handle the making and record-filing of official chops on their own. Failure to do so or approval in any disguise shall be severely punished; (3) All local public security authorities shall properly control the number of local chop makers so as to promote healthy competition and avoid blind development of the industry. Active measures shall be taken to keep the chop making prices at a reasonable level, and prohibit designating only a few companies to make official chops so as to prevent a hidden monopoly; (4) Electronic chops shall be actively and widely promoted, and the pilot use of them shall be launched in Beijing and Shanghai. (三)进一步规范印章刻制服务。1. 对于尚未建成印章业信息系统的地方,要强化责任落实,尽快完成建设应用工作,通过政府购买服务的方式对系统运维、升级改造予以经费保障。要拓展系统服务功能,通过微信小程序、手机APP、微信公众号等形式实现网上刻章业务办理,确保实现用章单位在线选择本地区所有公章刻制企业、了解刻制价格以及网络支付等功能。2. 严格落实国务院明令取消公章刻制审批的政策规定,不得以任何形式要求用章单位自行办理公章刻制备案。对于落实不到位、变相进行审批的予以严肃查处。3. 各地公安部门科学规划本地公章刻制企业数量,既要合理布局促进良性竞争,又要防止盲目发展导致恶性竞争。要积极引导公章刻制价格趋于合理,严禁指定公章刻制企业刻制公章,避免形成隐形垄断。4. 积极推广电子印章广泛应用,在北京市、上海市开展先行先试。
4. Further simplifying the handling of tax-related matters. (1) Actions shall be taken to strictly implement the Notice on Further Promoting the Application of “One License for All” Registration Information Shared by Administrative Departments for Industry and Commerce (No. 402 [2017], the General Administration of Taxation), and support the sharing and application of business registration information; (2) The use of electronic invoices shall be intensified, particularly among the key industries and taxpayers with strong demands; (3) The “package services to new taxpayers” shall be promoted, the process be further streamlined, the approval be accelerated, online application and verification be realized, and only one visit to the taxation authority is needed for the whole process. If an enterprise only submits the initial application for invoices, it needs not to provide its bank account information. (四)进一步简化涉税事项办理。1. 严格落实《关于进一步推进“多证合一”工商共享信息运用工作的通知》(税总函〔2017〕402号),强化企业登记信息共享应用。2. 大力推行电子发票应用。在重点行业和有使用需求的纳税人中加大电子发票推行力度。3. 深入推进“新办纳税人套餐服务”,进一步简并流程、提速审批,实现线上申请、线上核验,现场一次办结。企业只进行初次申领发票操作的,无需提供银行开户信息。
5. Further improving social insurance registration services. (1) The social insurance registration shall be encouraged to be handled online, so as to simplify and consolidate the procedures and materials; (2) The social insurance registration services shall be included in the “one-stop online government services” platform so that an enterprise can fill in and report its social insurance information of the enterprise and its employees when going through business registration procedures, without having to enter another system or platform; (3) Measures shall be taken to improve the data application and feedback mechanism, increase the use rate of shared information, handle the enterprise's social insurance registration through inter-departmental information sharing and intra-departmental data exchange after the enterprise fills in and confirms the social insurance information online, and send back the handling result to the enterprise through the “one-stop online government services” platform in a timely manner. (五)进一步完善社保登记服务。1. 全面推行社保登记经办服务网上办理,简化整合办事环节、办事材料。2. 将社保登记经办服务纳入“一网通办”平台,实现企业在办理设立登记时,即可同时填报企业参保信息、职工参保信息等信息,无须另行登录其他系统或平台。3. 健全数据应用和反馈机制,提升共享信息使用率,在企业在线填报并确认企业参保信息、职工参保信息等信息后,通过跨部门信息共享和部门内部数据流转同步办理企业社保登记,并将办理结果及时通过“一网通办”平台反馈企业。
III. Guarantee Measures   三、保障措施
1. Strengthening the coordination and cooperation between departments. All local departments for market regulation shall fulfill their duties in taking the lead, and work with other relevant departments to study and determine the timelines and roadmaps for the above objectives and measures. All local departments for development and reform, public security, human resources and social security, and taxation shall cooperate with each other based on division of duties, and take solid steps to implement their respective tasks. (一)强化部门间协调配合。各地市场监管部门要切实履行工作牵头职责,针对上述工作目标和措施,会同相关部门研究确定本地区具体时间表和路线图。各地发展改革、公安、人力资源社会保障、税务等部门,要分工协作,切实抓好本部门有关工作任务的落实落地。
2. Enhancing the “Internet+” service capability. All local authorities shall continuously improve their guarantee capabilities of information sharing and application supporting. The development and reform departments shall give strong support to the approval of information-based projects. On-site instruction and assistance shall be provided to guide more applicants to handle the services online. In addition, solid steps shall be taken to explain the services and “notify the applicants at one time”; and if the materials submitted by the applicants do not comply with the laws and regulations, electronic or written notification shall be provided. (二)提升“互联网+”服务能力。各地要不断提升信息共享和应用支撑保障能力,发展改革部门要在相关信息化项目审批等方面给予大力支持。要加强现场辅导、帮办,引导申请人更多通过线上办理业务。要切实做好业务咨询解答和“一次性告知”,对于提交材料中不符合法律法规要求的内容要提供电子或书式告知单。
3. Focusing on the actual results of reform. Focus shall be put on understanding how enterprises and the public actually feel about the reduction of time to establishing a business, more efforts shall be made to interpret and report the policies, and enterprises and the public shall be encouraged to know more about and participate in the reform. The relevant requirements set forth in the Opinions shall be fulfilled, self-inspection and self-evaluation work shall be carried out by comparing the international standards, following the guidance of the World Bank, and factoring in the Chinese characteristics, moves shall be made to support learning from and competing with each other in an orderly manner, and further steps shall be taken to continue reducing the time of establishing a business. (三)注重改革实际效果。要特别注重了解企业和群众对压缩企业开办时间的实际感受,持续加强政策解读和宣传报道,提升企业和群众对改革的认知度和参与度。要落实《意见》有关要求,按照国际可比、对标世行、中国特色原则,切实做好自查自评工作,相互借鉴、有序竞争,不断将压缩企业开办时间工作引向深入。
4. Building a strong accountability system. Effective measures shall be taken to track and record the information of business registration process and provide the applicants with an effective channel to check the required information in an easy and dynamic way. The “one license for all” information sharing shall be fully utilized. No entity or its working staff shall set out additional conditions or requirements for business establishment, and any entity or individual that fails to comply with the specified time limit or regulations shall be held accountable. If any local authority violates the law and sets out additional conditions or requirements for establishing a business, such violation shall be reported to the upper-level authority and firm actions shall be taken to rectify it. The State Administration for Market Regulation and other regulatory authorities shall build an accountability reporting system, based on which any failure to fulfill the responsibility shall be reported; and if causing any adverse social impact, it shall be held severely accountable. (四)严肃追究问责机制。要采取有效措施,追踪和记录企业办事流程信息,并为申请人提供便捷和动态查询办事信息的有效渠道。要充分利用“多证合一”数据信息共享,任何单位和工作人员不得违法擅自设置企业开办其他条件和要求。要严格追究不按时限、不按规范办事的单位和个人责任。对于地方违法擅自设置企业开办其他条件和要求的,一经发现要逐级上报并坚决予以清理整顿。市场监管总局等有关部门将建立问责通报机制,对于工作落实不力的发现一起、通报一起;对于造成严重不良社会影响的,将严肃追究问责。
