REGULATIONS ON MORTGAGE LOAN ADMINISTRATION IN SHENZHEN SPECIAL ECONOMIC ZONE 

深圳经济特区抵押贷款管理规定


(Approved on December 25, 1985 at the 17th Session of the Standing Committee of the 6th Guangdong Provincial People's Congress and promulgated 13 February 1986 by the Guangdong Provincial People's Government.)

Article 1. These Regulations have been formulated to strengthen the administration of mortgage loan activities in the Shenzhen Special Economic Zone (hereinafter referred to as the Shenzhen Economic Zone), to safeguard the legal rights and interests of the parties involved in mortgage loans and to advance Shenzhen Economic Zone construction in accordance with the relevant laws and regulations of the People's Republic of China and the "Regulations on Special Economic Zones in Guangdong Province".   第一条 为了加强深圳经济特区(以下简称特区)抵押贷款活动的管理,保障抵押贷款当事人的合法权益,促进特区建设,根据中华人民共和国有关法律、法规和《广东省经济特区条例》,制定本规定。

 
Article 2. These Regulations are applicable to mortgage loan business carried out in the Shenzhen Economic Zone with government approval by banks, financial institutions, Sino-foreign joint equity ventures, Sino-foreign co-operative enterprises, wholly foreign owned enterprises, Sino-foreign limited stock companies and between individuals.   第二条 本规定适用于经国家批准在特区设立的银行及其他金融机构与特区内的中外合资经营企业、中外合作经营企业、外资企业、中外股份有限公司和个人之间进行的抵押贷款业务。

 
Article 3. The parties involved in mortgage loans shall abide by the laws of the People's Republic of China. Mortgage loan activities carried out in accordance with the law shall be protected by the laws of the People's Republic of China.   第三条 抵押贷款当事人必须遵守中华人民共和国的法律。依法进行的抵押贷款活动,受中华人民共和国法律保护。

 
Article 4. Mortgage loan activities must adhere to the principles of voluntary participation and mutual benefit.   第四条 抵押贷款活动必须贯彻自愿、互利的原则。

 
Article 5. The following types of property may be used as security for a loan by a mortgagor with proprietary rights to that property:   第五条 抵押人有所有权的下列财产可用作贷款的抵押物:

 
(1) buildings and goods and materials; (一)房产和物资;

 
(2) marketable securities; (二)有价证券;

 
(3) pay orders; (三)支付凭证;

 
(4) other rights, including the shareholdings of respective parties to Sino-foreign joint equity ventures, or the entitlement to profits or products, in accordance with contract regulations, of the respective parties to Sino-foreign co-operative ventures. (四)其它权利:包括中外合资经营企业各方的股权、中外合作经营企业各方根据合同规定占有利润或产品的权利。

 
Article 6. The following types of property may not be used as security for a loan:   第六条 下列财产不得用作贷款的抵押物:

 
(1) land, mineral resources and other natural resources; (一)土地、矿藏等自然资源;

 
(2) goods in which the State forbids trading; (二)国家禁止买卖的物品;

 
(3) assets, the ownership of which is in dispute. (三)所有权有争议的财产。

 
Article 7. Should respective parties to a Sino-foreign joint equity venture or a Sino-foreign co-operative venture use shareholdings or entitlements as mortgaged property, this shall be approved by the board of directors and be certified in writing.   第七条 中外合资经营企业一方、中外合作经营企业一方用其股权或权利作抵押物时,须经董事会同意,并取得书面证明。

 
Article 8. Should the mortgagor use commodities that require a special customs import permit as mortgaged property, this shall be approved by Customs and certified in writing.   第八条 抵押人用海关特许进口的物资作抵押物时,必须经海关同意,并取得书面证明。

 
Article 9. Should the mortgagor use assets with joint title as mortgaged property, this shall be approved by the other joint owners and the amount restricted to the share owned by the mortgagor.   第九条 抵押人用与他人共有的财产作抵押物时,须征得共有人的同意,并以抵押人所有的份额为限。

Such assets shall not be divided and a written agreement shall be signed between the mortgagor and the other joint owners.
 
共有财产不可分割的,抵押人应与共有人订立书面协议。

 
Article 10. Should the mortgagor use leased assets as mortgaged property the original lease shall continue to be valid.   第十条 抵押人用已出租的财产作抵押物时,原租赁关系继续有效。

Should, in the future, the mortgagee in accordance with these Regulations, auction the said mortgaged property, the original lease will no longer be valid. The lease term on residential dwellings however, may be extended where appropriate.
 
抵押权人按本规定将抵押物拍卖时,原租赁关系失效。但民用住宅可适当延长租赁期。

 
Article 11. The parties concerned with the mortgage loan must sign a written contract.   第十一条 抵押贷款当事人须以书面形式签订抵押贷款合同。

This mortgage loan contract should include the following contents:
 
抵押贷款合同应包括下列内容:

 
(1) the full name of the mortgagor and the name of the mortgagee; (一)抵押人名称(姓名)和抵押权人的名称;

 
(2) application of the loan; (二)贷款用途;

 
(3) type of currency and amount; (三)贷款的币别、金额;

 
(4) name, amount and value of the mortgaged property; (四)抵押物名称、数量、价值;

 
(5) duration of loan, interest rate and time and method of loan repayment; (五)贷款的期限、利率及归还本息的时间、方法;

 
(6) loan repayment method; (六)贷款支付方式;

 
(7) method of managing and responsibility for the mortgaged property; (七)抵押物占管方式和责任;

 
(8) responsibility for breach of contract; (八)违约责任;

 
(9) arbitration or legal agreements to resolve disputes; (九)解决纠纷的仲裁或诉讼协议;

 
(10) other matters; (十)其他事项;

 
(11) date, place and signatures and seals of the principals of both parties.
