The people's governments of all provinces, autonomous regions, and municipalities directly under the Central Government; all ministries and commissions of the State Council; and all institutions directly under the State Council: 各省、自治区、直辖市人民政府,国务院各部委、各直属机构:
The pilot program of the reform of "separating certificates from business license" is a significant measure to implement the major decisions and arrangements of the CPC Central Committee and the State Council, release enterprises' dynamism for innovation and entrepreneurship and make the business environment more law-oriented, internationalized, and facilitating. Since the launch of the pilot program of the reform of "separating certificates from business license" in Pudong New Area, Shanghai, the measures, including reviewing, canceling a group of, changing to recordation of a group of, implementing the notification and undertaking system on a group of, and improving transparency and predictability of 116 items including administrative licensing, have been taken to effectively reduce institutional transaction costs of enterprises and make conspicuous achievements. For further solving the prominent problems, such as "easy to obtain business license but difficult to obtain administrative license" and "allowing access but disallowing business operation," and creating a stable, fair, transparent and predictable business environment at a faster pace, the following opinions on advancing the pilot program of the reform of "separating certificates from business license" in a larger scope. 开展“证照分离”改革试点,是落实党中央、国务院重大决策部署,释放企业创新创业活力,推进营商环境法治化、国际化、便利化的重要举措。“证照分离”改革试点在上海市浦东新区首推以来,通过对116项行政许可等事项清理取消一批、改为备案一批、实行告知承诺制一批以及提高透明度和可预期性等措施,有效降低了企业制度性交易成本,取得了显著成效。为进一步破解“办照容易办证难”、“准入不准营”等突出问题,加快营造稳定公平透明可预期的营商环境,现就在更大范围推进“证照分离”改革试点工作提出以下意见:
I. Scope and content of the pilot program   一、试点范围和内容
On the basis of in-depth summary of the experience of the pilot program of the reform of "separating certificates from business license" in Pudong New Area, Shanghai, the mature practice in the pilot program of reform in Shanghai shall be reproduced and promoted in ten pilot free trade zones in Tianjin, Liaoning, Zhejiang, Fujian, Henan, Hubei, Guangdong, Chongqing, Sichuan and Shaanxi. The period of the pilot program shall be from the date of the issuance of these Opinions to December 21, 2018. 在深入总结上海市浦东新区“证照分离”改革试点经验基础上,在天津、辽宁、浙江、福建、河南、湖北、广东、重庆、四川、陕西10个自贸试验区,复制推广上海市改革试点成熟做法。试点期为本意见印发之日起至2018年12月21日。
The 116 items including administrative licensing approved to be subject to the pilot program of reform in Pudong New Area, Shanghai, by the State Council in the Official Reply of the State Council on the Overall Plan for the Pilot Program of the Reform of "Separating Certificates from Business License" in Shanghai (Letter No. 222 [2015], State Council) and the Decision of the State Council on Provisionally Adjusting Administrative Approval Items and Other Items Provided for in Relevant Administrative Regulations and Documents Issued by the State Council (No. 24 [2016], State Council), except items the State Council or its departments have canceled, shall apply to the aforesaid ten pilot free trade zones, and no separate documents shall be issued. Local governments may determine on their own whether or not to include the administrative approval items and other items beyond the 116 items, which do not involve amendment of laws, administrative regulations or documents issued by the State Council, into the scope of reform. The items exceeding the 116 items or changing corresponding reform measures, and involving amendment of laws, administrative regulations or documents issued by the State Council shall be reported for approval according to procedures. 国务院关于上海市开展“证照分离”改革试点总体方案的批复》(国函〔2015〕222号)和《国务院关于在上海市浦东新区暂时调整有关行政法规和国务院文件规定的行政审批等事项的决定》(国发〔2016〕24号)已经批复上海市改革试点的116项行政许可等事项(国务院或部门已取消的事项除外),在上述10个自贸试验区内适用,不再另行发文。116项以外不涉及修改法律和行政法规、国务院文件的行政审批等事项,地方可自行确定是否纳入改革范畴。超出116项的范围或改变相应改革措施,且涉及修改法律和行政法规、国务院文件的,应按程序报批。
II. Reform priorities   二、改革重点
(1) Reviewing and regulating various administrative licensing. Unless involving major public interests such as national security, public security, ecological security and public health, separable "certificates" in the licensing category shall all be separated, and appropriate administrative means shall be used according to local actual circumstances. First, approval shall be directly canceled, industrial self-discipline management shall be substituted, and enterprises shall be allowed to directly conduct relevant business operations. Second, approval shall be changed to recordation, enterprises may conduct relevant business operations upon submitting relevant documents to relevant government departments, and government departments shall cease to confirm or license the filed documents. Third, the notification and undertaking system shall be implemented, and enterprises may undergo formalities for relevant approval items upon undertaking to meet approval conditions and submitting relevant documents. Fourth, transparency and predictability shall be improved, and the catalog and procedures in respect of administrative approval items shall be published to specify specific acceptance conditions, handling standards, examination requirements, and time limits, so as to standardize service matters. Consolidated approval and joint processing of certificates and licenses shall be vigorously promoted to practically link up affair-handling parts for enterprises. Fifth, when reviewing and regulating administrative approval items, all competent industry departments shall comprehensively strengthen the development of industrial specifications, make determinate, specific industrial operation standards, and urge enterprises to make recordation or implement the notification and undertaking system according to standards. Industry organizations shall be fostered and expanded, and the guiding role of industrial self-discipline and specifications shall be brought into play.

 (一)清理规范各类许可。除涉及国家安全、公共安全、生态安全和公众健康等重大公共利益外,能分离的许可类的“证”都分离出去,根据地方实际分别采用适当管理方式。一是直接取消审批,实行行业自律管理,允许企业直接开展相关经营活动。二是由审批改为备案,企业将相关材料报送政府有关部门后,即可开展相关经营活动,政府部门不再对备案材料进行核准或许可。三是实行告知承诺制,企业承诺符合审批条件并提交有关材料,即可办理相关审批事项。四是提升透明度和可预期性,公开行政审批事项目录和程序,明晰具体受理条件和办理标准,列明审查要求和时限,实现服务事项标准化。大力推广并联审批、证照联办,切实打通企业办事环节。五是由各行业主管部门在清理规范行政审批事项的同时,全面加强行业规范建设,制定明确具体的行业经营标准,督促企业对照标准进行备案或实行告知承诺。培育壮大行业组织,发挥行业自律和规范的引导作用。
