| The establishment of China (Hainan) Pilot Free Trade Zone (hereinafter referred to as the “HNFTZ”) is an important decision made by the CPC Central Committee and the State Council with a focus on perceiving development trends both at home and abroad after conducting in-depth research, giving comprehensive consideration and making scientific plans, so as to manifest China's resolution to open wider to the outside world and promote economic globalization. For the purposes of maximizing the role of market regulation, supporting Hainan's more solid efforts in its reform and opening-up, and building a first-class pilot free trade zone using high standards, our opinions are hereby offered as follows: | | 建立中国（海南）自由贸易试验区（以下简称“海南自贸试验区”）是党中央、国务院着眼于国际国内发展大局，深入研究、统筹考虑、科学谋划作出的重大决策，彰显我国扩大对外开放、积极推动经济全球化的决心。为充分发挥市场监督管理职能作用，支持海南深化改革开放，高标准高质量建设自贸试验区，现提出如下意见： |
| I. Pressing ahead with the reform of registration system based on independent applications | | 一、推行以自主申报为主的登记制度改革 |
| 1. The HNFTZ shall be supported in promoting the reform of “separating permits from business licenses” in an orderly manner, studying and sorting out a list of enterprise-related items for administrative approval, introducing the measures for the reform of classified administration, and highlighting the “reduction of permits after issuance of a business license”. Furthermore, the HNFTZ shall achieve full coverage of the reform in 2019, so as to draw on and gain experiences from the reform that can be easily replicated and expanded. | | （一）支持海南自贸试验区有序推开“证照分离”改革，研究梳理涉企行政审批事项清单，提出分类管理改革举措，突出“照后减证”，2019年在海南自贸试验区实现全覆盖，探索积累可复制、可推广的改革经验。 |
| 2. The HNFTZ shall be supported in providing registration services “with no legwork” for market players. Information technologies shall be effectively used to improve the work efficiency of registration officers, integrate the registration services for market players throughout the province, and reduce the registration windows step by step, making it legwork-free for applicants to go through registration formalities in Hainan. | | （二）支持海南自贸试验区实现市场主体登记业务“一次不用跑”。充分利用信息化手段，改进注册官工作方式，全岛统一办理市场主体登记注册业务，逐步减少登记注册窗口，实现市场主体登记业务“全岛通办”“一次不用跑”。 |
| 3. The HNFTZ shall be supported in significantly advancing the reform of registration system based on independent applications in the form of legislation for specific business operations in the special economic zone. The pilot program of independent application for enterprise names shall be supported throughout the province, and pre-approval of enterprise names shall be thoroughly cancelled. The system of independent application for addresses shall be adopted, and a negative list of independent application for addresses shall be created. The system for independent selection of business scope shall be implemented so that the applicants can independently select the formal expression of business scope based on the standardized and intelligence-based system (excluding special items involving statutory pre-approval). Significant reduction of materials for registration shall be supported. | | （三）支持海南自贸试验区通过经济特区商事立法形式大幅推进自主申报登记制度改革。支持海南全省开展企业名称自主申报改革试点，全面取消企业名称预先核准。实行住所自主申报制度，建立住所自主申报负面清单。实行经营范围自主选择制度，除涉及法定前置审批的特殊事项外，申请人可根据标准化、智能化系统提示，自主选择经营范围规范表述内容。支持大幅度减少登记材料。 |
| 4. Electronic business licenses and whole-process electronic registration administration shall be supported. A whole-process electronic registration mode (including online application, online acceptance, online review, online announcement, and online licensing) shall be adopted so that the registration materials of business players can be filed in the electronic form rather than in the paper form, with both electronic and paper files having the same legal force. | | （四）支持推行电子营业执照和全程电子化登记管理。建立网上申请、网上受理、网上审核、网上公示、网上发照的全程电子化登记模式，实行商事主体登记材料电子归档，不再使用纸质材料归档，商事主体登记材料电子档案与纸质档案具有同等的法律效力。 |
| 5. The HNFTZ shall be supported in carrying out the pilot reform of direct registration for enterprises of foreign countries (regions). In certain areas of Hainan, the system of exempting the direct registration for enterprises of foreign countries (regions) from administrative licensing shall be supported in the form of legislation for specific business operations in the special economic zone. | | （五）支持海南自贸试验区开展外国（地区）企业直接登记试点改革。在海南特定区域，支持通过经济特区商事立法形式，探索对直接登记的外国（地区）企业实施行政许可豁免制度。 |
6. The HNFTZ shall be supported in exploring the establishment of a withdrawal system for market players in which ordinary deregistration and summary deregistration supplement and support each other.
