| Chapter I General Provisions | | 第一章 总则 |
| Article 1 To further deepen the investment system reform, regulate the government confirmation of enterprises' investment projects, and realize convenient and efficient services and effective administration, these Measures are formulated in accordance with the Administrative License Law of the People's Republic of China, the Decision of the State Council on Reforming the Investment System and other relevant laws and regulations of the state. | | 第一条 为进一步深化投资体制改革，规范政府对企业投资项目的核准行为，实现便利、高效服务和有效管理，根据《中华人民共和国行政许可法》、《国务院关于投资体制改革的决定》和国家有关法律法规，制定本办法。 |
| Article 2 The scope of investment projects that shall be subject to the confirmation system and the confirmation power of project confirmation authorities shall be determined by the Catalogue of Investment Projects Subject to Government Confirmation (hereinafter referred to as the “Catalogue”) issued by the State Council. | | 第二条 实行核准制的投资项目范围和项目核准机关的核准权限，由国务院颁布的《政府核准的投资项目目录》（以下简称《核准目录》）确定。 |
| The “project confirmation authority” as mentioned in the preceding paragraph means the administrative authority with the power to confirm projects as prescribed in the Catalogue. The “competent investment department of the State Council” as mentioned in the Catalogue means the National Development and Reform Commission (hereinafter referred to as NDRC); and for a project that shall be subject to confirmation by a provincial government or local government as prescribed in the Catalogue, the specific project confirmation authority shall be determined by the provincial government. | | 前款所称项目核准机关，是指《核准目录》中规定具有项目核准权限的行政机关。《核准目录》所称国务院投资主管部门是指国家发展和改革委员会；《核准目录》规定由省级政府、地方政府核准的项目，其具体项目核准机关由省级政府确定。 |
| The confirmation of enterprises' investment projects by the project confirmation authority is an administrative licensing item, and the funds required for administrative licensing shall be guaranteed by the public finance at the same level. | | 项目核准机关对企业投资项目进行的核准是行政许可事项，实施行政许可所需经费应当由本级财政予以保障。 |
| Article 3 To invest in the construction of a project subject to the confirmation system, an enterprise shall, according to the relevant requirements of the state, prepare a project application report and, after obtaining the relevant documents that shall be attached in accordance with law, submit the report to the project confirmation authority as required. | | 第三条 企业投资建设实行核准制的项目，应当按照国家有关要求编制项目申请报告，取得依法应当附具的有关文件后，按照规定报送项目核准机关。 |
| Article 4 The project confirmation authority shall examine the project application reports submitted by enterprises and make decisions to confirm or not confirm projects from such aspects as maintaining economic security, rationally developing and utilizing resources, protecting ecological environment, optimizing the major layout, protecting public interest and preventing monopolies, and strengthen supervision and administration. | | 第四条 项目核准机关对企业提交的项目申请报告，应当主要从维护经济安全、合理开发利用资源、保护生态环境、优化重大布局、保障公共利益、防止出现垄断等方面依法进行审查，作出是否予以核准的决定，并加强监督管理。 |
| Enterprises shall make decisions and assume risks by themselves with respect to the market prospects, economic benefits, capital sources and product technical proposals of their projects, and the project confirmation authority shall not interfere with enterprises' independent rights to make investments. | | 项目的市场前景、经济效益、资金来源、产品技术方案等均由企业自主决策、自担风险，项目核准机关不得干预企业的投资自主权。 |
| Article 5 The project confirmation authority and its staff members shall strictly implement the relevant provisions of the state, shall not increase or decrease confirmation and examination conditions without approval, and shall not exceed the time limit for handling. | | 第五条 项目核准机关及其工作人员应当严格执行国家有关规定，不得擅自增减核准审查条件，不得超出办理时限。 |
| Article 6 The project confirmation authority shall disclose the confirmation process and confirmation results in accordance with law, except that any national secret, trade secret or personal privacy is involved. | | 第六条 除涉及国家秘密、商业秘密或者个人隐私的外，项目核准机关应当依法将核准过程、核准结果予以公开。 |
| Article 7 The project confirmation authority shall establish the online system for the administration of project confirmation, and realize the inquiry and supervision of the confirmation process and results. | | 第七条 项目核准机关应当建立项目核准管理在线运行系统，实现核准过程和结果的可查询、可监督。 |
| Article 8 The measures for the confirmation of foreign-funded projects and overseas investment projects would be formulated separately, and the projects constructed with investments made by other kinds of enterprises within the territory of China shall be governed by these Measures. | | 第八条 外商投资项目和境外投资项目的核准办法另行制定，其他各类企业在中国境内投资建设的项目按本办法执行。 |

| Chapter II Contents and Preparation of Project Application Reports | | 第二章 项目申请报告的内容及编制 |
| Article 9 A project entity shall submit to the project confirmation authority a project application report (in quintuplicate). The project entity shall select by itself a project advisory body with the corresponding qualifications to prepare the project application report, and the application report on a project which shall be subject to confirmation by the NDRC shall be prepared by a Grade A project advisory body with the corresponding qualifications. | | 第九条 项目单位应当向项目核准机关报送项目申请报告（一式5份）。项目申请报告应当由项目单位自主选择具备相应资质的工程咨询机构编制，其中由国家发展和改革委员会核准的项目，其项目申请报告应当由具备相应资质的甲级工程咨询机构编制。 |
| Article 10 A project application report shall mainly cover: | | 第十条 项目申请报告应当主要包括以下内容： |
| (1) information on the project entity; | | （一）项目单位情况； |
| (2) information on the project to be constructed; | | （二）拟建项目情况； |
| (3) analysis of resource utilization and the impact on ecological environment; and | | （三）资源利用和生态环境影响分析； |
| (4) analysis of economic and social effects. | | （四）经济和社会影响分析。 |
| Article 11 The NDRC shall prepare and issue the general text of project application reports, model text of application reports on projects in major industries, and the format text of project confirmation documents. | | 第十一条 国家发展和改革委员会编制并颁布项目申请报告通用文本、主要行业的项目申请报告示范文本、项目核准文件格式文本。 |
| The project confirmation authority shall, under the principles of convenience for the people and efficiency, develop and issue the Service Guide, listing the application materials for project confirmation, required annexes, acceptance method, examination conditions, handling process, handling time limit and other contents, enhance work transparency, and provide guidance and service for the project entities. | | 项目核准机关应当遵循便民、高效原则，制定并公开《服务指南》，列明项目核准的申报材料和所需附件、受理方式、审查条件、办理流程、办理时限等内容，提高工作透明度，为项目单位提供指导和服务。 |
| Article 12 When a project entity submits a project application report, it shall attach the following documents in accordance with the provisions of relevant laws and regulations of the state: | | 第十二条 项目单位在报送项目申请报告时，应当根据国家法律法规的规定附送以下文件： |
| (1) A site-selection proposal issued by the urban and rural planning administrative department (only applicable to a project on which the right to use state-owned land is provided by means of allocation). | | （一）城乡规划行政主管部门出具的选址意见书（仅指以划拨方式提供国有土地使用权的项目）； |
(2) Preliminary examination opinions on land use issued by the administrative department of land and resources (if no new land use is involved, the preliminary examination of land use is not required for a reconstruction or expansion project within the scope of approved construction land).
