Article 1 With a view to further expanding opening-up to the outside world and promoting the reform and development of commercial enterprises, as well as improving domestic market construction and enabling the expansion of commercial field and the pilot utilization of foreign investment operate in a healthy and orderly way, the Measures are hereby formulated in accordance with the Law of the People's Republic China on Joint Ventures Using Chinese and Foreign Investment and the Law of the People's Republic China on Sino-foreign Cooperative Enterprises | | 第一条 为进一步扩大对外开放，促进商业企业的改革和发展，推动国内市场建设，使扩大商业领域利用外商投资试点健康有序地进行，根据《中华人民共和国中外合资经营企业法》和《中华人民共和国中外合作经营企业法》等有关法律、法规，制定本办法。 |

| Article 2 The Measures shall be applicable to commercial joint ventures using Chinese and Foreign investment and Sino-foreign commercial cooperative enterprises (hereinafter referred to as "Sino-foreign commercial enterprises") established by foreign companies or enterprises and Chinese companies or enterprises within the territory of China. Wholly foreign-funded companies now are not allowed to establish commercial enterprises. | | 第二条 本办法适用于外国公司、企业同中国公司、企业在中国境内设立中外合资或合作商业企业（以下简称合营商业企业）。暂不允许外商独资设立商业企业。 |

| Article 3 The established Sino-foreign commercial enterprises shall be in line with the commercial development plan in the local cities and be capable of introducing international advanced marketing strategy and management experience, so as to promote domestic commercial modernization, improve export of domestic goods and produce fine economic and social results. | | 第三条 设立的合营商业企业必须符合所在城市的商业发展规划，能够引进国际上先进的营销技术和管理经验，促进国内商业现代化，带动国内产品出口，产生良好的经济效益和社会效益。 |

| Article 4 The places to establish Sino-foreign commercial joint ventures are determined by the State Council and are at present only approved in the capitals of the various provinces and autonomous regions, municipalities directly under the Central Government, cities under Central Planning and special economic zones (hereinafter referred to as "pilot places") | | 第四条 设立合营商业企业的地区由国务院规定，目前暂限于省会城市、自治区首府、直辖市、计划单列市和经济特区（以下简称试点地区）。 |

| Article 5 The investors of Sino-foreign commercial enterprises shall meet the following conditions: | | 第五条 合营商业企业的投资者应具备以下条件： |

| 1. The foreign partners or major enterprises of the foreign partners (hereinafter referred to as "foreign partners") shall be equipped with strong economic power, advanced management experience of commercial operation and marketing strategy, wide international sales network, good credit and operational achievements. They shall also improve export of Chinese goods by the proposed Sino-foreign commercial enterprises. | | （一）外国合营者或外国合营者中的主要合营者（以下简称外国合营者）应为具有较强的经济实力、先进的商业经营管理经验和营销技术、广泛的国际销售网络、良好的信誉和经营业绩的企业，且能够通过拟设立的合营商业企业带动中国产品出口。 |
The foreign partners applying for establishing Sino-foreign commercial enterprises undertaking retail business shall have made an annual sales volume of over US $ 2 billion in the three years prior to the application and capital volume of over US $ 200 million in the first year prior to the application. | |
申请设立从事零售业务的合营商业企业的外国合营者，申请前三年年均商品销售额应在20亿美元以上，申请前一年资产额应在2亿美元以上。 |
The foreign partners applying for establishing Sino-foreign commercial enterprises undertaking wholesale business shall have made an annual wholesale volume of over US $ 2.5 billion in the three years prior to the application and capital volume of over US $ 300 million in the first year prior to the application. | |
申请设立从事批发业务的合营商业企业的外国合营者，申请前三年年均商品批发额应在25亿美元以上，申请前一年资产额应在3亿美元以上。 |

| 2. The Chinese partners or major enterprises of the Chinese partners (hereinafter referred to as "Chinese partners") shall be circulation enterprises equipped with strong economic power and operational capability. They shall have assets volume of over $ 50 million RMB in the first year prior to the application ($ 30 million RMB in the central and western). Among them, Chinese partners shall have made sales volume of over $ 300 million RMB in the three years prior to the application ($ 200 million RMB in the central and western regions) as commercial enterprises and shall have made import and export volume of over US $ 50 million in the three years prior to the application (the export shall be on less than US $ 30 million) as foreign trade enterprises. | | （二）中国合营者或中国合营者中的主要合营者（以下简称中国合营者）应为具有较强经济实力和经营能力的流通企业，申请前一年的资产额应在5000万元（中西部地区3000万元）人民币以上。其中，中国合营者为商业企业的，申请前三年年均销售额应在3亿元（中西部地区2亿元）人民币以上；为外贸企业的，申请前三年年均自营进出口额应在5000万美元以上（其中出口额不低于3000万美元）。 |

| Article 6 The Sino-foreign commercial enterprises shall meet the following conditions: | | 第六条 合营商业企业应符合以下条件： |

| 1. Be in line with the related laws and regulations of China. | | （一）符合中国有关法律、法规及有关规定； |
| |
|
| 2. Be in accordance with the commercial development plan in local cities. | | （二）符合所在城市商业发展规划； |
| |
|
| 3. The registered capital of the Sino-foreign commercial enterprises undertaking retail business shall be no less than $ 50 million RMB, and $ 30 million RMB in the central and western regions; the registered capital of the Sino-foreign commercial enterprises undertaking wholesale business shall be no less than $ 80 million RMB, and $ 60 million RMB in the central and western regions. | | （三）从事零售业务的合营商业企业的注册资本不低于5000万元人民币，中西部地区不低于3000万元人民币；从事批发业务的合营商业企业的注册资本不低于8000万元人民币，中西部地区不低于6000万元人民币； |

4. The shares of the Chinese partners' contribution to registered capital of the Sino-foreign commercial enterprises (except for convenience stores, specialized shops and boutique) which have established more than three chain branches shall be no less than 51%. If the foreign partners of the Sino-foreign commercial enterprises with successful operation have purchased goods in domestic market and expanded the export of domestic goods through their own international marketing network, they could control shares under the approval of the State Council.
