| Article 1 (Purposes and Basis) | | 第一条 （目的和依据） |
| In order to further expand the opening-up, promote the reform of the foreign investment administration system, and create an internationalized and legally regulated investment environment for China (Shanghai) Pilot Free Trade Zone (hereinafter referred to as “SHFTZ”), these Measures are developed in accordance with the Decision of the Standing Committee of the National People's Congress on Authorizing the State Council to Temporarily Adjust the Relevant Administrative Approval Items Prescribed in Laws in China (Shanghai) Pilot Free Trade Zone, the Framework Plan for China (Shanghai) Pilot Free Trade Zone, and other relevant laws and regulations. | | 为进一步扩大开放，推进外商投资管理体制改革，营造中国（上海）自由贸易试验区（以下简称“自贸试验区”）国际化、法治化投资环境，根据《全国人大常委会关于授权国务院在中国（上海）自由贸易试验区暂时调整有关法律规定的行政审批的决定》、《中国（上海）自由贸易试验区总体方案》和相关法律、法规，制定本办法。 |
| Article 2 (Scope of Application) | | 第二条 （适用范围） |
| These Measures shall apply to the formation and modification of foreign-funded enterprises outside of the special management measures (negative list) for foreign investment in SHFTZ, except as otherwise provided for by any law or regulation. | | 对自贸试验区外商投资准入特别管理措施（负面清单）之外的外商投资企业设立和变更，适用本办法。法律、法规另有规定的，从其规定。 |
| Article 3 (Recordation Authority) | | 第三条 （备案机构） |
| The Management Committee of China (Shanghai) Pilot Free Trade Zone (hereinafter referred to as the “Recordation Authority”) shall be responsible for the recordation administration of foreign-funded enterprises within its functions. | | 中国（上海）自由贸易试验区管理委员会（以下称“备案机构”）负责权限内的外商投资企业备案管理。 |
| Article 4 (Recordation of Formation of Enterprises) | | 第四条 （企业设立备案） |
| To form a foreign-funded enterprise in SHFTZ, the investor shall, after obtaining the pre-approval of the enterprise name, log on the one-stop acceptance platform for foreign investment in SHFTZ (hereinafter referred to as the “acceptance platform”) to enter information online and make undertakings regarding the recordation notification. | | 投资者在自贸试验区内设立外商投资企业的，应在取得企业名称预先核准后，登陆自贸试验区外商投资一口受理平台（以下简称“受理平台”）在线填报，并对备案告知事项作出承诺。 |
