Agreement on Trade in Services between the Government of the People's Republic of China and the Government of the Islamic Republic of Pakistan

Preamble 序言
The Government of the People's Republic of China ("China") and the Government of the Islamic Republic of Pakistan ("Pakistan") hereinafter referred to collectively as "the Parties" and individually as "a Party". 中华人民共和国(中国)政府和巴基斯坦伊斯兰共和国(巴基斯坦)政府(以下双方合称“缔约双方”,一方称“缔约一方”);
Committed to strengthening the all-weather friendship between the Parties; 致力于加深缔约双方的全天候友谊;
Recalling the Free Trade Agreement between the Government of the People's Republic of China and the Government of the Islamic Republic of Pakistan ("the Free Trade Agreement") signed between the Parties in the witness of the Presidents of China and Pakistan in Islamabad on the twenty- fourth day of November two thousand and six; 忆及二○○六年十一月二十四日在两国总统见证下于伊斯兰堡签订的《中华人民共和国政府和巴基斯坦伊斯兰共和国政府自由贸易协定》(《自由贸易协定》);
Recalling Article 83 of the Free Trade Agreement which writes " Unless otherwise agreed by the Parties, they shall negotiate trade in services after the conclusion of the negotiations of this Agreement" so as to progressively liberalize and eliminate substantially all discrimination and /or prohibition of new or more discriminatory measures with respect to trade in services between the Parties; 忆及《自由贸易协定》第八十三条的规定:“除非缔约双方另有议定,缔约双方应在本协定谈判结束后进行服务贸易的谈判”,以逐步实现自由化,并取消缔约双方间存在的实质上所有歧视,和(或)禁止针对服务贸易采取新的或增加歧视性措施;
Resolved to enhance co-operation in trade in services between the Parties to improve efficiency and competitiveness, as well as to diversify the supply and distribution of services of the respective service suppliers of the Parties; 致力于加强缔约双方间的服务合作,以提高效率和竞争力,并使缔约双方服务提供者的服务供给和销售多元化;
Recognizing the right of the Parties to regulate, and to introduce new regulations, on the supply of services in the territories of the Parties in order to meet national policy objectives; 认识到缔约双方为实现国家政策目标,有权对其领土内的服务提供进行管理和采用新的法规;
Have agreed as follows: 协议如下:
Part I Definitions and Scope 

第一部分 定义和范围

Article 1 finitions   第一条 定义
"GATS" means the General Agreement on Trade in Services; “《服务贸易总协定》”指世界贸易组织《服务贸易总协定》;
"measure" means any measure by a Party, whether in the form of a law, regulation, rule, procedure, decision, administrative action, or any other form; “措施”指缔约一方所采取的任何措施,无论是以法律、法规、规则、程序、决定、行政行为的形式还是以任何其他形式;
"person" means a natural or a juridical person; “人”指自然人或法人;
"juridical person" means any legal entity duly constituted or otherwise organised under applicable law, whether for profit or otherwise, and whether privately-owned or governmentally-owned, including any corporation, trust, partnership, joint venture, sole proprietorship or association;1 “法人”指根据适用法律适当组建或组织的任何法人实体,无论是否以盈利为目的,无论属私营还是政府所有,包括任何公司、基金、合伙企业、合资企业、独资企业或协会(注1)。
注1:根据本协定,为防止第三方的公司从本协定中获取利益,在缔约另一方领土内注册的第三方公司及其办事处、联络处、空壳公司、“皮包公司”均不属于缔约另一方的服务提供者。
"juridical person of another Party" means a juridical person which is either: “另一缔约方的法人”指:
1. constituted or otherwise organised under the law of the country of that other Party, and is engaged in substantive business operations in the territory of the country of that Party; or
1 In order to prevent the possibility of companies of a third party unduly benefiting from this Agreement, companies of a third party registered in the territory of the country of the other Party, their offices, liaison offices, "shell companies" and "mail box companies" are not service suppliers of the other Party under this Agreement.
 (一)根据该另一缔约方的法律组建或组织的、并在该另一缔约方领土内从事实质性业务活动的法人;或
2. in the case of the supply of a service through commercial presence, owned or controlled by: (二)对于通过商业存在提供服务的情况:
(1) natural persons of the country of that Party; or 1.由该缔约方的自然人拥有或控制的法人;或
(2) juridical persons of the country of that other Party identified under subparagraph (i) of this paragraph; 2.由本款第1项确认的该另一缔约方的法人拥有或控制的法人;
a juridical person is; 法人:
1. "owned" by persons of the country of a Party if more than 50 per cent of the equity interest in it is beneficially owned by persons of that country; (一)由缔约一方的人所“拥有”,如该缔约方的人实际拥有的股本超过50%;
2. "controlled" by persons of the country of a Party if such persons have the power to name a majority of its directors or otherwise to legally direct its actions; and (二)由缔约一方的人所“控制”,如此类人拥有任命大多数董事或以其他方式合法指导其活动的权力;
3. "affiliated" with another person when it controls, or is controlled by, that other person, or when it and the other person are both controlled by the same person; (三)与另一成员具有“附属”关系,如该法人控制该另一人,或为该另一人所控制;或该法人和该另一人为同一人所控制。
"supply of a service" includes the production, distribution, marketing, sale and delivery of a service; “服务的提供”包括服务的生产、分销、营销、销售和交付。
"commercial presence" means any type of business or professional establishment, including, inter alia, through the constitution, acquisition or maintenance of a juridical person, as well as branches or representative offices within the territory of a Party for the purpose of supplying a service; “商业存在”指任何类型的商业或专业机构,包括为提供服务而在缔约一方领土内组建、收购或维持一法人以及分支机构或代表处。
"natural person of a Party" means a natural person who resides in the territory of a Party, and who under the law of that Party is a national of that Party; “缔约一方的自然人”指居住在缔约一方领土内的自然人,且根据该缔约方的法律属该缔约方的国民。
"services" means any service in any sector except services supplied in the exercise of governmental authority; “服务”指除政府部门提供的服务以外的任何部门的服务。
"service supplier" means any person that supplies a service; “服务提供者”指提供服务的任何人。
"trade in services" is defined as the supply of a service “服务贸易”指:
1. from the territory of a Party into the territory of the other Party ("cross-border"); (一)自一方境内向另一方境内提供服务(跨境交付);
2. in the territory of a Party to the service consumer of the other Party ("consumption abroad"); (二)在一方境内向另一方的消费者提供服务(境外消费);
3. by a service supplier of a Party, through commercial presence in the territory of the other Party ("commercial presence"); (三)一方服务提供者通过在另一方境内以商业存在方式提供服务(商业存在);
4. by a service supplier of a Party, through presence of natural persons of a Party in the territory of the other Party ("presence of natural persons"); (四)一方服务提供者通过在另一方境内以自然人存在提供服务(自然人流动)。
Article 2 ope and Coverage   第二条 范围和覆盖领域
1. This Agreement applies to measures by the Parties affecting trade in services. 一、本协定适用于缔约双方采取的影响服务贸易的措施。
2. This Agreement shall not apply to: 二、本协定不应适用于:
(1) services supplied in the exercise of governmental authority within the territory of each Party; (一)在缔约方领土内为行使政府职权时提供的服务;
(2)regulations or requirements governing the procurement by governmental agencies of services purchased for governmental purposes and not with a view to commercial resale or with a view to use in the supply of services for commercial sale. (二)管理政府机构为政府目的而购买服务的法规或要求,此种购买不得用于进行商业转售或用于为商业销售而提供的服务;
(3)subsidies or grants provided by a Party; (三)由缔约一方提供的补贴或援助;
(4)in respect of air transport services, traffic rights, however granted, or services directly related to the exercise of traffic rights, except measures affecting: (四)空运服务,无论以何种形式给予的业务权,或与业务权的行使直接有关的服务,影响下列内容的措施除外:
A. aircraft repair and maintenance services 1.航空器的修理和保养服务;
B. the selling and marketing of air transport services; and 2.空运服务的销售和营销;和
C. computer reservation system services 3.计算机预订系统服务。
(4)cabotage in maritime transport services; and (五)沿海运输;和
(5)measures affecting natural persons seeking access to the employment market of a Party, or measures regarding citizenship, residence or employment on a permanent basis. (六)影响寻求进入缔约一方就业市场的自然人的措施,或在永久基础上有关公民身份、居住或就业的措施;
3. Nothing in this Agreement shall prevent a Party from applying measures to regulate the entry of natural persons of the country of the other Party into, or their temporary stay in, its country's territory, including those measures necessary to protect the integrity of, and to ensure the orderly movement of natural persons across its borders, provided that such measures are not applied in such a manner as to nullify or impair the benefits accruing to the other Party under the terms of this Agreement. 三、本协定不得阻止缔约一方实施对自然人进入其领土或在其领土内暂时居留进行管理的措施,包括为保护其边境完整和保证自然人有序跨境流动所必需的措施,只要此类措施的实施不致使缔约另一方根据本协定的条件所获得的利益丧失或减损。
4. Article 53 (Settlement of Disputes between the Parties) of the Free Trade Agreement shall apply, mutatis mutandis, to measures affecting the supply of service by a service supplier of the country of a Party through commercial presence in the territory of the other Party, in sectors which are scheduled in a Party's Schedule of Specific Commitments in Annex I to this Agreement. 四、《自由贸易协定》第五十三条(缔约双方之间争端解决)在作必要调整后,应适用于影响缔约一方服务提供者在本协定附件一具体承诺表所列部门通过商业存在的形式在缔约另一方领土内提供服务的措施。
Part II Obligations and Disciplines 

第二部分 义务和纪律

Article 3 ansparency   第三条 透明度
Article III of the GATS is, mutatis mutandis, incorporated into and shall form an integral part of this Agreement. 《服务贸易总协定》第三条,经做必要调整,纳入本协定并成为本协定的组成部分。
Article 4 sclosure of Confidential Information   第四条 机密信息的披露
Article III bis of the GATS is, mutatis mutandis, incorporated into and shall form an integral part of this Agreement. 《服务贸易总协定》第三条之二款,经作必要调整,纳入本协定并成为本协定的组成部分。
Article 5 mestic Regulation   第五条 国内规制
1. In sectors where specific commitments are undertaken, each Party shall ensure that all measures of general application affecting trade in services: 一、在已作出具体承诺的部门中,缔约双方应保证所有影响服务贸易的普遍适用的措施:
(1)are administered in a reasonable, objective and impartial manner; (一)以合理、客观和公正的方式实施;
(2)based on objective and transparent criteria, such as competence and the ability to supply the service; (二)依据客观的和透明的标准,例如提供服务的能力和资格;
(3)not more burdensome than necessary to ensure the quality of the service; (三)不得比为保证服务质量所必须的限度更难以负担;
(4)in the case of licensing procedures, not in themselves a restriction on the supply of the service. (四)如为许可程序,则这些程序本身不成为对服务提供的限制。
2. The disciplines of paragraph 1 may be reviewed, in order to take into account the disciplines agreed under Article VI of the GATS, with a view to their incorporation into this Agreement. 二、考虑到《服务贸易总协定》第六条议定的纪律,可审议第一款的纪律,以将其纳入本协定。
3. Where authorization is required for the supply of a service on which a specific commitment has been made, the competent authorities of a Party shall, within a reasonable period of time after the submission of an application considered complete under its domestic laws and regulations, inform the applicant of the decision concerning the application. At the request of the applicant, the competent authorities of the Party shall provide, without undue delay, information concerning the status of the application. 三、对已做出具体承诺的服务,如提供此种服务需要得到批准,则缔约一方的主管机关应在其国内法规视为完整的申请提交后一段合理时间内,将有关该申请的决定通知申请人。在申请人请求下,缔约一方主管机关应提供该申请情况的信息,不得不当迟延。
4. The Parties shall consult periodically with a view to determining the feasibility of removing any remaining citizenship requirement for the licensing or certification of each other's service suppliers. 四、对于任何仍然存在的许可或证明对方服务提供者的公民资格或永久居住的要求,缔约双方应定期协商以致力于确定取消上述要求的可行性。
