The plaintiff, China Lianyungang Shipping Agency Company (hereinafter referred to as Lianyungang Shipco), brought a lawsuit to Shanghai Maritime Court of the People's Republic of China over the dispute on compensation for the infringement of releasing goods without the original bill of lading with the defendants Lianyungang Harbor Bureau, Lianyungang Gangming Industrial Co., Ltd. (hereinafter referred to as Gangming Industrial Company), and Lianyungang Gangming Trade Co., Ltd. (hereinafter referred to as Gangming Trade Company).@#
Lianyungang Shipco claimed that: it was the harbor agent of the foreign ship “Mathew”. After the arrival of the 10,000 tons of alumina loaded by “Mathew”, Gangming Trade Company, as the agent of the consignee, produced a letter of guarantee to it without submitting the original bill of lading and claimed that it needed to borrow the bill of lading for customs clearance. It produced the bill of lading to Gangming Trade Company, which then delivered the bill to Gangming Industrial Company, which altered the content of the bill of lading. Gangming Industrial Company then intended to take delivery of goods at the loading and unloading company subordinated to Lianyungang Harbor Bureau and defrauded the customs in customs clearance and release with the altered bill of lading. Lianyungang Harbor Bureau's act of failing to check the authenticity of the bill of lading and even releasing the goods to someone who had no original bill of lading before the customs agreed to release led to the fact the all goods were taken by Gangming Industrial Company without the original bill of lading. After the holder of original bill of lading lodged a lawsuit of compensation claim, the plaintiff paid an indemnity of 5,336,147.20 yuan. Thus the plaintiff pleads the court to adjudicate that Lianyungang Harbor Bureau and Gangming Industrial Company shall make joint compensations for the economic loss and corresponding interest losses of the plaintiff because of their illegal release of goods and illegal delivery of goods, and that Gangming Trade Company that produced the letter of guarantee shall also bear joint and several liabilities.@#

连云港外代公司诉连云港港务局、港明实业公司、港明贸易公司无单放货侵权赔偿纠纷案@#
【裁判摘要】@#
一、港口经营人根据与作业委托人的合同,对进口货物负有部分监管职责。为了履行这一职责,港口经营人在交付货物时,应当对提货单进行审查,审查内容仅限于审查提货单上有无海关同意放行章。对提货单的持有人是否为单上记名的收货人或其代理人,港口经营人没有审查义务。@#
二、提货单一经开出,就等于承认持单人有提货权利。港口经营人根据提货单上的海关同意放行章,将货物交付给提货单的持有人,是正常放货行为,不存在过错。@#
三、明知只有凭正本提单才能提取货物,却以虚假理由从承运人或者承运人的代理人处商借提货单,然后用该提货单办理提货手续,是以非法手段侵占他人财产的行为。依照海商法七十一条民法通则一二百一十七条规定,行为人应当对由此给他人造成的经济损失承担侵权赔偿责任。@#

原告中国连云港外轮代理公司(以下简称连云港外代公司)为与被告连云港港务局、被告连云港市港明实业有限公司(以下简称港明实业公司)、被告连云港港明贸易有限公司(以下简称港明贸易公司)发生无单放货侵权赔偿纠纷,向中华人民共和国上海海事法院提起诉讼。@#
原告连云港外代公司诉称:原告是外籍“马太”轮的港口代理人。“马太”轮装载的1万吨氧化铝到港后,被告港明贸易公司以收货人的代理人身份,在未提交正本提单的情况下,向原告出具保函,声称为及时通关需商借提货单。原告为港明贸易公司出具提货单后,该公司将提货单又转交给被告港明实业公司。港明实业公司变造了该提货单的内容,持单向被告连云港港务局下属的装卸公司提示领取货物,并以变造的提货单骗取海关同意清关放行。连云港港务局未核实提货单的真伪,甚至在海关同意放行前就向不持有正本提单的人放行货物,以至全部货物被港明实业公司无单提取。在正本提单持有人提起索赔诉讼后,原告为此支付了5 336147.20元赔款。请求判令连云港港务局和港明实业公司连带赔偿因违法放货、违法提货而给原告造成的上述经济损失以及相应利息损失,出具保函的港明贸易公司对此承担连带赔偿责任。@#

1.港明贸易公司于2001年11月19日出具的担保函,用以证明港明贸易公司是以急需报关为由代理收货人向连云港外代公司商借提货单;@#
2.提货单的留底联和提货联,用以证明在连云港外代公司出具的提货单提货联上,没有收货人名称,现在手写的收货人名称为提货人擅自添加,连云港港务局未能核实出这一问题是有过错的;@#
3.2001年10月31日至12月6日东联公司的港口作业计费存根联(作业委托单)6份、货物交接证1份,用以证明连云港港务局与港明实业公司之间在海关同意放行前就联络与安排过提货事宜;@#
4.公安局和法院对东联公司业务人员的询问笔录各1份,用以证明部分货物是连云港港务局在未见提货单时就已经放行了;@#
5.连云港外代公司向东联公司经办人所发的传真及电信局通话清单,用以证明连云港外代公司曾于2001年11月26日发传真要求不予放行货物,但连云港港务局置之不理;@#
6.港明实业公司2002年1月8日的确认函,用以证明港明实业公司承认货物是在无正本提单的情形下提取的,其愿承担一切责任;@#
7.上海海事法院(2002)沪海法商初字第93号民事判决书、上海市高级人民法院二审期间达成的和解协议和已付款凭证,用以证明连云港外代公司已向正本提单合法持有人承担了无单放货的责任,获得向三被告的追偿权;@#
8.企业登记资料查询表两份,用以证明实施放货行为的东联公司是连云港港务局的下属单位,现已注销,债权债务应由连云港港务局承担。@#
被告连云港港务局辩称:原告连云港外代公司既然签发并交付提货单,即意味着其同意本被告放货。向持单人交付货物是行业惯例,不违反规定;对持单人是否为提货单上记名的收货人,本被告没有核实义务。连云港外代公司签发并交付提货单后,为满足持单人在通关前提出的提货要求,本被告商借了其他货主的同类货物向持单人交付,这部分货物事后已经归还。本被告这样做,既没有提前放行了海关未同意放行的货物,也不违反连云港外代公司签发提货单希望达到的提货意愿,不应承担任何责任。@#
连云港港务局提交以下证据:@#
1.港口货物作业合同和货物交接证各一份,用以证明连云港港务局与港明实业公司有作业委托关系;@#
2.收回的提货单一份,用以证明放行给港明实业公司的货物系正常交付;@#
3.保函两份、确认件两份、通知一份、借货记录一份,用以证明提前交付的货物是从其他货主处商借来的,不是海关未同意放行的货物。@#
被告港明实业公司辩称:本被告从本案货物实际进口方购买了涉案货物,并已支付了全部款项,在得到实际进口方保证交付正本提单的书面承诺后才去提货,不存在过错。原告连云港外代公司在其签发的提货单上,批注同意放货给收货人,说明其不是只为用于报关而签发此提货单。本被告未变造提货单,且提货单上增加了收货人的名称,也不违背连云港外代公司签发提货单的真实意思,该公司无权追究本被告的提货责任。事发后,经连云港外代公司要求,本被告已经以实际进口方代理人的身份向连云港外代公司出具了保函,故连云港外代公司应当向被代理的原收货人追究提货责任。@#
港明实业公司提交以下证据:@#
1.连云港外代公司出具的提货单提货联复印件、港明实业公司与本案货物实际进口方签订的购货协议、外贸代理协议、已支付货款的财务收据、报检报关票据和连云港市中级人民法院(2001)连经初字第 146号民事判决书,用以证明港明实业公司的提货合法有据;@#
2.其他外轮到货后连云港外代公司出具的提货单,用以证明本案提货单提货联上的手写内容是连云港外代公司填写的。@#
被告港明贸易公司辩称:本案货物实际进口方在出具保函后,委托被告港明实业公司办理提货事宜,港明实业公司再委托本被告实施。本被告向原告连云港外代公司出具的保函中,已披露了是受本案货物实际进口方的委托向连云港外代公司商借提货单。按照委托代理的法律规定,本案责任应由委托人承担。@#
港明贸易公司提交本案货物实际进口方给港明实业公司的保证函复印件,用以证明向连云港外代公司出具保函商借提货单是受实际进口方委托。@#
