Abercan Estate Holding & Development Co., Ltd. (Shanghai) (hereinafter referred to as Shanghai Estate Co., Ltd.) and Hong Kong WSA Lines International Co., Ltd. (hereinafter referred to as WSA) were dissatisfied with the No. 4 civil judgment of the Higher People's Court of Shanghai Municipality for a case on their dispute with Abercan Estate Holding Co., Ltd. (Hong Kong) (hereinafter referred to as Hong Kong Estate Co., Ltd.) and Senda Development Co., Ltd. (hereinafter referred to as Senda) over the guaranty for defaulted money and filed an appeal with this Court. This Court has formed a collegiate bench, as composed of Wang Yun, presiding judge, and, Chen Jizhong and Ren Xuefeng, acting judges, according to law and publicly heard this case on January 23, 2003. Zang Jun, authorized agent of Shanghai Estate Co., Ltd., Sheng Zhubang, legal representative of Hong Kong Estate Co., Ltd., Cen Wenqi, authorized agent of Hong Kong Estate Co., Ltd., Chen Rongquan and Dai Bin, authorized agents of Senda, appeared in court. WSA failed, without any justifiable reason, to appeal in court after being summoned. This case has now been concluded.@#
PROCEDURAL POSTURE@#
It was found by the court of the original instance that:@#
1. On January 25, 1995, Hong Kong Estate Co., Ltd., WSA, Shen, Wu Lishen, Liang Shusen and Abercan Estate Holding Co., Ltd. (Macao) jointly concluded a contract (hereinafter referred to as the transfer contract), stipulating that: Hong Kong Estate Co., Ltd., Shen, Wu and Liang, as registered shareholders of Xinfa Asian Co., Ltd. (hereinafter referred to as Xinfa) committed to transfer to WSA their 9, 000 shares as publicly offered of Xinfa and offered WSA another 2 million shares yet to be offered by Xinfa and WSA shall pay HK $ 79, 793, 000 for stock transfer, HK $ 10 million of which shall be paid before an agreement is concluded and the balance shall be paid to Hong Kong Estate Co., Ltd. before January 30, 1995. As for Shanghai Estate Co., Ltd., which is invested and thus owned by Xinfa, WSA, as the transferee, shall also repay Shanghai Estate Co., Ltd.'s debt of HK $ 246, 123, 516. 78 to the transferor; Hong Kong Estate Co., Ltd. sold a loan of HK $ 48, 236, 567. 83 to WSA at a price of 1 HK dollar. Accordingly, WSA shall pay HK $ 277, 679, 948. 95 in total. In the case of any agreement-based claim for compensation or any other dispute, it shall be governed by the law of Hong Kong and be subject to the jurisdiction of the Supreme Court of Hong Kong SAR, which, however, does not have sole jurisdiction. The aforesaid agreements were notarized through the notary documents as produced by Hong Kong lawyers who have been recognized by the Ministry of Justice so that the contents thereof comply with the law of Hong Kong.@#
2. On January 17, 1997, Hong Kong Estate Co., Ltd., WSA and Senda concluded a Supplemental Agreement on Payment by Shanghai Abercan Center (hereinafter referred to as the Supplemental Agreement on Payment), stipulating that, a plan of repayment shall be made according to the Transfer Contract. Hong Kong Estate Co., Ltd. shall, before January 22, 1997, handle the relevant formalities for the transfer of property right and title, including the legal representative of Shanghai Estate Co., Ltd., all the real estate credence and stocks of Shanghai Estate Co., Ltd.. WSA shall set Shanghai Abercan Center (hereinafter referred to as the Center) as guaranty for repayment. WSA shall, before February 3, 1997, refund HK $ 10 million to Hong Kong Estate Co., Ltd., clear off the balance in installments before July 22, 1997 and pay to Senda for Hong Kong Estate Co., Ltd.. The Supplemental Agreement on Payment was signed by Wu and Liang, on the behalf of Hong Kong Estate Co., Ltd., Li Chen, on the behalf of WSA and Chen, on the behalf of Senda and witnessed by Deng Weihua. On October 8, 1998, Hong Kong Estate Co., Ltd., WSA and Senda, Xiqiao Economic Development Co., Ltd. of Nanhai Municipality (hereinafter referred to as Xiqiao) concluded a Statement I on Article 2 of the Supplemental Agreement on Payment as Concluded on January 17, 1997 (hereinafter referred to as the Statement I), clarifying that in the period from January 25 when an agreement was concluded to the day when a supplemental agreement was concluded, WSA paid to Hong Kong Estate Co., Ltd. about HK $ 0.16 billion, with HK $ 0.11 yet to be refunded. As Hong Kong Estate Co., Ltd. owed Senda and Xiqiao HK $ 70 million. In order to solve the long-term debt relation between the three parties, Hong Kong Estate Co., Ltd. transferred HK $ 70 million of its creditor's right to Senda as well as Xiqiao, Senda's wholly-funded subordinary company. WSA agreed to pay the said HK $ 70 million to Senda and pay the balance of HK $ 40 million to Hong Kong Estate Co., Ltd.. The aforesaid Statement I was signed by Wu, Liang and Shen and bore the seal of Hong Kong Estate Co., Ltd., signed by Li on the behalf of WSA and bore the seal and signature of Senda and Xiqiao. On the same day, Hong Kong Estate Co., Ltd., WSA and Senda concluded Statement II on Article 2 of the Supplemental Agreement on Payment as Concluded on January 17, 1997 (hereinafter referred to as the Statement II), clarifying that WSA has paid HK $ 0.16 billion, with HK $ 0.11 yet to be refunded. Hong Kong Estate Co., Ltd. agreed to transfer HK $ 70 million of its creditor's right to Senda and the latter has confirmed that it received HK $ 5 million in 1997, with HK $ 65 million yet to be refunded. The three parties agreed to conclude the relevant agreement on guaranty on the basis of Shanghai Estate Co., Ltd.'s provision of a guaranty for repayment. Hong Kong Estate Co., Ltd., WSA and Senda affixed their seals to the aforesaid Statement II.@#

上诉人新建业置业发展(上海)有限公司(以下简称上海新建业公司)、香港伟成国际有限公司(以下简称伟成公司)因与被上诉人新建业置业地产(香港)有限公司(以下简称香港新建业公司)、森达发展有限公司(以下简称森达公司)欠款担保纠纷一案,不服上海市高级人民法院(1999)沪高经初字第4号民事判决,向本院提起上诉。本院依法组成由审判员王玧担任审判长,代理审判员陈纪忠、任雪峰参加评议的合议庭,于2003年1月23日公开开庭审理了本案。上诉人上海新建业公司的委托代理人臧俊,被上诉人香港新建业公司的法定代表人沈柱邦、委托代理人岑文绮,被上诉人森达公司的委托代理人陈荣全、戴斌,到庭参加诉讼;上诉人伟成公司经本院合法传唤无正当理由拒不到庭参加诉讼。本案现已审理终结。@#

原审法院审理查明:@#
1.1995年1月25日,香港新建业公司、伟成公司、沈柱邦、吴立胜、梁树森和新建业置业(澳门)有限公司共同签订了一份合约(以下简称转让合约),其主要内容为:香港新建业公司、沈柱邦、吴立胜、梁树森作为新发亚洲有限公司(以下简称新发公司)在册股东承诺将他们持有的新发公司已发行的9000股股份转让给伟成公司,并且将新发公司未发行的2000000股股份亦配予伟成公司,为此伟成公司应支付配股报酬79793000港元,其中在订约前支付1000万港元,1995年1月30日前支付余款给香港新建业公司;同时,对于新发公司投资拥有上海新建业公司,受让人伟成公司还应向股份转让方承担上海新建业公司的债款246123516.78港元;香港新建业公司将48236567.83港元的贷款以1港元的价格出售给伟成公司,据此,伟成公司总计应支付277679948.95港元;如果由于合约而发生索赔要求或其他纠纷,适用香港法律,均服从于香港最高法院管辖,但并非由其享有唯一管辖权。上述合约经司法部认可的香港律师出具的公证文书确认,其内容符合香港法律。@#
2.1997年1月17日,香港新建业公司、伟成公司和森达公司签订《上海新建业中心付款补充协议书》(以下简称付款补充协议),约定:根据转让合约,确认还款计划为,香港新建业公司在1997年1月22日前办理有关产权及业权转让手续,包括上海新建业公司的法人代表,所有房产证及股票等,伟成公司以上海新建业中心作为还款担保;伟成公司在1997年2月3日前还款1000万港元给香港新建业公司,在1997年7月22日前分期把余款还清,并将所还款项代香港新建业公司付给森达公司。该补充协议书有吴立胜、梁树森代表香港新建业公司,李琛代表伟成公司,陈荣全代表森达公司签字,并由邓维华见证。1998年10月8日,香港新建业公司、伟成公司、森达公司、南海市西樵经济发展总公司(以下简称西樵公司)签订《关于一九九七年一月十七日<补充协议>中第二条的说明(一)》(以下简称“说明(一)”),明确自1995年1月25日签订合约至签订付款补充协议之日止,伟成公司已付给香港新建业公司约1.6亿港元,尚欠约1.1亿港元;因香港新建业公司欠森达公司及西樵公司债务7000万港元,为解决三方长期形成的债务,香港新建业公司把其中7000万港元债权转移给森达公司或其全资子公司西樵公司;伟成公司同意将该7000万港元支付给森达公司;余额4000万港元仍由伟成公司归还香港新建业公司。上述“说明(一)”有吴立胜、梁树森、沈柱邦签名,香港新建业公司盖章,李琛代表伟成公司签名,森达公司、西樵公司均盖章签字。同日,香港新建业公司、伟成公司、森达公司又签订《关于一九九七年一月十七日<补充协议>中第二条的说明(二)》(以下简称“说明(二)”),明确伟成公司已付给香港新建业公司约1.6亿港元,欠1.1亿港元,香港新建业公司同意将7000万港元的债权转让给森达公司,森达公司确认已于1997年收到500万港元,尚欠6500万港元,三方同意以上海新建业公司为还款担保,并签订有关担保协议。香港新建业公司、伟成公司、森达公司在上述“说明(二)”上盖章确认。@#
3.1997年1月20日,上海新建业公司、森达公司并西樵公司、香港新建业公司签订一份《抵押担保合同》,明确上海新建业公司以上海新建业中心作为伟成公司还款担保抵押物,担保还款款项为1.1亿港元(利息以香港1997年1月优惠利率加2);上海新建业公司为还款担保人,当债务人未能按时还款时,债权人可随时办理抵押物登记,本合同与《抵押担保书》同时生效。次日,西樵公司、森达公司、新发公司、上海新建业公司签订一份《工作备忘》,确认了1997年1月17日的付款补充协议,明确以上海新建业中心为还款抵押,并约定此后所签协议的释义均以中文及中国法律为最终定义。同年1月23日,上述各方当事人签订一份《抵押担保书》,约定抵押人为上海新建业公司,抵押财产为位于上海市中山北路2438号的房地产,抵押金额为1.1亿港元,利息为π+2。同年2月25日,上海新建业公司、森达公司、西樵公司、香港新建业公司签订《保证合同》,明确上海新建业公司愿意为伟成公司承担保证还款责任,保证金额为1.1亿港元及利息、违约金、赔偿金等,保证期限为以最终清偿所有债务完毕为止。上述合同中均有上海新建业公司合同专用章,沈柱邦同时以上海新建业公司和香港新建业公司双重代表身份在合同上签字。@#
4.新发公司注册成立于香港特别行政区,其核定资本为2009000港元,1995年时已发行9000股,股东分别为香港新建业公司、沈柱邦、吴立胜、梁树森。1997年2月5日,该公司已发行之9000股转到伟成公司名下,1997年1月22日,该公司新增发行股份2000000股,转到伟成公司名下为1979910股及尹军(系伟成公司董事)名下20090股。新发公司于1994年在上海市投资设立外商独资企业上海新建业公司,该公司批租开发中山北路2438号地块。1997年1月18日,上海新建业公司召开董事会,决定免去沈柱邦董事长、总经理职务,任命尹军为董事长、总经理。上海新建业公司当时的董事为梁树森、尹军、吴立胜、李琛、沈柱邦、杨雪丽。1997年4月4日,上海新建业公司的文件及公章(不包括上述合同专用章)移交给伟成公司。1997年6月27日,经工商核准登记上海新建业公司的法定代表人由原来的沈柱邦变更为伟成公司的尹军。@#
5.根据1995年转让合约,到签订付款补充协议时伟成公司陆续支付给香港新建业公司149680944.01港元,加上香港新建业公司确认收到相关款项20944551.65港元(包括已收到本金的回报加扣除25楼楼款),合计支付了170625495.66港元。1997年1月起至1997年7月22日前伟成公司支付了7000000港元,1997年7月22日后又支付了710092港元,余款伟成公司与上海新建业公司均未支付。@#
6.在抵押担保合同、《保证合同》等签订后,西樵山旅游度假区人民政府等单位多次发函给上海新建业公司、伟成公司要求及时还款。伟成公司亦承诺将款项归还森达公司。@#
1999年4月19日,香港新建业公司、森达公司共同向原审法院提起欠款担保纠纷诉讼,请求判令伟成公司支付欠款109404733.65港元并赔偿利息29423548.20港元、判令上海新建业公司承担连带清偿责任。2000年8月10日,香港新建业公司、森达公司变更其诉讼请求为:判令伟成公司支付欠款108689230港元并赔偿利息35914260港元(从1996年5月1日至2000年4月30日止)、上海新建业公司承担连带责任。@#
1999年4月20日,根据香港新建业公司、森达公司的财产保全申请,原审法院以(1999)沪高经初字第4号民事裁定查封了上海新建业公司所有的上海新建业中心大楼第一层至第十层和第二十一层至第二十四层的全部房产。@#
原审法院送达起诉状后的答辩期间,伟成公司、上海新建业公司均提出管辖权异议称:在1995年1月25日的合约中约定“本合同应以香港法律解释及适用于香港法律,本合约各方同意当在有关合约有任何纠纷或追讨时,均接受香港法庭审决”,本案债权人、债务人均系香港法人,上海新建业公司只是担保人,故本案应由香港特别行政区的法院管辖。经原审法院审查认为:“合约的完整意思是:本合约应以香港法律解释及适用香港法律、合约双方无可争议地同意本合约引起的任何请求和纠纷,均服从香港最高法院管辖,但也声明并非其享有唯一管辖权。”据此原审法院驳回管辖异议。两被告不服,向最高人民法院提起上诉,最高人民法院认为:“双方当事人就1995年1月25日股权转让合同并无争议,该合同中的条款并不能约束香港新建业公司、森达公司依据与伟成公司签订的付款补充协议和与上海新建业公司签订的《抵押担保合同》、《抵押担保书》,以欠款担保纠纷为由提起的诉讼,由于此三份合同均约定适用内地法律,无协议管辖条款,故上海市高级人民法院有管辖权。”@#
上海市高级人民法院经审理认为:原被告争议的焦点在于付款补充协议及担保协议是否有效。一、关于付款补充协议的效力。该协议系根据1995年1月25日合约确认之还款计划。原告方确认付款补充协议上所指的1995年1月25日合约实际上就是指前述由六方当事人签订的合约。被告方认为付款补充协议上所指合约并不存在的辩解没有事实依据。从该合约签订至1997年1月付款补充协议签订之日止,伟成公司已支付149680944.01港元,大大超过了伟成公司辩称的其受让新发公司股权及上海新建业公司项目的总价7979.3万港元,而且伟成公司在付款补充协议及说明中亦多次确认已支付约1.6亿港元,尚欠约1.1亿港元,并且承诺向森达公司还款。因此原告方提出的转让费约2.7亿港元的主张可以采信,被告方不存在欠款事实的辩解与已查明的事实不符,不予采信。在付款补充协议及其后的“说明(一)”、“说明(二)”中并没有确定明确的欠款数额,仅仅确认欠款额约1.1亿港元。审理中查明当时的实际欠款额为107054452.34港元(277679948—170625495.66),与有关协议双方的约定相一致,可以认定。付款补充协议由伟成公司董事李琛代表伟成公司签字,且在此后双方签订的“说明(二)”中,有伟成公司盖章确认,故可认定系伟成公司的真实意思表示,而且1995年1月25日合约的其他权利人(包括沈柱邦、吴立胜、梁树森)均对该付款补充协议予以确认,同意他们对伟成公司的债权,由伟成公司向香港新建业公司偿还,故该付款补充协议及相关的说明均合法有效。被告伟成公司虽提出香港新建业公司和森达公司有恶意串通进行民事欺诈的行为,但没有提供相应的证据,亦不予采信。二、合同的履行及责任的承担。付款补充协议签订后,各方当事人均应严格履行。原告已将新发公司的股份转让及配予伟成公司,并且移交了上海新建业公司的有关文件及公章等,完成了其交付义务。伟成公司仅支付了7710092港元,余款 99344360.34港元未付清,其行为显属违约,应承担偿付余款和逾期利息的责任。原告方主张利息从1995年5月起算,利率为香港最优惠利率加2。经审查,在1995年1月25日合约及付款补充协议中均无具体利息及利息起算日期的约定,双方实际履行合同义务主要集中在1997年,故其主张没有事实和法律依据,逾期付款利息应从付款补充协议确定的最后清偿日1997年7月22日后起算,利率应按照中国人民银行同期逾期贷款利率计算。香港新建业公司将其部分债权转让给森达公司,经该公司确认后,森达公司即取得这部分债权。因两原告要求其债权不在本案中分割,可按照两原告的意愿,对两原告的按份债权不予分割,待判决后由两原告自行分割。三、抵押合同、保证合同等的效力及责任承担。上海新建业公司认为在抵押合同、保证合同等协议上上海新建业公司合同专用章系原告方私刻,故这些协议均系伪造。该院认为,沈柱邦当时是上海新建业公司的法定代表人,其能控制上海新建业公司公章并可对外直接签约,因此客观上原告方无私刻该章之需要;在办理移交时原上海新建业公司没有交出该章并不能排除该章在当时的合法存在;而且上海新建业公司亦未进一步提供原告方私刻该章之证据。故对上海新建业公司的这一辩解不予采信。抵押合同签订后,至今未办理抵押登记手续,因此抵押合同依法未生效,现有证据也不能证明合同的某一方对合同的未生效存在过错,故该合同对双方当事人均无法律上的拘束力。《保证合同》系沈柱邦代表上海新建业公司签订,并盖有上海新建业公司的合同专用章,签约时沈柱邦的法定代表人职务虽被董事会免去,但工商登记尚未变更,在法律上其还能代表上海新建业公司对外意思表示;以上海新建业公司的财产作担保经过上海新建业公司的原控股股东香港新建业公司和转让后的控股股东伟成公司同意;上海新建业公司虽未就担保一事形成董事会决议,但其大部分董事会成员均在有关协议上签字,确认以上海新建业公司为还款担保人;保证合同的产生,是由于债务人未付清转让款,使债权人的债权有可能落空,故债权人为规避风险而以其转让的标的物作担保实现自我救济,是当时能够采取的相对合理的方式,符合公平原则。而且目前并无法律明文禁止这种行为。综上,判定《保证合同》系上海新建业公司的真实意思表示,该合同应属有效,因合同中未约定保证方式,上海新建业公司应承担连带清偿责任。@#
