| Retrial petitioner, China Grand Enterprises, Inc. (hereinafter referred to as “CGE”) filed an application for retrial with the Supreme People's Court for refusing to accept the civil ruling (No. 4278 [2011], Final, Civil Division, HPC, Beijing) rendered by the Higher People's Court of Beijing Municipality for a case about application for retrial regarding disputes over an import and export agency contract between it and respondent, China Light Industrial Corporation for Foreign Economic and Technical Co-operation (hereinafter referred to as “CLETC”). On May 25, 2015, the Supreme People's Court rendered a civil ruling (No. 1316 [2014], Civil Complaint, Supreme People's Court) and directly reviewed the case. The Supreme People's Court legally formed a collegial penal according to the law and conducted a review of this case. | In December 2010, CGE filed a lawsuit with the No. 2 Intermediate People's Court of Beijing Municipality, alleging that on July 21, 2008, CGE and CLETC concluded an Agreement on Import Agency (hereinafter referred to as the Agency Agreement) with CLETC, according to which CLETC authorized CGE to import palm oil. In the course of performing the Agency Agreement, CLETC paid CGE 13.76 million yuan through Shanghai Zhuzhule Seasoning Co., Ltd. (hereinafter referred to “Zhuzhule Company”). As agreed in the Agency Agreement, CGE opened an irrevocable letter of credit (ILC), actually honored the payment of USD 3,432,909.03, imported 2,749.825 tons of palm oil on behalf of CLETC, and paid the import tariff and value-added tax amounting to 5,479,338.03 yuan. In order to perform this Agreement, CGE paid a total of 28,918,211 yuan for the goods. After the payment for goods that has been made by CLETC was deducted, CLETC still owed 22,193,204.22 yuan to CGE. Therefore, CGE filed a lawsuit with the No. 2 Intermediate People's Court of Beijing Municipality and requested the Court to order that: (1) CLETC should make the payment for goods in arrears amounting to 22,193,204.22 yuan; (2) pay the agency fee of 164,072.11 yuan, (3) pay the liquidated damages of the overdue payment for goods till the date of actual payment, 31,020,720.91 yuan in total; and (4) assume all litigation fees of this case. | | 远大公司于2010年12月向北京市第二中级人民法院起诉称：远大公司、轻工业公司双方于2008年7月21日签订《委托代理进口协议》(以下简称《代理协议》)，轻工业公司委托远大公司代理进口棕榈油。在协议履行过程中，轻工业公司先后通过上海煮煮乐调味品有限公司(以下简称煮煮乐公司)向远大公司支付1376万元。远大公司如约开立不可撤销信用证，实际承付金额为3 432 909．03美元，代理轻工业公司进口2749．825吨棕榈油，远大公司并缴纳了进口关税及增值税5 479 338．03元。远大公司共计为履行该协议支付货款28 918 211元，扣除轻工业公司已支付的货款，尚欠货款22193 204．22元。为此诉至法院请求依法判令：一、轻工业公司给付拖欠货款22193 204．22元；二、代理费164072．11元；三、支付逾期付款违约金至实际支付日止，以上合计金额为31 020 720．91元；四、承担本案全部诉讼费用。 |
Upon trial, the No. 2 Intermediate People's Court of Beijing Municipality held that: CGE filed a lawsuit against CLETC on the basis of the import and export agency contract. In the whole process from the conclusion of the contract to the withdrawal of goods, the nature of such act has been determined as a criminal offense committed by Zhao Yuanzheng in a criminal case. Therefore, the No. 2 Intermediate People's Court did not uphold the claim of CGE that CLETC should assume the contractual liability and such claim should be rejected. For the claim of CGE that CLETC was at fault for the consequence of its damages and CLETC should assume the compensation liability, CGE may make separate claims under the circumstance where the losses were clear and the legal relationship was correct. Therefore, the No. 2 Intermediate People's Court of Beijing Municipality rendered a ruling to reject the lawsuit of CGE.
