[Judgment Abstract] [裁判摘要]
In accordance with the provisions of Article 74 of the Company Law of the People's Republic of China, a shareholder, who votes against the resolution of the shareholders' meeting on transferring the company's major properties, may request the company to repurchase his or its equities at a reasonable price. For a shareholder who fails to participate in the shareholders' meeting not at his own fault, although he does not vote against the resolution of the shareholders' meeting, he explicitly opposes the company's transfer of its major properties and requests the company to acquire his equities at a reasonable price, the court shall support such request. 根据《中华人民共和国公司法》第七十四条之规定,对股东会决议转让公司主要财产投反对票的股东有权请求公司以合理价格回购其股权。非因自身过错未能参加股东会的股东,虽未对股东会决议投反对票,但对公司转让主要财产明确提出反对意见的,其请求公司以公平价格收购其股权,法院应予支持。

For refusing to accept the civil judgment (No. 91 [2013], Final, Civil Division II, HPC, Hunan) issued by the Higher People's Court of Hunan Province, retrial petitioner, Changjiang Properties (Hunan) Development Co., Ltd. (hereinafter referred to as “Changjiang Properties Company”) filed an application for retrial with the Supreme People's Court against respondent, Yuan Zhaohui, for disputes over request for Changjiang Properties Company's acquisition of shares. The Supreme People's Court legally formed a collegial penal and conducted a review of this case. At the present, the review has been concluded. 再审申请人长江置业(湖南)发展有限公司(以下简称长江置业公司)因与被申请人袁朝晖请求公司收购股份纠纷一案,不服湖南省高级人民法院(2013)湘高法民二终字第91号民事判决,向本院申请再审。本院依法组成合议庭对本案进行了审查,现已审查终结。
...... 长江置业公司申请再审称:一、长江置业公司提交《09年第4次股东会议纪要》、《2010年临时股东会决议》、公安机关出具的《说明》等六组新的证据,足以推翻原判决。二、原审判决认为袁朝晖有权要求长江置业公司回购股权,并依据《审计报告》确定股价,缺乏证据证明。三、袁朝晖提交的长江置业公司原财务人员杨凯、刘丹、严淑君三人出具的《证明》系伪造,不应作为认定事实的依据。四、袁朝晖逾期提交的证据材料均未经质证,法院不应采信。五、长江置业公司的财务档案被法院采取保全措施,长江置业公司无法自行收集,书面申请人民法院调查收集,人民法院未调查收集错误。六、原审判决适用《中华人民共和国公司法》(以下简称《公司法》)第七十五条(2013年修订后的《公司法》为第七十四条,以下均统一表述为“第七十四条”),认为袁朝晖有权行使股份回购请求权,适用法律错误。七、本案一审法官存在违法情形,应当回避而没有回避。八、沈良、钟继光作为公司财产共有权人,应当参加诉讼未参加诉讼。九、袁朝晖的诉讼请求为:请求判决长江置业公司根据《公司法》之规定收购袁朝晖20%股权,二审判决认为袁朝晖的请求符合《公司法》和《公司章程》的规定,超出袁朝晖的诉讼请求。长江置业公司依据《中华人民共和国民事诉讼法》第二百条第一项、第二项、第三项、第四项、第五项、第六项、第七项、第八项、第十一项之规定申请再审。
