PROCEDURAL POSTURE@#
As to the case of dispute over the delayed payment for land requisition between the appellants - the Villagers' Committee and Administrative Commission and Scientific and Technological Industry Park, the Higher People's Court of Shannxi Municipality ruled on December 16, 2002, by Civil Judgment No. 2 [2002]. Both appellants were dissatisfied with the judgment and filed an appeal with this Court. The Court formed a collegiate bench according to law and publicly heard this case on August 13, 2003, both appellants appeared in court. This case has now been concluded.@#
It was found through hearing in the first instance that: the Administrative Commission and the Scientific and Technological Industry Park were two independent entities with a same group of management personnel. In 1991, the Scientific and Technological Industry Park, according to the relevant administrative documents and the replies of the People's Governments of Shannxi Province, Xi'an Municipality, as well as Beilin District, Xi'an Municipality, Shannxi Province, took over the collectively owned land of the Villagers' Committee by means of canceling the village and relocating households, and utilized 94. 532 mu of the Villagers' Committee ahead of schedule. On September 30, 1997, according to the request of the Villagers' Committee, rendering its unwillingness to cancel the village and relocate the households, Beilin People's Government replied by Document No. 079 [1997] to make up the relevant formalities for the requisition of the land that the Villagers' Committee had handed over to the Scientific and Technological Industry Park.@#

上诉人西安市碑林区北沙坡村村民委员会与上诉人西安高新技术产业开发区东区管理委员会、上诉人西安高新技术产业开发区碑林科技产业园拖欠征地款纠纷一案,陕西省高级人民法院于2002年12月16日作出(2002)陕民一初字第2号民事判决,上诉人西安市碑林区北沙坡村村民委员会和上诉人西安高新技术产业开发区东区管理委员会、上诉人西安高新技术产业开发区碑林科技产业园不服该判决,向本院提起上诉。本院依法组成合议庭,于2003年8月13日开庭进行了审理,上诉人西安市碑林区北沙坡村村民委员会的委托代理人李长才、王炳森,上诉人西安高新技术产业开发区东区管理委员会和上诉人西安高新技术产业开发区碑林科技产业园的委托代理人李建明、黄亚英参加了诉讼。本案现已审理终结。@#
一审法院经审理查明:西安高新技术产业开发区东区管理委员会和西安高新技术产业开发区碑林科技产业园(以下统称碑林科技园)系一套班子,两块牌子。1991年,碑林科技园根据陕西省人民政府和陕西省西安市人民政府以及陕西省西安市碑林区人民政府有关行政文件、批复,以撤村转户的方式征用西安市碑林区北沙坡村村民委员会(以下简称北沙坡村委会)集体土地,并先期使用了北沙坡村委会土地94.532亩。1997年9月30日,根据北沙坡村委会不愿撤村转户的请求,陕西省西安市碑林区人民政府以碑政发(1997)079号批复,对北沙坡村委会已交给碑林科技园使用的土地补办征地手续。@#
1998年4月27日,北沙坡村委会与碑林科技园签订《征地协议》,约定:……2.碑林科技园生产区征用北沙坡村委会菜子湾94.532亩,按每亩地价12.6万元计算,共计1191.10万元。3.碑林科技园负责将规划范围内生活区(位于二环路北的土地)统一征为国有土地后,除去城市绿化和道路用地外,全部返还给北沙坡村委会,并把土地证过户到北沙坡村委会所属的双环公司第二分公司名下。……5.北沙坡村委会对已付的原地面附着物给予的赔偿不再提出任何异议。6.付款办法:协议经双方签字盖章生效后,碑林科技园分四次付款,第一次在协议生效30日内付给北沙坡村委会总地价款的20%;第二次在1998年12月31日前付给北沙坡村委会总地价款的20%;第三次在1999年6月30日前付给北沙坡村委会总地价款的40%(同时扣除本合同签订前碑林科技园已支付给北沙坡村委会的征地预付款及垫付的有关费用);剩余地价款在1999年12月31日前付清。碑林科技园从1998年6月30日起按当年中国人民银行公布的贷款利率开始计算所欠北沙坡村委会款额的利息,直到付清为止,利息当年结清。7.违约责任:碑林科技园不按规定期限向北沙坡村委会付款,每逾期一天,向北沙坡村委会交纳本合同第六条第一款所规定欠款额的干分之二违约金;北沙坡村委会应做好村民工作,不能影响碑林科技园正常施工和工作,若发生村民闹事或阻挡施工等现象,每发生一天,碑林科技园扣除本合同第六条第一款所规定欠北沙坡村委会款额的千分之二违约金。同年6月26日,双方签订《协议》约定,考虑到其他因素,碑林科技园向北沙坡村委会补偿21万元。上述协议签订前,碑林科技园支付北沙坡村委会征地款137.5616万元。协议签订后,碑林科技园自1998年5月25日至2001年1月4日先后支付北沙坡村委会征地款764万元。碑林科技园还为北沙坡村委会代付农业税7.716085万元,付给北沙坡村委会青苗及地面补偿费144.1538万元(不含1991年6月碑林科技园付给北沙坡村土地承包户青苗补偿费16.2万元)。一审庭审期间,北沙坡村委会提供其与碑林科技园2001年4月9日《对帐清单》载明:截至2001年3月30日碑林科技园尚欠北沙坡村委会征地款289.5384万元,以上数字经双方核对无误,共同予以确认。此后,碑林科技园分别于2001年7月17日、同年8月31日、2002年1月8日和9日先后付给北沙坡村委会征地款430万元。碑林科技园共付给北沙坡村委会征用土地款1331.5616万元,青苗及地面补偿费144.1538万元,代付农业税7.7116085万元,以上共计1483.431485万元。@#
另,1993年11月16日,碑林科技园和北沙坡村委会为碑林科技园与西安环保设备厂用地进行调整,替该厂征用土地签订了两份内容相同的《征地补偿协议书》,其中一份协议对土地费用的计算明显有误,且碑林科技园已向北沙坡村委会实际支付了27.741万元土地征用费。@#
2002年5月8日,北沙坡村委会诉至陕西省高级人民法院称,1990年碑林科技园在未与北沙坡村委会签订征地协议的情况下,先期使用了北沙坡村委会94.532亩土地。1998年4月27日,双方签订《征地协议》约定了征地亩数、地价款,其中还约定了碑林科技园负责将规划范围内生活区(位于二环路北的土地)统一征为国有土地后,除去城市绿化和道路用地外,全部返还给北沙坡村委会,把土地证过户到北沙坡村委会所属的双环公司第二分公司名下,以及征地款的支付方法、欠款利息和违约责任。协议签订后,北沙坡村委会按约履行了合同全部义务,而碑林科技园没有全面履行合同义务,给北沙坡村委会造成巨大经济损失。请求判令碑林科技园支付拖欠征地款211.9946万元及其利息81932元和违约金1391.4275万元(截至2002年3月31日);继续履行《征地协议》第三条约定的义务;负担诉讼费用。同年6月20日,北沙坡村委会增加诉讼请求,判令碑林科技园继续履行《征地协议》第三条约定的义务或者向北沙坡村委会支付办理国有土地使用证所需费用530万元。@#
碑林科技园辩称,北沙坡村委会的诉讼请求缺乏事实、法律和合同依据,应予驳回。理由是:《征地协议》第三条应属无效条款。该条约定改变了陕西省人民政府征地批文中的征地用途,明显违反了《城市房地产管理法》的禁止性规定,损害了国家和社会公共利益,依据《合同法》第五十二条规定应属无效合同;碑林科技园已付款1499.631485万元,不但已足额支付双方合同约定的1191.1万元,而且超付了308.531485万元;双方《征地协议》第七条第三款约定的日千分之二违约金数额明显高于同期日利息损失。请求按照最高人民法院关于逾期付款违约金标准日万分之四和日万分之三分段计算,本案涉及逾期付款违约金总额应为122.0266万元。欠款或逾期付款的实际损失体现为利息损失,而在支付了逾期付款违约金的情况下,再计算利息损失属重复计算。请求驳回北沙坡村委会的请求,并由其负担诉讼费用。@#
