重庆一中院判决谢海林诉金浩公司商品房预售合同纠纷案

 ——持有合同与备案合同不一致时作准文本的认定

 裁判要旨
 商品房预售合同备案登记,不是物权的设立、变更、转让,不产生物权公示的效力。房地产公司为登记需要,在办理商品房预售合同备案登记时单方更改合同条款中关于违约金标准的内容,并不产生合同变更效力,故违约金标准仍需遵照最初双方当事人协商一致的合同。
 案情
 谢海林与重庆市金浩实业开发有限公司(以下简金浩公司)签订了《重庆市商品房买卖合同》,约定其购买金浩公司开发的预售商品房一套,建筑面积为107.01平方米,总成交金额为31.0361万元。合同第七条第一款第2项约定:金浩公司应当在2011年12月31日前,依照有关规定,将已进行建设工程竣工验收备案登记的商品房交付谢海林使用;如遭遇不可抗力,金浩公司应在发生之日起30日内书面告知谢海林,金浩公司可据实延期交房。合同第九条约定:除本合同第七条约定的遭遇不可抗力情况外,金浩公司如未按本合同约定的期限将该商品房交付谢海林使用,逾期超过90日后,谢海林有权解除合同;谢海林要求解除合同的,金浩公司应当自解除合同通知到达之日起30日内退还全部已付房价款及利息,并按谢海林已付房价款百分之零点五向谢海林支付违约金;谢海林要求继续履行合同的,合同继续履行,自本合同第七条约定的最后交付期限的第二天起至实际交付之日止,金浩公司按日向谢海林支付已付房价款万分之零点五的违约金。为登记备案之需,金浩公司在重庆市合川区国土资源和房屋管理局进行备案登记时,单方将合同第九条关于逾期交房超过90日,业主要求继续履行合同,金浩公司应按日向谢海林支付已付房价款万分之零点五的违约金标准修改为万分之三,并加盖有金浩公司的公章。合同签订后,谢海林实向金浩公司交纳购房款30.8853万元,金浩公司于2012年9月17日将房屋交付谢海林。
