For the case of the plaintiff, Nanjing Maritime School (hereinafter referred to as “the plaintiff”) v. the defendants, Dalian Huaxing Enterprise (Group) Co., Ltd (hereinafter referred to as “the defendant Huaxing Group Company” and Dalian Changrong Shipping & Trading Company (hereinafter referred to as “the defendant Changrong Company”) of dispute over the bareboat charter hire and the expenses for repairing the vessel, this court has formed a collegiate bench and held a public session. Jin Nandong, the legal representative of the plaintiff, Zhu Qing and Li Zhong, the authorized agents of the plaintiff; Liu Ming and Xie Guochen, the authorized agents of the defendant Huaxing Group Company, and Qiao Tingchang, the legal representative of the defendant Changrong Company appeared in the session (the defendant Changrong Company withdrew from the court during the session without the permission of the court).
 
原告南京海运学校(以下称原告)诉被告大连华兴企业(集团)股份有限公司(以下称被告华兴集团公司)、被告大连常荣航运贸易公司(以下称被告常荣公司)光船租赁合同租金、修船费纠纷一案,本院受理后依法组成合议庭,公开开庭进行了审理。原告的法定代表人金南冬及委托代理人朱清和李忠、被告华兴集团公司的委托代理人刘明和解国臣、被告常荣公司的法定代表人乔廷常到庭参加了诉讼(被告常荣公司未经法庭许可中途退庭)。

The plaintiff stated that: On September 18, 1996, the plaintiff let his vessel “Yuhang” by a demise charter party to Dalian Huaxing Service Company, an affiliate to the defendant Huaxing Group Company (hereinafter referred to as “Huaxing Service Company”). According to the charter party, the term of lease was 4 years, with the charter hire of RMB 500,000 Yuan for the first year and USD 200,000 for each of the following three years. Of the expenses for repairing the vessel, the amount of RMB 800,000 Yuan was to be borne by the plaintiff and the other should be borne by the lessee. During the term of lease, the defendant Huaxing Group Company sublet the vessel “Yuhang” to the defendant Changrong Company without authorization. Though the defendant Changrong Company had undertaken in written form to pay the above-mentioned expenses to the plaintiff, he failed to do so. Therefore, on basis of the charter party and the relevant evidence, the plaintiff requested the court to order the defendants to pay the plaintiff the hire and the expenses for repairing the vessel, the total amount of which is RMB 3250383.00.
 
原告诉称:1996年9月18日,原告将其所属“育航”轮光船租给被告华兴集团公司下属机构大连华兴劳务公司(以下称华兴劳务公司)。合同规定:租期四年,第一年租金人民币50万元,以后每年租金20万美元。其中修船费由原告承担人民币80万元,余额由承租人承担。在租期内,被告华兴集团公司擅自将“育航”轮租给被告常荣公司,被告常荣公司曾向原告书面承诺还清上述费用,但始终未予以支付。因此,根据租船合同及有关证据,请求法院判令上述被告支付原告租金、修船费等共计人民币3250383.00元。

The defendant Huaxing Group Company defended that: They had not concluded the above-mentioned charter party with the plaintiff. The lessee in that charter party was Dalian Huaxing Service Company, which was an independent legal person and had the capacity for assuming civil liability independently. Therefore, the defendant Huaxing Group Company requested the court to reject the claim of the plaintiff against Huaxing Group Company.
 
被告华兴集团公司辩称:本公司未与原告签订上述租船合同。与原告签订租船合同的承租方,是大连华兴劳务公司。该公司是独立的法人,具有独立承担民事责任的能力。故请求法院驳回原告对被告华兴集团公司的诉讼请求。

The defendant Changrong Company defended that: They had objections to the amount claimed by the plaintiff, of which, they agreed on the expenses for repairing the vessel, but held that there was no reason for themselves to bear the fees for special survey. Therefore, they requested the court to reject the claim of the plaintiff for the fees for special survey. Besides, the defendant Changrong Company held that there was no contractual relationship between the plaintiff and themselves and so, the plaintiff should not sue against them.
 
被告常荣公司辩称:原告起诉请求的数额与我公司计算的不同,其中我公司对修船费用予以认可,但让我公司承担特检费没有根据。请求法院驳回原告此项诉讼请求。另外,我公司与原告没有直接的合同关系,原告不应起诉我公司。

It has been ascertained by the court that: On June 18, 1995, the plaintiff and Huaxing Service Company (as a member of the defendant, Huaxing Group Company, Huaxing Service Company had a corporate capacity) concluded a demise charter party. It was agreed in the charter party: Huaxing Service Company was to hire the vessel “Yuhang” of the plaintiff, with the term of lease being 5 years calculating from June 20, 1995. The charter party should be renewed annually, with the hire of USD 300,000 for each year. The expenses for repairing the vessel, fees for survey on the ship, ship's fuel, water, stores and spare parts for normal navigation during the term of lease should be borne by Huaxing Service Company. Huaxing Service Company might not sublet “Yuhang” to any other company during the term of lease without the consent of the plaintiff.
 
经审理查明:1995年6月18日,原告与华兴劳务公司签订了光船租赁合同(华兴劳务公司系被告华兴集团公司的成员公司,具有独立的法人资格)。合同中约定:由华兴劳务公司租用原告所属“育航”轮,租期5年,从1995年6月20日起算。此合同每年重新签字延续,租金每年30万美元。由华兴劳务公司承担租期内的船舶正常航行的维修费、船舶检验费、船用燃油、水、物料及船舶正常的航行备件等。合同期内,未经原告同意,华兴劳务公司不得将“育航”轮转租给其他公司经营。

The parties started to implement the contract after the conclusion thereof. The parties did not renew the contract on July 15, 1996, when the first year of the contract expired. On August 9, 1996, the defendant Huaxing Group Company paid all the expenses for the above-mentioned period of contract and handled the formalities for handing over the returning of the vessel with the plaintiff for Huaxing Service Company.
 
合同签订后,双方即开始履行合同。至1996年7月15日,第一年合同履行期满,双方未再续签合同。1996年8月9日,由被告华兴集团公司代华兴劳务公司支付了上述租船合同期间的全部费用,并与原告办理了还船交接手续。

During the above-mentioned period of contract, for continuing to let the vessel, the plaintiff asked Wang Zhuxin of Huaxing Service Company to look for potential lessees, and on June 20, 1996, Wang Zhuxin came to the defendant Changrong Company. Afterwards, Wang Zhuxin accompanied the plaintiff and the defendant Changrong Company to the vessel to see the conditions of the vessel, after that, the defendant Changrong Company expressed their intention to hire the vessel. As testified by the present legal representative of the plaintiff and the relevant persons of Huaxing Service Company, the plaintiff and Huaxing Service Company agreed to conclude a demise charger party with the defendant Changrong Company as the actual lessee. The defendant Changrong Company approved the above-mentioned charter party and on September 6, paid the plaintiff RMB 100,000 as the expenses for repairing the vessel.
 
在上述合同履行期间,原告为了继续出租该轮,曾委托华兴劳务公司的王祝新找承租人。1996年6月29日,王祝新找到被告常荣公司。而后,陪同原告与被告常荣公司登轮看船况,被告常荣公司看完船况后,表示同意租用该轮。经原告的现任法定代表人及华兴劳务公司相关人员证实,当时原告与华兴劳务公司协商仅以华兴劳务公司的名义与原告签订光租船合同,由被告常荣公司实际租用该轮。被告常荣公司对上述合同予以认可,并于9月6日向原告支付修船费人民币10万元。

The plaintiff concluded a demise charter party for “Yuhang” on September 18 of the same year with Huaxing Service Company. The said charter party stipulated in Article 1 that the plaintiff should let their vessel “Yuhang” by the demise charter party to Huaxing Service Company, with the term of lease being 4 years, calculating from the day when “Yuhang” arrived at the anchor station of the first port of loading after its factory repairs and special survey have been finished. According to Article 2 of the charter party, the charter hire should be RMB 500,000 Yuan for the first year, and USD 200,000 for each of the following years, with USD 100,000 paid every six months (two payments per year), and failure to pay the hire in time should be subject to the penalty provision. For guaranteeing the normal navigation of “Yuhang”, the lessee should be responsible for the expenses for the ship's dock repairs, special survey and factory repairs during the term of lease, of which, the expenses for annual repairs and voyage repairs should not be less than RMB 500,000 Yuan per year. The lessee should, in light of their economic results and at a proper time pay the lessor RMB 200,000-400,000 Yuan each year as the lessor's president award fund and school development and construction fund. Of the expenses for special survey and factory repairs of “Yuhang” in the period from July 16 to September 1996, RMB 800,000 Yuan should be borne by the lessor, and the other should be borne by the lessee. The wages of the crew for the period of ship's repairs should be borne by the lessee, and the board expenses of the crew for the same period should be borne by the lessor. According to Article 3 of the charter party, the lessee should be responsible for the maintenance fees, fees for survey on ship and factory repairs for guaranteeing the normal navigation of the vessel, for the continuity of the ship's valid certificate, and for the ship's fuel, water, stores and spare parts for normal navigation during the term of lease. The lessee should return “Yuhang” to the Lessor in the condition of seaworthiness on the expiration date of the term of lease. During the term of lease, the lessee might not sublet “Yuhang” to any other company without the consent of the lessor. The lessee should be responsible for the hull insurance and payment of the premium. Article 5 of the charter party stipulated that except for cases of force majeure, the party in breach of contract should pay the other party damages not less than 10% of the price of contract (calculated monthly). The party intending to terminate the contract should give a notice to the other party 3 months in advance. The contract should become effective on the date of signature and be subject to renewal for each of the following years.

同年9月18日,原告与华兴劳务公司签订了“育航”轮光租船合同。合同第一条规定,由原告将其所属“育航”轮光租给华兴劳务公司、租期四年,自“育航”轮完成厂修特检出厂抵达第一装港锚地之日起起算租金与租期。合同第二条规定,第一年租金为人民币50万元,以后年租金按20万美元计算,每半年支付租金10万美元(每年分两次支付),逾期未支付租金,按违约条款处罚。为了保证“育航”轮正常航行,承租人租用期间,负担船舶坞修、特检、厂修等所需经费。其中年修、航修所需费用每年不低于人民币50万元。承租方据经营效益,在适当时每年向出租方支付人民币20-40万作为出租方校长奖励基金和学校发展建设基金。1996年7月16日至9月,“育航”轮的特检、厂修等经费,由出租方支付人民币80万元,其余由承租方承担。修船期间船员工资由承租方承担,出租方承担船员伙食费。合同第三条规定,承租方负担保证船舶正常的航行维修费、船舶检验费、厂修费及船舶有效证书的延续、负担租期内的船用油、水、物料及保证船舶正常航行的备件等。承租方在合同期满应保证“育航”轮处于适航状态交于出租方。在合同期内未经出租方同意,承租方不得将“育航”轮转租其他公司经营。由承租方办理船舶保险及支付保险费。合同第五条规定,本合同履行中,除不可抗力外,违约方应赔偿对方不少于合同金额10%(按月计)的损失。终止合同一方应提前三个月通知对方。合同签字之日生效,后几年每年议签合同。
